Trade-Mark Usage Policy

1 When using any trade-mark of [Name of Trade-Mark Owner] (the "Licensor"), including
but not limited to those listed and described in Schedule "A" hereto (a "Mark"), use the
registered trade-mark symbol ® or the TM symbol, on the most prominent (or if none is
prominent, the first) appearance of a Mark. For any Mark that is not registered, the TM
symbol should be used in place of the registered trade-mark symbol ®. Once marked, it is
not normally necessary to mark subsequent appearances of the trade-mark in the piece.
Every appearance of the Mark in stylized form should always appear with the appropriate
® or TM symbol, and may be used only under license with the Licensor -- unauthorized
use is strictly prohibited. Schedule "A" lists and describes the current Marks that reflects
the registration status of the Marks. This list will be updated from time to time.

2 When using a Mark, never vary the spelling, add or delete hyphens, make one word two,
or use a possessive or plural form of the Mark. Licensor word marks must always be used
as adjectives followed by a generic term (such as "software" or "system"), and never as
nouns or verbs.

3 Licensor is the owner of all right, title, and interest in the Marks and Licensee agrees that
it will not challenge the validity of Licensor's ownership of the Marks. Licensees shall
not reproduce or use (or authorize the reproduction or use of) the Marks in any manner
other than expressly authorized by Licensor.

4 Licensor may from time to time modify the Marks. Licensor will use commercially
reasonable efforts to give licensees advance notice of such modifications.

5 In order to assure compliance, you will, upon request from Licensor, provide samples of
any marketing and advertising materials that include the Marks.

6 In any place where they appear together, the Marks and any associated text must be at
least as large as the trade-mark and text of another vendor.
