DEED OF ASSIGNMENT

KNOW ALL MEN BY THIS PRESENTS: This deed, made and entered into this 22nd day of October 2012 at the City of Iloilo, by and between: DON W. PAKUNDO, of legal age, Filipino and resident of Timeline Subdivision, Iloilo City, herein referred to as the ASSIGNOR; And

REY R. VALERA, of legal age, Filipino and a resident of Face book Subdivision, Iloilo City, hereinafter referred to as the ASSIGNEE; WITNESSETH that WHEREAS, the ASSIGNOR, for and in consideration of the sum of ONE MILLION PESOS (P1, 000,000.00), receipt of which is hereby acknowledged do hereby assign, cede, transfer and convey unto the ASSIGNEE, all his rights, ownership and interest over its subscription to ONE HUNDRED TWO THOUSAND (100,000.00) shares of the capital stock of DUNGANON LENDING CORPORATION, including advances due from said corporation. It is however, understood that the assignee shall assume any and all unpaid subscriptions on the said shares. WHEREAS, the ASSIGNOR irrevocably constitute, name and appoint the ASSIGNEE to be his true and lawful attorney-in-fact to make representations with the corporation secretary and to cause the annotation of this assignment in the books of the corporation. IN WITNESS WHEREOF, the parties have hereunto set their hands on the date and place first above written.
