Namely,thereissubstantialevidencethatHerbalife Ltd. isan illegal pyramid scheme operating under the guise of a health products company. Upon investigation,however,itappearsasthoughHerbalifemaypaymoremoneytoparticipantsinits businesstorecruitnewparticipantsthanitdoesforsaleofitsproducts.Thisisillegal.See,e.g., Websterv.OmnitritionIntern.,Inc.,79F.3d776(9thCir.1996). WellsFargo isaidingHerbalifeinmaintainingandperpetuatingthatschemeandthus, may itself be liable for injury caused by it. Specifically, Wells Fargo provides Herbalife a revolvingcreditfacilitythatenablesHerbalifetomaintainandextenditsscheme. Assoonaspractical,pleaseconfirmtomethatyouhaveinvestigatedtheseissuesand ceasedallinvolvementwithorsupportofHerbalife.IfyouchoosenottoinvestigateHerbalifeor not to cease your involvement therewith, please provide me the legal basis justifying your decision,includingatminimum the opinionletterfromyourcounsel uponwhichyourely. I believeyouhavea fiduciarydutyto meandothershareholdersto ensure WellsFargo is not involvedwithcriminalactivity. Butmoreimportantly,whywouldyouevenwanttoriskinjuring WellsFargo'sstellar reputationbybeinginvolvedwithHerbalife?Theycannotbesoimportantacustomerthatyou would jeopardize your good name and reputation by being involved with such an unsavory company.
