Job Purpose

To be a part of Finance function and lead IPO, Merger & Acquisition initiatives of the organization. Role involves overall Merger & Acquisition, fund raising, Investor relations and other related activities.
Job Description

1. Evaluation and finalisation of Acquisition of Various opportunities in India & Overseas a) Developing & analysing Financial Models with scenarios for assessing the financial viability and valuation for any merger or acquisition opportunity. b) Understanding business & operating synergies with the target & help in assessing business cases. c) Assist developing LRP of target as standalone & the company post acquisition d) Coordination with Merchant/Investment Bankers/ Bankers for arranging Funding for such acquisition e) Coordination for Due diligence including but not limited to Financial, Commercial, Legal for such proposals by Investment Bankers/PE Players/Law firms f) Finalization of agreements g) Post merger-Completion of take over facilities, change of control/management, implementing systems/controls/MIS h) Legal/Operational Merger/Amalgamation/Restructuring of entities i) Compliance with regulation more particularly SEBI, Company law, RBI, FDI etc

2. Equity Funding a) Preparation of IM & related information b) Coordination with Merchant/Investment Bankers for private equity c) Coordination for Due diligence to be done by PE Players for Equity appraisal d) Finalization of Agreements e) IPO- Preparation of DRHP, data room management, dealing with Investment banks/Law firms/Regulators/Investors 3. Investor Relations a) Maintaining investor relations
