DEED OF SALE

[Of Shares in Pacific Metal Works Corporation]

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale made and entered this ____ day of ______________, in Makati City, Metro
Manila, by and between:

(current owner of stocks/seller), of legal age, (citizenship), single, with residence

address at ___________________________, hereinafter referred to as the
ASSIGNOR;

and

(buyer of shares of stock), of legal age, (citizenship), single, with residence

address at ____________________________, hereinafter referred to as the
ASSIGNOR;

WITNESSETH: THAT

WHEREAS, the ASSIGNOR is the owner of (total number of shares to be assigned) common
shares ("SHARES," for short) with a par value of (selling price per share) in Pacific Metal Works
Corporation, a corporation duly organized and existing under Philippine law, with business
address at 69 Marcos Highway, Barangay San Isidro, Cainta, Rizal, Philippines;

WHEREAS, the ASSIGNOR is willing to assign, and the ASSIGNEE willing to accept, all of the
ASSIGNOR’s (number of shares to be assigned) SHARES by way of this instrument;

NOW, THEREFORE, for valuable consideration, the ASSIGNOR does hereby assign, cell, cede,
transfer and convey in a manner that is absolute and irrevocable the SHARES unto the
ASSIGNEE, free from all liens and encumbrances.

Any and all expenses incidental to the conveyance and registration of the transfer from the name
of the ASSIGNOR to the name of the ASSIGNEE, such as documentary stamp tax, capital gains
tax, transfer fees, registration expenses and the like shall be for the sole and exclusive account of
the ASSIGNEE.

Upon the execution of this deed, any liability of the ASSIGNOR to the ASSIGNEE is deemed
extinguished, with the exception of those obligations expressly stipulated in this deed. Thus, the
latter is perpetually barred from instituting against the former any action or proceeding involving
any such liability, subject to the said exception.

IN WITNESS WHEREOF, the parties have hereunto signed this DEED OF ASSIGNMENT on the
date and place first above written.
