890/0001-53 NOTICE TO SHAREHOLDERS Interest on Equity

Multiplan Empreendimentos Imobilirios S.A. (Company), hereby gives notice to shareholders and to the market that the Interest on Shareholders Equity to be paid and approved by the Board of Directors meeting held on December 17th, 2013, in the total gross amount of R$ 45,000,000.00, which corresponds to R$ 0,23960319 per share, will be paid to shareholders on February 12th, 2014. The payment of interest on capital will be made with the corresponding withholding of taxes except, for shareholders who are immune or exempt. For payment purposes, the eligible shareholders are those registered on the Companys books on December 17th, 2013. For this reason, shares of the Company will trade ex-interest starting December 18th, 2013. The interest on equity will be allocated to the minimum mandatory dividend for the fiscal year ended December 31st, 2013, at their net value. The shareholders proceeds will be made available according to their banking domicile as provided to Ita Unibanco S.A., Depository Agent for the Company. For shareholders whose records do not contain the Individual Taxpayer Number (CPF/MF)/or General Taxpayers' Registry (CNPJ/MF) or indication of "Bank/Agency/Account", the payment will be credited on the third business day after the date of the updating of the electronic files of Ita Unibanco S.A., which can be done through any branch office or, by mail addressed to Unidade de Processamento e Solues para Corporaes, Rua Urura No 111, Trreo, Prdio B, Tatuap, CEP 03084-010, So Paulo, SP. The proceeds relating to the shares held in the Brazilian Clearing and Depository Corporation - CBLC (Companhia Brasileira de Liquidao e Custdia) will be paid by direct credit to the Registered Brokers, who will be responsible for transferring these credits to shareholders.
