ABSOLUTE SALE DEED THIS DEED OF SALE made and executed before the Sub-registrar, Indiranagar, at Bangalore on this

Hereinafter called the PURCHASER. The term SELLER and PURCHASER, unless repugnant to the context, shall mean and include their respective heirs, successors, executors, administrators, trustees, legal representatives and assigns. WITNESSTH: WHEREAS the Seller is the absolute owner of Flat bearing No.123, situated in the Second Floor, with super built up area of 1898 Square Feet, containing One Bedroom, Hall and Kitchen with attached bathroom, together with UDS of 332 Square Feet and One Covered Car Parking space in the apartment complex known as Sai Sandhya duly constructed on residential site bearing B.M.P Katha No.89/1-1, bearing PID No.89-677-75/1-1, situated at Indira Nagar, Ward No.57, Bangalore, totally measuring 29403 Square feet, and morefully described in the schedule A given hereunder, having purchased the same through registered Sale Deed Dt: 24-10-2013, which document is registered in the office of the sub-registrar, Halasur, in Book-101, Document No: HLS-12345-2013-14, and stored in C.D.No.HLSD988, Dt: 24-10-2013,.thus the above seller has become the absolute owner of the schedule B & C property hereunder.

That the seller vendor, Sri.Sudeep, S/o Sri.Venu, who sold the property in favour of the above named seller acquired the B & C schedule property by way of registered Partition Deed Dt: 20/12/2012, which is registered as Document No.5099/2012-13, in Book-1, in the office of the sub-registrar, K.R.Puram, Bangalore, and in terms of the said partition, Flat bearing No.123, in 2nd Floor, measuring 1898 Sq ft., of super built up area along with 332 Sq ft., of UDS of land in A schedule along with One covered car parking space fell to the absolute share of Sri.Sudeep, which is more fully described to in B & C Schedule property hereunder, since then the SELLER has been in possession and enjoyment of the Schedule Flat / Apartment on getting the bifurcated Khatha from the Corporation of the City of Bangalore, duly transferred in her name bearing New P.I.D.No.__________________ and on payment of taxes and levies thereon as sole and absolute owner thereof. WHEREAS the SELLER herein being desirous of selling the Schedule Flat / Apartment, together with UDS and one car park, herein after referred to as Schedule property offered the same to the Purchaser and the Purchaser has agreed to purchase the Schedule Flat / Apartment in terms of a Oral agreement for a total sale consideration of Rs.68,00,000/- (Rupees Sixty Eight

Lakhs only) and the Purchaser in terms of the aforesaid agreement had paid a sum of Rs.15,00,000/- (Rupees Fifteen Lakhs Only) agreeing to pay the balance sale consideration of Rs.53,00,000/- (Rupees Fifty Three Lakhs Only) at the time of execution of the sale deed. IN CONSIDERATION of the Purchaser having paid the entire sale

consideration of Rs.68,00,000/- (Rupees Eighteen Lakhs only) as aforesaid, the receipt of which has been duly acknowledged by the SELLER, who acquits the Purchaser from making any further payments towards sale consideration, the SELLER, as beneficial owner, DOES HEREBY GRANT, CONVEY, TRANSFER BY WAY OF SALE AND ASSIGN unto and in favour of the Purchaser the Schedule Flat / Apartment and every part thereof together with the right, title and interest therein, with all the benefits, advantages, concessions, licenses, hereditaments, easementary rights, equities, claims, demands etc., attached to belonging to and reputed to belong to the Schedule Flat / Apartment TO HOLD, TO POSSESS AND TO ENJOY the same for ever free from all encumbrances, subject to common rights of owners of remaining shares of undivided interest in the land and the Flat / Apartments attributable thereto.

The SELLER hereby declares and covenants with the Purchaser that she is the sole and absolute owner of the Schedule Flat / Apartment and has a clear, legally valid and marketable title thereto and therefore an absolute right to sell and convey the same to the Purchaser in terms of this Deed. The SELLER further declares that she has not done any acts, deeds or things so as to curtail restrict or prejudice her right to convey or prevent her from selling the Schedule Flat / Apartment in terms of this Deed. WHEREAS the Purchaser now has paid the entire balance sale consideration as detailed below, and has requested the SELLER to execute the Sale Deed in her favour and the SELLER has duly agreed thereto. NOW THEREFORE THIS DEED OF ABSOLUTE SALE WITNESSETH AS HEREUNDER: 1. The SELLER hereby confirms that the Purchaser has paid the entire sale consideration as under: A) Rs.12,00,000/- (Rupees Twelve Lakhs Only) by way of Cash, and B) Rs.30,00,000/- (Rupees Thirty Lakhs Only) by way of D.D bearing No.____, favouring _____, Dt: 15/02/2014, drawn on I.C.I.C.I. bank, Koramangala Branch, and C) Amount paid by D.D. Bearing No.______ Dt: 28-02-2014, drawn on ICICI Bank, OLD MADRAS ROAD Branch, favoring _______ Bangalore for Rs.26,00,000-00, (Rupees Twenty Six Lakhs Only)

Total Rs.68,00,000-00 (Rupees Sixty Eight Lakhs Only). The SELLER hereby further declares that the Schedule Flat / Apartment is free from all encumbrances, lien, charge, mortgage, lease, court or other attachments, lis-pendens, acquisition and requisition proceedings, minors claims or any other adverse proceedings or claims from third parties to the best of the knowledge of the vendor. The SELLER hereby assures the Purchaser that all taxes and levies on the Schedule Flat / Apartment have been paid up to date and arrears if any, till the date of the Sale Deed shall be duly paid by her and future taxes in respect of the Schedule Flat / Apartment shall be paid by the Purchaser. The SELLER hereby declares and covenants with the Purchaser that she shall do or cause to be done all acts, deeds and things which are legally and reasonably required to be done at the instance of the Purchaser for more fully and perfectly assuring the right, title and interest of the Purchaser in the Schedule Flat /Apartment herein conveyed and the Purchaser shall bear such expenses.

The SELLER hereby indemnifies and shall keep the Purchaser fully indemnified against any loss or liability, cost or claims, action or proceedings, if any should arise, at any time in future against her owing to any defect in or for want of clear and marketable title or due to any default, violation or non-compliance of any of the declarations or covenants herein. The Purchaser shall be the sole and absolute owner of the Schedule Flat /Apartment with attendant rights of ownership, possession, enjoyment and shall be entitled to deal with or dispose of the Schedule Flat / Apartment as she deems fit without any interference, obstruction or hindrance from the SELLER or anyone claiming under, through or in trust from her. The Stamp duty, Registration charges and other incidentals have been borne by the Purchaser on this Deed of Conveyance. The SELLER has this day delivered the vacant possession of the Schedule Flat/Apartment to the Purchaser along with all the available original title deeds and documents which are in her possession pertaining to or relating to the Schedule Flat / Apartment. As abundant precaution the Sellers husband has signed this Deed of Sale as the Consenting Witness.

The Purchaser undertakes to become Member of the Association of Apartment Owners and duly comply with the provisions of Karnataka Apartment Ownership Act, 1972 and the rules thereunder and shall abide by the bye-laws and majority decisions of the said Association. A SCHEDULE PROPERTY All that piece and parcel of property bearing Bangalore Mahanagara Palike Katha No.89/1-1, bearing P.I.D.No. 89-677-75/1-1, situated at IndiraNagar, Ward No.57, Bangalore totally measuring 29403 Square feet, and bounded as follows: On the East On the West On the North On the South : Private Property, : Portion of BMP katha No.89/1, Road & Pvt., Property, : Portion of BMP Katha No.89/1, and Pvt. Property, : Road. B SCHEDULE PROPERTY

332 Square Feet of undivided share, right, title and interest in the immovable property mentioned in Schedule A above, (i.e., Proportionate to the built up area). C SCHEDULE PROPERTY Flat bearing No.123, in Second Floor, measuring 1898 Square Feet Super built up area, containing One Bedroom, Hall and Kitchen with attached bathroom, with RCC Roofing, Vitrified Flooring and Sal Wood Doors and Windows, together with One Covered Car Parking Space including proportionate share in common areas, such as passage, lobbies, lifts, staircase, terrace, machine room, electric rooms and other areas of common use being a portion of multistoried building known as SAI Sandhya, constructed on portion of A Schedule Property, and bounded on the; East by West by North by South by : Common Passage & Lift, : Private Property, : Flat bearing No.124, : Flat bearing No.128.

Market Value property is Rs.68,00,000-00 (Rupees Sixty Eight Lakhs only) The Stamp duty is paid on the market value as computed above.
