Proposed By-Laws

Mid-State Officials Association


Article I
President
The President shall preside at all general meeting of the Association and Board of
Directors. He shall supervise all negotiations on behalf of the association, in consultation
with the Regional Supervisor and make every reasonable effort to further the policies of
the Association.
The President may convene the Board of Directors by providing each member of the
Board notice of said meeting at least twenty-four hours prior to the scheduled meeting
time.
The President may convene a meeting of the members by providing all members of the
Association notice of said meeting at least 7 days prior to the scheduled meeting. Notice
may be provided by mail, telephone, or electronic means.
Article II
Vice President
The Vice President shall perform the duties of the President in his absence or inability to
act.
Article III
Secretary-Treasurer
The Secretary-Treasurer shall keep a written record of all meetings and all Board of
Directors meetings. He shall register all fines, collect all monies due the Associations,
handle all correspondence relative to the Association, and if necessary, shall establish and
maintain a bank account in the name of the Association, being responsible for all the
financial affairs of the Association. The Secretary-Treasurer shall provide reports to the
members at the annual meeting, and as required by the Board of Directors.
Article IV
Regional Supervisor
The Regional Supervisor shall:
A. Handle all communications between the association and the North Carolina
High School Athletic Association (NCHSAA).
B. Send out notices, have charge of all necessary printings and publications used
by the individual sports, collect all fees and dues, and shall be responsible for
maintaining a qualified group of sports officials for each individual sport. The
Regional Supervisor shall submit to the Secretary-Treasurer a report of the

names, addresses and telephone numbers of all dues paying members no later
than 30 days after the annual meeting.
Be charged with negotiating for the Association all matters pertaining to the
booking of games of the various conferences or schools to be served.
Assign games to members of the association in accordance with the schedules
obtained from the individual schools or conferences.
Diligently investigate all complaints against members and shall present the
evidence to the Board of Directors for its disposition, if warranted.
Have the authority to make policy as long as those policies are not
inconsistent with the policies of the Association.
Be paid a fee by the members for performing the duties of the Booking-Agent.
The fee shall be established by the Board of Directors prior to the annual
meeting. The fee shall be set pursuant to Article V, Section A of the By-Laws.
If no action is taken prior to the annual meeting, the fees in effect shall remain
in effect.
Be authorized to convene meetings of the Board of Directors or the members
of the Association in the same manner as the President.
Article V
Board of Directors

The Board of Directors shall consist of the officers, the directors, and the Regional
Supervisor. The Board of Directors shall:
A. Develop and implement policies for the Association within the constraints of
the Constitution and the By-laws. All recommendations concerning policies
must be approved by a majority vote of the Board of Directors.
B. Hear and decide upon all controversies that are presented to the Board of
Directors in writing.
C. Constitute a Board of Appeal as set out in Article XVI of these By-laws.
Article VI
Membership
Each Member shall:
A. Be currently registered and in good standing with the NCHSAA.
B. Application for membership shall be made to the booking-agent.
C. Not represent the Mid-State Officials Association unless authorized by the
Board of Directors.
D. Not individually contract for any contest with schools served by the
Association without the express permission of the Booking Agent
E. Not publicly criticize a fellow member, a coach, or players involved in any
contest officiated by members of Mid-State Officials Association.

Article VII
Registration and Dues
The membership year shall begin annually on February 1st and end on the same date the
year next following.
Booking fees for each member shall be set pursuant to Article V, Section A of these Bylaws. Nonpayment of the booking fee renders the member ineligible to officiate any
games, to vote on any matter at any meeting, or to serve as an officer or Director until
such fee is paid.
Article VIII
Uniforms
The uniform of the Association shall be as prescribed by the NCHSAA.
Assignment of numbers to be placed upon the uniforms shall be at the discretion of the
Board of Directors, and if so assigned, shall be recorded by the Secretary-Treasurer.
If approved by the Board of Directors, a Mid-State logo may be worn with the uniform.
Article IX
Officiating Procedures
All members shall conform to the mechanics and procedures prescribed by the
NCHSAA.
Article X
Meetings
Meetings shall be held at the call of the President or Regional Supervisor. The annual
meeting shall be held prior to February 28th and the semiannual meting shall be held prior
to July 1st. Special meetings shall be held by the President or Regional Supervisor upon
their own initiative or upon written request of 25% of the members. Notice of all
meetings shall be given to the members at least 7 days prior to the meeting.
The Regional Supervisor is responsible for holding individual sports meetings prior to or
during each sports season. The number of these meetings shall be determined by the
Regional Supervisor. There shall be a minimum of 2 meetings for each sport. Meetings
will be held at the time and place selected by the Booking-Agent. The Regional
Supervisor is authorized to allow excused absences of these meetings for good cause
shown, or to allow meetings to be made up.
