er ___ SPECIAL EDITION EDITION An Open Letter to Our Community D i\ 4 At Day Kimball Healthcare (DKH) our mission has always » been, and continues to be, to meet the health needs of the Northeast Connecticut community by delivering quality health care. AS you may already know, the healthcare industry is in a time of change. This is a period that requires courage and ee innovation to adapt successfully, and the determination to do the work that will make it happen. oy To that end, today we write to inform you of DKH's decision to Hartford ‘/ explore a strategic partnership with Hartford HealthCare (HHC). This partnership has the potential to lead to a formal affiliation HealthCare between our two institutions. The Day Kimball Healthcare Board of Directors voted yesterday to begin the process of exploring this opportunity by approving a non-binding Letter of Intent with HHC, which allows our two organizations to work together on an in-depth review to determine if affiliation is in the best interest of the communities we serve. This decision comes after a nearly two-year process of review and conversation with numerous other healthcare systems. During that time the DKH Board, working on behalf of the best interests of our community and in consideration of our employees, identified needs that must be met in order to ensure the continued successful delivery of high-quality, comprehensive health care in Northeast Connecticut. After extensive preliminary conversations with HHC, and after the review and approval of our Board of Directors, we believe that HHC can meet these needs. While we work with HHC to consider a formal affiliation, our two systems will enter into a series of management services agreements that will provide immediate benefit to DKH and our community. These agreements will allow for continued operational improvements, with a focus on quality and safety, physician recruitment efforts and the creation of more efficient services for the Northeast Connecticut region. They will also offer economies of scale that will help DKH to reduce our cost structure. During this time, DKH and its physicians will also have the opportunity to participate in HHC's Integrated Care Partners (ICP) organization, a physician ed community of providers dedicated to improving the coordination of care and patient outcomes. ICP member providers use evidence- based medicine protocols; forge partnerships with health plans, employers and providers; and provide services to improve the health of the populations they serve. Additionally, DKH clinicians and patients will have access to HHC's key system-wide health care services, which include cancer care, orthopedics, behavioral health, cardiology, stroke treatment, outpatient services and neuroscience. Again, the Letter of Intent is the first step in the affiliation process and both organizations will perform due diligence to determine if an affiliation would be in the best interest of those we serve. If both DKH and HHC choose to move forward, a Definitive Agreement would be created. This Would require the approval of the two organizations’ respective governing bodies, as well as regulatory approval by appropriate goverment agencies. It is expected that this will be a lengthy process. We will work to keep the community informed by providing updates of significant milestones in our e-newsletter and at daykimball on/newelay. We thank you for your continued interest and support as we seek to best serve the health and wellness needs of Northeast Connecticut into the future. Sincerely, iF =e ees hk A hldie Robert E.
