STATE OF GEORGIA COUNTY OF PAULDING AGREEMENT This agreement is made and entered into between PAULDING COUNTY INDUSTRIAL BUILDING AUTHORITY d/b/a ATLANTA FILM STUDIOS PAULDING COUNTY (hereinafter “AFS”) and_CELEPS Seca quny Tee WHEREAS, AFS is in the process of trying to sell the property upon which the film studio is located at 110 Thompson Road Hiram, Georgia to a buyer who will operate the property as a film studio; and WHEREAS, in the interim, AFS is engaged in the leasing of stage facilities for the entertainment industry including, but not limited to, motion picture production, commercial production, and music video production for various clients in the film, commercial, and entertainment industries; and WHEREAS, in an effort to both market the property for sale and to lease the facility until such time it is sold, AFS requires an Operations Manager to regularly be at the facility; and WHEREAS, 447” 44“ _ has experience in both the operation and marketing of real properties; and WHEREAS, AFS and C&C 9¢¢-©E wish to have a written agreement that sets forth the respective rights and obligations of both parties; and NOW THEREFORE, in consideration of the sum of ten dollars ($10.00), the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties, agree as follows: 1 % TaeACF _ shall serve as the Operations Manager for AFS. The position requires4<07y Ta-@1“E/ to rum the day to day operations of the film studio and generally oversee its operation. 2. The duties of the position include, but are not limited to, providing tours of the facility, performing inspections of the facility to make sure everything is in good working order, acting as a liaison between AFS and any tenant of the facility, performing or coordinating general maintenance of the facility, and other duties as prescribed by AFS. 3. In addition to the duties set forth above Aer 72Cf5 be responsible for assisting AFS in its efforts to sell the facility to a private person/entity. Those duties shall include but not be limited to showing the facility to potential buyers, serving as the initial contact for agents and potential buyers, answering questions about the facility, and utilizing his experience in helping to market the facility to potential buyers. 4. ABS shall pay Z2c€ 25Ce"~° _ the sum of $80,000.00 per year. 2 shall be considered an independent contractor and not an employee of AFS. hall be paid once a month on or about the 15th day of every month. 5. This contract shall expire on the earlier of the day that a purchaser closes the transaction to purchase the facility or December 31, 2015 unless otherwise terminated as provided below. 6. Either party may terminate this agreement for any reason by providing thirty (30) days written notice to the other, 7. The terms of this contract shall be governed and construed according to the laws of the State of Georgia. 8. If, during the term of this contract, itis found that a specific clause of the contract, is illegal in federal or state law, the remainder of the contract not affected by such a ruling, shall remain in full force and effect.
