TERMS & CONDITIONS

AGREEMENT OVERVIEW: This agreement expresses the full and complete agreement between the
named parties and Southern Image Studios regarding the subject matter hereof, it supersedes all prior
engagements. The retainer is due at the signing of this agreement. This is a NON-REFUNDABLE
RETAINER and is credited towards the total contract price.
COOPERATION: Unless notice otherwise, Southern Image Studios will be the exclusive
photographer/photography company of the event. The client agrees that guests may not take photos of the
assigned photographer setups, poses, or arrangements without the permission of the photographer. The
parties agree that good faith cooperation and communication between them is important in obtaining a
good result. Southern Image Studios recommends that the client identify to the photographer important
individuals during the event and during associated portraits, if they wish to have them photographed.
Southern Image Studios will not be held accountable for not photographing desired guests if there is no
one to assist in identifying and gathering people for photographs. Southern Image Studios is not
responsible if key individuals fail to appear or cooperate during photography, or for missed images due to
details not revealed to Southern Image Studios or beyond the photographer control.
HOUSE RULES: The client agrees and understands that the photographer is limited by the guidelines of
the ceremony official or reception site/venue management and the client agree to accept the results that
may occur from said guidelines. Negotiation with the officials for moderation of guidelines is solely the
clients responsibility. Southern Image Studios will however offer technical recommendations concerning
such guidelines.
IMAGES & COPYRIGHTS: Photographs and images that are developed and produced by Southern
Image Studios are protected by Federal Copyright Law (all rights reserved). Upon final payment by the
client, the client is granted limited license to use and display resulting images for personal use. Said
images may not altered or reproduced in any manner without prior written permission of Southern Image
Studios. This excepting clients who receive a high resolution digital disk with printing rights, who may
make prints for personal use, as indicated on disk label, but may not copy or redistribute the disk in any
matter. The client must obtain written permission from Southern Image Studios prior to the client, its
associates, friends or relatives publishing or selling the photographs.
TALENT/MODEL RELEASE: The client hereby grants to Southern Image Studios and its successors,
heirs, executors, administrators, assigns, attorneys, representatives and agents, the irrevocable and
unrestricted right to use and publish photographs of the client or in which the client may be included, for
editorial, trade, advertising or any other purpose and in manner or medium; to alter the same without
restriction; and to copyright the same. The client hereby releases Southern Image Studios and all
associates representatives and assigns from any all claims, actions, demands, suits, liabilities, damages,
expenses, and obligations of any kind arising from, or related in any manner to Southern Image Studios
use if said images.

BREACH OF CONTRACT: Should the client cancel or otherwise breach the agreement, the NONREFUNDABLE RETAINER shall be liquidated for damages to Southern Image Studios. The client shall
be responsible for payment of any materials/charges incurred up to time of cancellation. Otherwise, the
retainer shall apply towards the Final Total, with the remainder of charges payable in full, four weeks
prior to the date of the shoot or event.
LIMIT OF LIABILITY: In the unlikely event that the photographer has an emergency that prevents
them to photograph any shoot or event, Southern Image Studios will make every effort to secure a
replacement photographer. If a suitable replacement is not found in time, the client agrees that
responsibility and liability of Southern Image Studios to the client is limited to the return of all payments
received for the shoot or event Southern Image Studios takes the utmost care with respect to exposure,
storage, and processing the photographs, but cannot and does not guarantee that photographs of the event
will not be lost, stolen, or destroyed for reasons within or beyond Southern Image Studios control. The
client agrees that Southern Image Studios full and completely responsibility and liability are limited to the
return of all payments received for the event. The client further agrees that the limit of liability for partial
loss of originals shall be a prorated amount of the exposures lost based on the estimated percentage of the
total number of original images.
COMPLETION SCHEDULE: Images are expected to be prepared for proofing and images on a CD
will be delivered within 2-4 weeks of the event or shoot date.
