    To form a valid contract, the following elements must generally be present: an offer made by one party, an acceptance of that offer by the other party, and consideration or something of value exchanged by both parties. Both parties must have the legal capacity and authority to enter into the contract, their agreement must be clear and unambiguous, and the contract must have a lawful purpose and fall within any applicable statutes of limitations.
