In Attendance: Larry Goldberg, Frank Milezcik, Janette Heartwood, Tim Howard, Rita Zito, Richard Kreis, Karen Isa, Jane Woodward and Erin Rowe. Jane Woodward convened the Special Meeting at 4:05 pm. The meeting was authorized during the Planning Retreat of November 15, 2016 in response to the Humboldt Plan It Green 501c3 nonprofit offer to be transferred to Transition Humboldt by Larry Goldberg. The group gathered to evaluate the benefits and liabilities of adopting Plan it Green as our own nonprofit 501c3. Richard Kreis moved to accept the offer from Larry Goldberg, the Executive Director of Humboldt Plan It Green, of his 501c3 nonprofit corporation. Jane Woodward seconded the motion. During discussion, the motion was revised to: Do we want to accept the offer to adopt the Humboldt Plan It Green 501c3 nonprofit corporation and advertise it as Humboldt Plan It Green DBA Transition Humboldt? The decision was unanimous in favor of adopting the Humboldt Plan It Green 501c3 nonprofit corporation. (Per our existing rules, only those who have attended three recent Council meetings may vote.) Jane Woodward moved that volunteers for the Board Member positions be solicited through our email list and web site. Richard Kreis seconded the motion. It received unanimous support. A committee of Erin Rowe, Jane Woodward and Karen Isa were assigned the task of reviewing and selecting Bylaws to be voted upon at the Council Meeting to be held December 13, 4-6 pm at Janette Heartwoods home. Erin Rowe, Jane Woodward and Karen Isa were also asked to prepare the invitation to volunteer to become a Board Member. The invitation is to be emailed soon and responses received by December 11th so that the selection by vote could be held during the December 13th Council Meeting. Larry Goldberg will contact the insurance agent so that another committee may form to meet with the agent to address questions raised during discussion. They will report at the December 13th Council Meeting. Acting as a planning committee for the December 18th Holiday Party these details were established: Location, Marsh Commons Community Room; 6-9 pm; live music by Daniel Nickerson and Cyrus Smith; Frank Milezcik will check with Paula Jones to see if she would be able to volunteer her singing; holiday foods will be encouraged for the potluck, Paul McCartney comedy shorts will be shown by Janette Heartwood; comedy Advertising shorts may be shown by Erin Rowe; and a whimsical white elephant gift exchange will be held. Announcement: At the Humboldt Area Foundation, the Northern California Association of Nonprofits presents monthly educational opportunities.
