BY-LAWS

ARTICLED

The general nature of the club, its aims, objectives, transactions, and purposes shall be as a
non-profit service organization dedicated to promoting and supporting athletic activities
and any other activity the Club may deem necessary. The Club may assist in the financing
of these activities. The Club membership will strive to promote and maintain a spirit of
good fellowship among members, to develop a great civic pride in their school and its
worthy citiziits

ARTICLE.m

As provided in the By-laws of the Georgia High Sc~9oi ~~sociation, this Club will be
responsive to the policies of the Principal ofCampbell?Hig~-~~hool. Any provision, herein
'contained, which conflicts with the By-laws of the Ge:orgi~ jfigJt School Association shall
be null and void, and the provisions of the aforesaid pepfgia f.ljgh Schoof Association Bylaws shall govern.

ARTICLE IV
MEMBERSHIP AND DUES

Section 1. Regular membership shall be open to any person who is interested .in promoting
the athletic program at Campbell High School.

Section 3. Lifetime membership in the Campbell High School Athletic Boo~~~: CJub may
be conferred upon certain members. at the disqret~on qn_d under conditiOn$~Specifted by
the Board of Directors. Lifetime members shall hilve ttl/ the privileges ofi~gular
members; but shall pay no dues beyond that required to become a lifetim~jnember.

ARTICLE V
OFFICERS

Section I. General The officers of this Club shall be a President, a Vice President, a
Secretary, and a Treasurer.
The officers of this Club, at any time necessary, could be elected as co-officers. These
officers shall be elected annually from the membership and shall serve a term of one year
from July I to June 30. Election of the officers will be held at the May general meeting.
An officer may be removed from office by a vote of two-thirds majority of the membership
present and voting at any meeting. At least one week's notice must be given to the officer
being removed.
Section 2. Duties of the President - The President shall serve as Chief Executive Officer,
preside at all Club meetings, and appoint or approve the appointment of all Committees,
hereinafter specified.
He/she shall present to the membership an annual report on the affairs of the Club. This
report shall be given at the same meeting at which new officers for the ensuing year take
office.
A maximum of $200.00 may be used at the discretion of the President and the Principal
without the full vote of the membership. A full report of this expense will be made at the
next general meeting.
The President shall serve as Chairman of the Board of Directors (Article VI) and as an exofficio member of all committees except the Nominating Committee.
The President shall prepare and submit to the membership for approval at the September
regular meeting, a budget for any and all items of forecast expenditure which are not
attributable directly to any of the active sports programs. Funds for these activities may
be raised by special fund-raising efforts, or by assessing the various active sports an
appropriate amount, to be determined by the Board of Directors.
Section 3. Duties of the Vice President- With the President's approval, he/she may
appoint special committees to assist in performance of duties. He/she shall have all the
powers, authority, and duties of the President during his/her absence or inability to act.
Section 4. Duties of the Secretary - The Secretary shall keep and report the minutes of the
membership, of the Board ofDirectors, and any other meetings which the Secretary is
designated by the President to attend. Such minutes shall be kept in a legible and orderly
manner and shall be committed to the hands of each newly elected Secretary to provide a
running history of the affairs of the Club. Further, he/she shall, by examination of these
minutes, keep the membership advised of previous transactions, which by their context,

require continuing attention of the Club. He/She shall perfonn such duties as designated

by the President.
Section 5. Duties of the Treasurer- The Treasurer shall collect all dues and other moneys
raised by the Club and give receipts for the same. No funds of the treasury shall be
disbursed, with the exception ofArticle V, Section 2, paragraph 3, unless the account
balance for that sport is sufficient to cover the expenditure. No check shall be written
without receipt of paid invoice or proof of expenditure from the Team Board Member.
The Treasurer shall keep a &arate record of income and expenditures for each sport.

ARTICLE VI
BOARD OF DIRECTORS

Section 1. The Board of Directors shall consist of the officers of the Club, the Principal of
Campbell High School, an Assistant Principal of Campbell High School, the immediate
Past President of the Club, a representative of each active sport, the chairman of each
special committee, and the Athletic Coordinator. (Standing Committee Chairmen deleted).
Section 2. The Board of Directors shall constitute the administrative body of the Club. Its
recommendations shall be subject to the approval or disapproval of the membership at the
general meetings.
Section 3. The chairmen of the special committees, if any, shall be selected by the
President.
Section 4. Regular meetings of the Board ofDirectors shall be held during the year, the
time to be fixed by the President at its first meeting of the year. Directors present at any
regular meeting of the Board of Directors shall constitute a quontm, except not less than
five directors shall be present in order to vote and conduct business. Special meetings of
the Board of Directors may be called by the President, or by a majority of the members
of the Board The same quomm mles shall apply to special meetings.
Section 5. Team Board Members - The Team Board Member shall be an adult selected
from the membership by the President and the coach of the sport which he/she is
representing. Each active sport will have a Team Board Member. The duties of each of
these Team Board Members shall include attendance at all Board of Directors meetings,
coordinating fund-raising efforts, ordering equipment and submitting bills for payment,
and securing parent volunteers to assist. in Club activities. (Note: Fund-raising shall
mean the special events used by a sport, with the approval of the Board of Directors and
the Principal, to provide the money needed to operate that sports program. Each sport
will be required to be self-sufficient with respect to funds required to support its

activities). Funds raised will be deposited with the Club Treasurer or the School
Treasurer until such time as they are needed

Section I. Special Committees- From time to time, the officers of the Club may appoint
special committees for specific purposes. When the function of such a committee has been
fulfilled, it shall cease to exist.
Section 2. Nominating Committee- A nominating committee, consisting of five members;
shall be elected by the membership on or before the April Club meeting each year and said
nominating committee shall present its nominations to the full membership of the Club at
the May meeting for consideration of the membership.
The Nominating Committee shall elect its own chairman.
Nomination for each office may be presented from the floor of said meeting. providing
prior consent of the nominee has been obtained.
In case of more than one nominee for an office, the voting will be done by secret ballot.

Any nominee must be a member in good standing with the Booster Club.

ARTICLEVIll
MEETINGS, CLUB YEAR, AND VOTING

Section I. Club Year - The Club year shall be concurrent with the school year. July 1 June 30)
Section 2. Meetings - Regular meeting dates, times, and places shall be established by the
President and Board of Directors, except that the frequency of regular meetings shall be
shall in no case be less than once every two months while school is in regular session

(normally September through May). A special meeting must be called within seven (7)
days when a petition for such meeting by at least five (5) members is presented to the

President or the Board of Directors.


Section 3. Voting - All members whose dues are not in arrears shall have the privilege of
voting.
Section 4. Quorum- The members present shall constitute a quorum for the transaction of
business at any regular or called meeting of the Club. The President or Vice President
must be at any special called meeting and the membership shall be notified at least three
(3) days prior to any special called meeting of the Club.

ARTICLE IX
LIMITATION OF POWERS

This Club is organized to promote and support athletic programs of Campbell High
School and activities related thereto, and not for profit or pecuniary gain and shall have no
common stock and no stockholders. No part of the property of said Club and no part of
any earnings of the Club shall inure to the benefit of or be distributable to its members,
Board of Directors, or any other private persons, except that the Club shall be authorized
and empowered to pay reasonable compensation for services rendered and to make
payments and distribution in furtherance of the purposes set forth in Article IT hereof The
Club shall have the right to acquire, hold, own, lease, mortgage, pledge, sell or convey, or
otherwise dispose of both real and personal property, tangible or intangible, and make
purchases and alienations of the same; to maintain bank accounts, checking and savings, to
issue bonds, notes, receipts, and obligations, not for the purpose of trade or profit, but for
the purpose of promoting the objectives of said Campbell High School Athletic Booster
Club, together with all necessary and incidental rights thereto, to have the right and
authority to enforce good order, to receive donations, subscriptions, dues, and
contributions to promote the purposes and objectives of said Club. Also to exercise all
other rights and powers authorized by law, as may be suitable and not inconsistent with
the law, nor violative of private rights, nor inconsistent with the non-profit nature of this
Club.

ARTICLE X
AMENDMENTS TO THE BY-LAWS

Section 1. The present By-laws will be accepted or rejected annually at a regular meeting.

Section 2. Any proposed change may be brought before the Board of Directors for
consideration and presentation to the membership at the next regular or called meeting of
the Club.
Section 3. Any proposed change may be presented to the membership at a regular or
called meeting for consideration, but no action shall be taken thereon until the next regular
or called meeting.
Section 4. In all cases, any change in the By-laws must be voted on by the membership
after notice and a majority of those voting shall prevail.
Section 5. The Roberts Rules of Order Revised shall be the parliamentary authority for
this Club in all cases where they cu:e not inconsistent with the By-laws of said Club.
