Puppy Contract

1. CONSIDERATION
Purchase price is $1500.00 which will be paid in full prior to receipt or shipment of the puppy.
Shipment costs (including crate, airfare, etc) are the responsibility of the Buyer. All shipping
costs must be paid in full before the puppy is shipped.
The shipping arrangements will be mutually agreed upon by both the Buyer and the Breeder.

2. REGISTRATION
Buyer will be designated as Co-Owner and Deborah Reid as MSCA/UKC Sole Signatory on
the registration of the puppy with Black Alders Ranch's mailing address.
The Black Alder prefix shall be at the beginning of the puppys name.
At this time the puppy is judged to be of breeding potential and is a good example of the
Maremma Sheepdog breed. Breeder will complete the registration once Buyer decides upon a
name. A copy of the registration will be sent to Buyer.
Breeder will retain the original registration certificate and co-ownership of the puppy until all
stipulations of this contract are fulfilled.

3. HEALTH
A. Black Alder guarantees that this puppy is in good health at time of purchase and will furnish
Buyer with the puppys immunization record and recommended diet sheet. Buyer shall have
the puppy examined by a licensed veterinarian within 72 hours of purchase. Full purchase
price shall be refunded if Black Alder is supplied with a written opinion of a veterinarian
describing any health problem found within this 72 hour period.
Buyer further agrees to maintain the puppy at all times in good health with regular veterinary
checkups, and will secure such vaccinations, de-worming and veterinary care as
recommended.
B. Buyer agrees to have a canine CAER eye exam and have this puppy x-rayed for hip
dysplasia and elbow dysplasia between 24-30 months of age. These certifications are to be
done in accordance with the Orthopedic Foundation for Animals, Inc. (OFA) or PennHip
procedures and submitted to the OFA or PennHip for evaluation. A copy of OFA/PennHip
results will be sent to Black Alder Ranch

4. GUARANTEE
A. This puppy comes with a Lifetime Satisfaction Guarantee. If you are not 100% satisfied with
your Black Alder Maremma Sheepdog puppy at any time during the lifetime of the puppy, for
any reason, you may return the puppy to Black Alder Ranch with the puppys signed
registration.
B. If the puppy is found to have any of the faults below:
Hereditary genetic Hip Dysplasia as verified by OFA or PennHip scores of DI .51 or higher
or Grade 2 elbow dysplasia as verified by OFA
All OFA/PennHip claims are to be made before the puppy is 30 months of age
Any disqualifying fault as per the Official MSCA/UKC Breed Standards.
This claim must be made by the time the puppy is 24 months
of age and is subject to verification by Breeder
Any hereditary eye problem as determined by a Board Certified Ophthalmologist
All claims for eyes are to be made before the puppy is 30 months
of age and must be documented by an OFA report
Any other hereditary or congenital defect or disease as documented by a Licensed Veterinarian and
verified by a second Veterinarian of the Breeders choice
All claims for other hereditary or congenital defects or disease
must be made by the time the puppy is 12 months of age

Buyer will be able to purchase another Breeding-Quality puppy from a future Black Alder litter
for $700.00 off the purchase price once Breeder has received a copy of the health reports and
the original puppys spay/neuter veterinary documentation.
C. If the puppy is found to have any of the following severe hereditary health conditions:
Hereditary genetic severe hip dysplasia as verified by OFA/PennHip of DI .70 or higher
or Grade 3 elbow dysplasia as verified by OFA
All OFA/PennHip claims are to be made before the puppy is 30 months of age
Any other hereditary or congenital defect or disease that would physically prevent
the puppy from performing as a livestock guardian dog or that is severe enough to require
that the puppy be euthanized as documented by a Licensed Veterinarian and verified by a
second Veterinarian of the Breeders choice
All claims for other hereditary or congenital defects or disease
must be made by the time the puppy is 12 months of age

Buyer will receive a replacement Breeding-Quality puppy from a future Black Alder litter once
Breeder has received a copy of the health reports/certificates and the original puppys
spay/neuter veterinary documentation or euthanasia report.
There is no guarantee as to when the next litter will be available. All health

checks/certificates must be completed by the age(s) stipulated in this contract or this
Guarantee is invalid. This guarantee applies only to the original Buyer.
5. BREEDING
A. Buyer agrees to not breed this puppy until:
1) The puppy is a minimum of two years of age.
2) The puppy must be OFA hips certified Fair, Good or Excellent, or have PennHip DI
scores of .50 or less. The puppy must pass elbow certification and have their eyes
cleared through OFA. OFA/Pennhip health certifications must take place after the puppy
turns 24 months of age. Copies of all health certifications shall be sent to Black Alder
prior to any breeding taking place.
3) The puppy has earned one of the following titles:
a) be a working livestock guardian dog
or b) UKC CH, UAGI, UCD; UROI; TT (Temperament Tested); AKC CGC; FCI CH.
4) Any dog with which this puppy is to be bred must also meet the conditions set forth in
this paragraph including the health certifications and either the required title or be a
working livestock guardian dog.
B. Alternatively, Buyer may request Black Alder to waive any of the foregoing requirements, for
good cause shown, which Deborah Reid may accept or reject at her sole discretion. If Black
Alder consents to such breeding, consent must be received in writing before any breeding
takes place.
C. Buyer acknowledges that improper breeding of the puppy could cause irreparable injury to
Black Alder Ranchs reputation and could endanger the Maremma Sheepdog breed. The Buyer
agrees to strictly adhere to the health testing requirements as set forth by the Maremma
Sheepdog Club of American and those stipulated within this contract.
Buyer agrees that extreme care will be taken to prevent accidental breeding!
D. In the case of a female puppy, it is agreed:
It is preferable for the puppy to be bred for her first litter between the ages of 2 - 4 years. Black Alder
retains the right to approve the stud dog for the first two breedings. The stud fee and all medical bills
shall be paid by the Buyer. Deborah Reid has the option to choose the pick puppy from either the first
OR second litter as her own. The pick puppy shall be chosen by Black Alder by the time the litter
reaches 8 weeks of age. Black Alders pick puppy will carry the Black Alder kennel name prefix and
Black Alder shall choose the name. If there are shipping costs involved to receive the pick puppy,
Black Alder will pay those costs. After Black Alder has received the pick puppy, Deborah Reid agrees
to release co-ownership and full ownership of the puppy will be transferred solely into the Buyers
name. Buyer agree that this puppy will not be bred and raise a litter (consisting of 3 or more live
puppies) more than once every 12 months, and will not have more than 4 litters total in her lifetime.
Buyer agrees that this puppy will be spayed within thirty days of turning 8 years of age, and will provide
Breeder a copy of the spay certificate.

E. In the case of a male puppy, it is agreed:


Black Alder retains the right to use him at stud for a total of two live litters (consisting of 3 or more live
puppies) with bitches chosen by Black Alder, or to collect and freeze semen twice for future use. In

either case, this will be done at no expense to the Buyer. Buyer agrees to only breed selectively, to
quality bitches, and to not over-breed the puppy. Once Black Alder has a total of two live litters OR two
semen collections, and/or this puppy has reached 4 years of age, Deborah Reid agrees to release coownership and full ownership of the puppy will be transferred solely into the Buyers name.
F. Buyer agrees to strictly adhere to the rules and regulations regarding health testing and breeding set
forth by the current Code of Ethics (those in place at the time of the breeding) of the Maremma
Sheepdog Club of America.
G. The Buyer agrees that any puppies resulting from the breeding(s) of this puppy will be placed in
responsible, caring homes.
6. ADDITIONAL TERMS
A. Buyer agrees to notify Black Alder of any changes of address within 30 days and to provide (at least)
yearly updates and pictures of the puppy for the lifetime of the puppy.
B. Buyer further agrees that proper safeguards will be taken to assure for the care and comfort of the
puppy. It is the understanding that this puppy will be either a household (indoor) companion and that it
will have access to a fenced yard or be a livestock guardian dog and will be kept in a safe, enclosed
area and provided with a proper seasonal shelter at all times. Black Alder will discuss with the Buyer
the recommended diet and the puppy will always have access to fresh, clean water. Buyer agrees not
to tie or otherwise tether said puppy for primary confinement, use the puppy for fighting, or promote
unstable aggressive tendencies in the puppy.
C. It is expressly understood that under no circumstances may Buyer(s) transfer ownership of this
puppy to any party not included in this original sales agreement. If any circumstances require that this
puppy can no longer remain in the possession of the Buyer, it is agreed that the puppy, including signed
registration, be immediately returned to the Breeder at the Buyers expense.
It is agreed to by Buyer that upon the death of this puppy, at any age, prompt notice will be given to
Deborah Reid.
D. Buyer agrees to list Black Alder Ranch as the breeder in any advertising or media regarding this
puppy.
E. If this puppy is utilized for breeding in violation of this contract by any person or entity, is
rehomed without the Breeders written consent, or is surrendered to any shelter/rescue,
Deborah Reid shall be entitled to demand immediate return of the puppy (and any progeny), and
Buyer shall transfer the registration of the puppy back to the Breeder, and be liable to Deborah
Reid for liquidated damages in the amount of $10,000.00, without reduction or setoff in any
amount whatsoever.
7. LEGAL AGREEMENTS
A. This Agreement is to be construed according to the laws of the State of Idaho. Any suit by either
party against the other shall be brought in the District Courts in and for the State of Idaho and in Adams
County, Idaho. Buyer submits themselves to the jurisdiction of the Courts and laws of the State of Idaho
and they specifically waive any claim of jurisdiction in any other Court or in a Court of any other
Country. All litigation, one against the other, shall be brought in the State of Idaho.

B. It is stipulated by and between the parties herein, that failure to comply with the conditions of this
contract shall constitute a breach of contract and will result in the puppy being permanently returned
to Deborah Reid. Further, Buyer(s) agrees to remain in good standing with the Maremma Sheepdog
Club of American and the United Kennel Club. Suspension from the either club will result in the puppy
being permanently returned to Black Alder. In either case, Buyer(s) shall forfeit all monies paid for and
spent on the puppy and turn over puppy, with signed registration. If the puppy is returned because of
breach of contract, it shall be at no expense to Breeder.
C. It is agreed that should any legal action result from breech of this contract, the party so breaking the
agreement shall bear all legal costs, attorneys fees and experts fees incurred by the prevailing party.
Further, regarding any breech or anticipated breech of this Sales Agreement, Black Alder shall in
addition to any other rights granted hereunder, have the right to seek an injunction from the court of
competent jurisdiction to enforce the provisions of any paragraph herein. It is further agreed that any
puppies produced as a result of any breeding conducted in violation of this sales contract, whether such
breeding is described as planned, intentional or accidental, conducted by natural or artificial means,
shall NOT be registered by MSCA or UKC or any other dog or animal registry.
D. Buyer agrees to release and hold harmless Deborah Reid for any and all liability, damages or
injuries, caused either directly or indirectly by the puppy to any person, whether actual or legal, or to
any property, whether real or personal. Furthermore, Buyer assumes full liability for any damages or
injuries, whether physical, mental, emotional or economic, caused by the puppy, to any person, whether
actual orlegal, or to any property, whether real or personal, after receiving and acknowledging delivery
and possession of the dog. Buyer further agrees to indemnify or reimburse Black Alder as a result of
any costs of expenses incurred by Deborah Reid as a result of any act of Buyer causing liability,
damages or injuries as set forth herein.
E. The laws of the State of Idaho, venue in Adams County, will govern all legal questions or disputes
regarding this contract. Buyer expressly waives any and all objections to jurisdiction and venue. If any
term, provision, condition or covenant of this agreement, for any reason, were held illegal, invalid, void
or unenforceable, the remainder of this contract will be in full force and effect.

By signing below I acknowledge that I have read, understand and agree to abide by the
terms contained in this contract, and that I received a copy of the contract in its
entirety.
I understand that this document contains the entire agreement of the parties and shall
be binding to the parties signing, as well as their heirs, successors and legal
representatives.
