ARTISTRECORDINGCONTRACT

1.AGREEMENTmadethis__________________dayof___________________,20______,
between___________________________________________________(hereincalled"theCompany")
and

forthetenderingofpersonalservicesinconnectionwiththeproductionofCommercialSoundRecords.
2.Thisagreementshallremainineffectforaperiodof

hereof,andduringthatperiodyouwill,atmutuallyconvenienttimes,cometoandperformatthe
Company'srecordingstudiosforthepurposeofrecording

selectionsor
morethanthisnumberiftheCompanysodesires.
InconsiderationofthisAgreementandwithoutfurtherpaymentthanashereinprovidedforyourself,
yougranttotheCompany,itsassociates,subsidiariesandnominees(1)therighttomanufacture,advertise,
sell,lease,licenseorotherwiseuseordisposeofinanyorallfieldsofuse,throughouttheworld,orto
refraintherefrom,throughouttheworldoranypartthereof,recordsembodyingtheperformancestobe
recordedhereunder,uponsuchtermsandconditionsastheCompanymayapprove;(2)therighttouseyour
nameandphotographifdesired,inconnectionwiththeexploitationofsaidrecords;and(3)allrightsinand
tothematricesandrecords,andtheuseandcontrolthereof,uponwhicharereproducedtheperformances
toberecordedhereunder.
3.TheCompanywillpayyoufortherightsgrantedhereinandtheservicestoberenderedhereunderby
youaroyaltyof______________________centsforeachdoublefacedrecordmanufacturedandsold
throughouttheworldbytheCompanyoritsassociatesorsubsidiaries,onbothfacesofwhichareembodied
anyoftheselectionsrecordedhereunder.IncaseofrecordsmanufacturedandsoldbytheCompanyon
onlyonefaceofwhichisembodiedaselectionrecordedhereunder,theamountofroyaltyshallbeonehalf
oftheamountsetforthabove,exceptingincaseswheretherecordingshallbeoffulllengthononeside(in
suchcaseasaCompactDisk).
4.Paymentofaccruedroyaltiesshallbemadesemiannuallyonthefirstdayof____________________

ofeachyear.TheCompany,however,shallhavetherighttodeductfromthe
amountofanystatements,oraccountsofroyaltiesdue,theamountofroyaltiespreviouslypaidtoyouor
recordssubsequentlyreturned,eitherasdefectiveoronexchangeproposition.
5.YouagreethatduringtheperiodofthisAgreementyouwillnotperformforanyotherperson,firmor
corporation,forthepurposeofproducingcommercialsoundrecords,thataftertheexpirationofthis
Agreementyouwillnotrecordforanyoneelseanyofthemusicalselectionsrecordedhereunder,andthat
intheeventofabreachofthiscovenant,theCompanyshallbeentitledtoaninjunctiontoenforcesame,in
additiontoanyotherremediesavailabletoit.
6.TheArtistherebywarrantsthathehasnooralorwrittenobligationscontracts,oragreementsofwhatever
natureenteredintopriortothesigningofthisagreementwhicharenowinforceandbindingandwhich
wouldinanywayinterferewithcarryingoutthisagreementtoitsfullintentandpurpose.
7.IfanyinstrumentalmusicianswhoseservicesareengagedhereunderaremembersoftheAmerican
FederationofMusicians,thefollowingprovisionshallbedeemedtobeapartofthisagreement:
"AsthemusiciansengagedunderthestipulationsofthiscontractaremembersoftheAmerican
FederationofMusicians,nothinginthiscontractshalleverbeconstruedastointerferewithany
obligationwhichtheyowetotheAmericanFederationofMusiciansasmembersthereof."

8.ItismutuallyunderstoodandagreedthatintheeventthelicenseissuedtotheCompanybytheAmerican
FederationofMusicians,andpursuanttowhichtheCompanyengagestheservicesofFederationmembers
asinstrumentalmusicians,shouldberevokedorterminated,withorwithoutcause,andintheeventyouor
anyofthemembersoftheMusicalOrganizationaremembersoftheFederation,theCompanymay,atits
option,terminateandcancelthisagreementwithoutliabilitytoyou.
9.TheCompanyshallhavetheprivilegeandoptiontoextendthisAgreementfromthedateofits
expirationforaperiodequaltothetermsofthisAgreementbygivingtoyounoticeinwritingofits
exerciseofsuchoptionanditselectiontocontinue.Suchnoticeshallbegiventoyoupersonallyorbe
mailedtoyourlastknownaddressnotlessthantendayspriortotheexpirationofthisAgreement.Uponthe
givingofsuchnoticethisAgreementshallbecontinuedandextendedforsuchfurtherperioduponthesame
termsasthoseabovesetforth.
