Exclusivetermsongwriteragreement
IrepresentPublisher.

1. Term
a. Theinitialtermofthiscontractwillstartfromthesigneddateofthiscontractand
lastthreeyears.Duringthisterm,thesongwriterwilldeliveraminimumoften
creativecompositionstobecommerciallypublished.1
b. Wherethesongwriteragreementisnottiedtoarecorddeal,thepublisherwillbe
exercisabletwooneyearoption.2
2. Scopeandcompositions
a. Therightslimitedinthisagreementareonlyvalidforsongsthatarecreatedand
publishedafterthesigneddateofthiscontract.
b. SongsthatwerecreatedandpublishedbytheArtistbeforethesigningofthis
agreementarenotsubjecttothisagreement.3
3. Territory
Thepublisherownsallright,title,andinterestinandtothesongsandtheseriesexclusively,
inpermanency,throughouttheuniverse.4
4. Exclusivity
Thesongsthatarecomposedduringthetermshouldbeallowedordisallowedbythe
publisherascommerciallyviablewithin30to60daysafterdelivery.Thesongwriterwill
receivetherejectedsongsback.5
5. GrantofRights
a. Thesongwriterwillnotreceivebacktheownershiptocompositionsofthe
songwriter.Fortheperiodofthecopyright,thepublisherwillhaveownershipof

thesesongsthatarecreatedduringtheterm,evenifthesongwriterownedsongswith
others.6
b. Thesongwriterhasthefirstopportunitytofixsongsdesiredbythepublisher.7
c. InXratedfilmsorthosetakinganovertpolitical,religiousormoralstand,
songwriterscanprotecttheintegrityoftheirsongs.Songwriterscanrequiretheir
agreementfortheuseoftheirsongsincommercialsiftheythinkitisinappropriate
andmaydiminishtheworthofthesong.8
6. Advances
a. Firstadvanceforthesongwriteris$50,000.
b. Atfirstrenewalterm,thesongwriterwillreceive$5,000morewhichis10%offirst
yearsadvance.Ifasongfromformaltermhitsthetop20onBillboardsrecordsale
chartsthesongwriterwillgetabonusof$5,000.
c. Atsecondrenewalterm,thesongwriterwillreceive$5,000morethanformerterm.If
asongfromformaltermhitsthetop20onBillboardsrecordsalecharts,the
songwriterwillreceive$5,000forabonus.9
7. Royaltiesandroyaltysplit
a. Thesongwriterwillbepaid50%ofnetincomefromallprintexploitation,
streaming,permanentdownloads,satelliteradiotransmission,videogames,cell
phonerings.
b. Thesongwriterwillbepaid50%ofnetsumsbypublisherfrommechanicalrights,
electricaltranscriptionandreproductionrights,motionpicturesynchronization
andtelevisionrights,andallotherrightssuchassonglyricfolios,magazinesor
anyothereditionswhatsoeversoldbylicenseesofpublisherintheUS.
c. Thesongwriterwillbepaid50%ofthepublicperformanceroyaltiesthroughout
theworlddirectlyfromperformingrightssociety(usuallyASCAP,BMIor
SESAC).
d. Subpublisherpercentage
Thesplitbetweenthepublisherandsubpublisheris80/20,representingthepublisher
andsubpublisherssharesofgrossincomefromitsorigin.Thesongwriterwillget
50%ofnetsumsofpublisher,afterdeductionofforeigntaxes.10

9. Recoupablecosts
Alladvancesmadetotheartistmustberecoupedbythepublisher.
Thepublisherreservestherighttouseallformerlyreleasedalbumsartistroyaltyearnings,to
recoupallunpaidadvancesowed.12

INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasofthedayand
yearfirstabovewritten.
