FIRST RENEWAL OF MANAGING ENVIRONMENTAL
‘CONSULTING SERVICES AGREEME

THIS FIRST RENEWAL OF MANAGING — ENVIRONMENTAL
CONSULTING SERVICES AGREEMENT ("First Renewal Agreement’) is entered into
as of the first day of August, 2014 (the “Effective Date”) between the BOARD OF
EDUCATION OF THE CITY OF CHICAGO, a body politic and corporate (the "Board")
and CARNOW, CONIBEAR & ASSOCIATES, with offices located at 300 West Adams
Street, Suite 1200, Chicago, IL 60606 (“Consultant”),
A. The Board and Consultant entered into that certain Managing Environmental Consulting
Services Agreement dated as of August 1, 2011, (the “Agreement”), in which the Consultant
agreed to provide certain professional environmental consulting, management, and oversight
services to the Board
B. The Board desires to exercise its first option to renew the Agreement for the period
commencing August 1, 2014 and ending July 31, 2016 on the terms and conditions set forth
below, which terms and conditions are acceptable to the Consultant, The Board has one (1)
additional two (2) year option to renew the Agreement remaining,
NOW THEREFORE, in consideration of the foregoing Recitals, which are incorporated
herein as though set forth in full, and for other good and valuable consideration in hand paid,
the receipt and sufficiency of which is hereby acknowledged, and the mutual covenants and
conditions contained herein, the parties agree as follows:
1. Agreement Definitions: All defined terms used herein shall have the same meaning as in
the Agreement, unless otherwise defined herein or the context clearly requires a different
meaning or connotation
2. Term: The parties agree that the Board has exercised its first option to renew the
Agreement; accordingly the Agreement shall be extended for an additional two (2) year term to
commence on the Effective Date and end on July 31, 2016 ("First Renewal Term”)
3. Renewal Options: The Board has one remaining option to renew the Agreement for an
additional two year term after the expiration of the First Renewal Term.
4. Scope of Services: During the First Renewal Term, the Consultant shall continue to
provide the same Services set forth in Exhibit A to the Agreement to the regions set fort!
Exhibit D-1 attached hereto. Those Services include, but are not limited to:
A. Provide Oversight/Management of environmental contractors/consultants;
B. Provide Audit and Quality Assurance/Quality Control;

Coordinate environmental work,
Conduct/Review Site Assessments, Audits, Investigations,
Provide design and bid specifications for environmental work;
Collection and analysis of samples including, but not limited to, biological,
asbestos, lead, soil, waste and air,
Conduet microbiological and indoor air quality assessments,
Develop and provide educational services to Board personnel;
Respond to environmental emergencies including, but not limited to, chemical
spills, asbestos, and lead painting incidents; and

5. Compensation: Compensation for all consultants with agreements under Board Report
No. 14-0528-PR4 shall not exceed a total of Eight Million and 00/100 Dollars ($8,000,000.00)
in the aggregate during the First Renewal Term. Consultant shall be paid in accordance with
the compensation and payment terms set forth in Section 4 of the Agreement and according to
the rates set forth in Exhibit B-1 of this First Renewal Agreement.
6. Key Personnel: Consultant may not reassign or replace Key Personnel without the
written consent of the Board, which consent shall not be unreasonably withheld or delayed
“Key Personnel” means those job titles and persons assigned to those positions in accordance
with the provisions of this Section. The Board may at any time in writing notify Consultant
that the Board will no longer accept performance of Services under this Agreement by one or
more Key Personnel listed. Upon that notice Consultant must immediately suspend the key
person or persons then performing Services under this Agreement. Key Personnel, if any, are
identified in Exhibit C-1
= Freedom of Information Act: Consultant acknowledges that this First Renewal
Agreement and all documents submitted to the Board related to this contract award are a matter
of public record and are subject to the Ilinois Freedom of Information Act (5 ILCS 140/1) and
any other comparable state and federal laws and that this Agreement is subject to reporting
requirements under 105 ILCS 5/10-20.44. Consultant further acknowledges that this
Agreement shall be posted on the Board’s Internet website at www.cps.edu.
8. Debarment_and_Suspension: Consultant certifies that it, each of its joint venture
members if a joint venture, and each of its subcontractors, if any, is not presently debarred,
suspended, proposed for debarment, declared ineligible, or voluntarily excluded from
participation in this transaction by any federal department or agency or any unit of State or
local government. Consultant acknowledges that in performing the Services for the Board,
Consultant shall not utilize any firms that have been debarred from doing business with the
Board under the Board's Debarment Policy, 08-1217-PO1, as amended from time to time.
9. Counterparts and Facsimiles: This First Renewal Agreement may be executed in any
number of counterparts, each of which shall be deemed to be an original, but all of which
together shall constitute but one instrument. A signature delivered by facsimile or electronic

10, Original Agreement: Except as specifically amended or extended herein, all other terms
of the Agreement shall remain in full force and effect throughout the First Renewal Term.
IN WITNESS WHEREOF, the parties hereto have executed this First Renewal
Agreement as of the date set forth at the beginning of this document.
