Woosekwan Taekwondo System


PREAMBLE: The name of the association is Woosekwan Taekwondo Association hereinafter referred to as WOOSEKWAN. The association shall have an office located at 208 Westville St. 2, Dorchester, Massachusetts, 02122 and at such other places as shall be designated by the Board of Directors from time to time by resolution. The association has not been formed for the making of any profit, or personal financial gain. The assets and income of the association shall not be distributable to, or benefit the trustees, Directors, or Officers or other individuals. The assets and income shall only be used to promote corporate purposes as described below. Nothing contained herein, however, shall be deemed to prohibit the payment of reasonable compensation to employees and independent contractors for services provided for the benefit of the association. The association is organized exclusively for charitable and educational purposes. This association shall not carry on any other activities not permitted to be carried on by an organization exempt from federal income tax. The association shall not participate in any political campaign in any manner. The association shall not attempt to influence legislation. The association is organized exclusively for charitable, scientific and educational purposes. In order to establish unified standards for teaching, learning, and advancement through the ranks of the Woosekwan Taekwondo System hereinafter referred to as Woosekwan Taekwondo; and in order to provide a framework for personal and collective physical, mental, emotional, social, and spiritual development through martial arts training; WOOSEKWAN does hereby establish this constitution for the governance of the Woosekwan Taekwondo. As it relates to WOOSEKWAN is a membership organization for individuals who train in Woosekwan Taekwondo. Its mission as it relates to the governance and advancement of Woosekwan Taekwondo: WOOSEKWAN is dedicated to providing and facilitating quality martial arts instruction, leading to the most prestigious Black Belt ranking certifications in the martial arts world. Through the disciplined, internal growth of its membership and the development of world class teaching ability and leadership within its ranks, WOOSEKWAN seeks to make Woosekwan Taekwondo one of the most recognizable and respected martial arts systems in the world. Building on these principles, WOOSEKWAN is committed to providing a quality martial arts training experience to every student of Woosekwan Taekwondo, and to enriching and serving the communities in which it is represented by cultivating high character in the lives of its members.

ARTICLE I. Objectives
Section 1. Martial Arts Instruction. WOOSEKWAN is dedicated to providing and facilitating quality martial arts instruction, leading to the most prestigious Black Belt ranking certifications in the martial arts world. a) WOOSEKWAN will continue to build upon the Woosekwan Taekwondo foundation to provide a continually improving, modern martial arts experience to its practitioners. b) WOOSEKWAN will continually improve its instructional and evaluation methods and make these available through training to all Authorized Instructors. c) All Authorized Instructors of Woosekwan Taekwondo will teach the same core principles as outlined in the curriculum. d) Woosekwan Taekwondo Black Belt tests will be standardized and use a consistent format and system of evaluation. e) The most complete and modern knowledge and methods available will be utilized by Instructors to promote student development. f) Black Belt certificates accredited by WOOSEKWAN will be among the most prestigious and respected rank certifications in the martial arts world. Section 2. Advancement of Woosekwan Taekwondo. Through the disciplined, internal growth of its membership and the development of world class teaching ability and leadership within its ranks, WOOSEKWAN seeks to make Woosekwan Taekwondo one of the most recognizable and respected martial arts systems in the world. a) WOOSEKWAN will seek to expand the ranks of its membership by promoting quality training and membership retention and providing constant learning opportunities for the growth and development of every individual member. b) WOOSEKWAN will seek to become represented in areas where it is not currently represented. It will do this consistent with its ability and resources to provide leadership and to support growth in each potential growth area. c) WOOSEKWAN will provide access to ongoing Instructor training to facilitate organizationwide uniformity in teaching, learning, and evaluation standards. d) WOOSEKWAN will promote the development of leadership skills in its membership through training and organizational participation.

Section 2. Tenets of Taekwondo. We believe that observance the tenets of Taekwondo; Courtesy, Self-control, Integrity, Perseverance and the Indomitable Spirit along with maintaining a Superior attitude can lead to success develop in the lives of our members and have a positive influence on society as a whole. 1. Courtesy: Taekwondo students should attempt to be polite to one another and to respect others. Students should address instructors as Sir and to bow to the instructors before and after classes. Turning up early or on time for classes is also an aspect of courtesy. 2. Integrity: One who has integrity is able to define what is right or wrong and have the conscience, if wrong, to feel guilt. Taekwondo students should strive to be honest and to live by moral principles. 3. Perseverance: Perseverance means having patience. One of the most important secrets of becoming a leader in Taekwondo is to overcome every difficulty by perseverance. Confucius said," One who is impatient in trivial matters can seldom achieve success in matters of great importance." 4. Self-Control: Without self-control, a Taekwondo student is just like any fighter in the street. Loss of self-control is disastrous both in sparring and personal affairs. "The term of stronger is the person who wins over oneself rather than someone else", Lao Tzu. 5. Indomitable Spirit: A true student of Taekwondo will never give up, not even when faced with insurmountable odds. The most difficult goals can be achieved with indomitable spirit.

ARTICLE III. Code of Conduct


a) Service - Give unselfishly of ones time and abilities in the service of others, and encourage others to do the same. b) Respect - Show respect for the ranking system and honor senior ranking members. Show respect for self, other students, and all human beings. Show respect for the system by giving ones best efforts and for ones school by maintaining a clean and orderly place to train. c) Honesty - Personal, business, and family lives will be conducted honestly and uprightly, without lying, cheating, or stealing. d) Self Improvement - Develop habits of lifelong learning and self improvement, and practice these principles in personal and family life. e) Health -Safeguard our skills and our lives by avoiding harmful practices such as smoking, drug abuse, and excessive use of alcohol. f) Loyalty - Support the Woosekwan Taekwondo, WOOSEKWAN, ones Instructor, school, and fellow students in word and in deed. g) Character - Reflect honor and respect on the martial arts and on WOOSEKWAN by living a clean and upstanding life. h) Control - Use discipline in controlling ones basic emotions such as anger and fear. Show respect for others by learning and exercising control of techniques while training. Understand the effect ones actions have on others - physically, mentally, emotionally, and spiritually.

i) Courage - Develop courage by confronting fears and influences that can cause physical, mental, emotional, or spiritual failure or defeat. j) Sincerity - Demonstrate sincerity by carrying the values of WOOSEKWAN into personal life.

ARTICLE IV. Protocol and Conduct


WOOSEKWAN Headquarters and each WOOSEKWAN Branch School will have standards of individual and class protocol and conduct in the training area. A WOOSEKWAN Branch School is classified any location, owed and or operated by the association other that WOOSEKWAN Headquarters where the Woosekwan Taekwondo curriculum is taught. a) WOOSEKWAN Schools are profanity-free (except where special permission is granted for training purposes), illegal drug-free, smoke-free, and alcohol-free. b) Both Instructors and students show respect for the training area, the Woosekwan Taekwondo System, its founders, and their schools and Instructors by bowing in and out of the training area, and preserving the order of classes in session. c) Instructors should be addressed as Mr., Mrs., Ms., or Miss, with higher ranking Black Belts always being shown respect with a collective bow when entering a school with a class in session. d) Complete safety equipment is required for any sparring or other forms of training where it is necessary to the safety of participants (except where special permission is granted for training purposes). e) All members should show respect for the ranking system by being attentive and never challenging someone of higher rank to fight or spar. f) Safety and cleanliness are very important in WOOSEKWAN Schools. Jewelry, gum, food or drink, poor hygiene, untrimmed fingernails and toenails, and the like, may be safety hazards for oneself or others. Soiled, unkempt, or foul-smelling uniforms are an annoyance to everyone, and are disrespectful to wear, either in the school or at public events where one represents WOOSEKWAN. Members should take pride in their school by helping to keep it clean, neat, and orderly. g) All members should stay current on financial obligations to their school. h) These standards of protocol and conduct are extended to include larger WOOSEKWAN gatherings, such as the annual Training Conference, Black Belt tests, multi-school or regional seminars, etc.

It is understood and agreed by all members of Woosekwan Taekwondo Association that the following bylaws are an integral part of the Constitution for the Governance of the Woosekwan Taekwondo by Woosekwan Taekwondo Association.

ARTICLE I. Organizational Structure


Section 1. Board of Directors. The corporation shall be managed by a Board of Directors consisting of five (5) Directors. As the governing body of the organization, the WOOSEKWAN Board is responsible for organizational strategy and direction. It sets the tone of the organization for the membership, determines the technical standards for Woosekwan Taekwondo and for advancement through its ranks, serves as guardian of WOOSEKWANs values, and oversees organizational leadership and the management of organizational functions. Section 2. Election and Term of Office. The Directors shall be elected at the annual meeting. Each Director shall serve a term of Three (3) years, or until a successor has been elected and qualified. Section 3. Quorum. A majority of Directors shall constitute a quorum. Section 4. Adverse Interest. In the determination of a quorum of the Directors, or in voting, the adverse interest of a Director shall not disqualify the Director or invalidate his or her vote. Section 5. Associational Meeting of Board. The Board of Directors shall meet immediately after the election for the purpose of electing its new Officers, appointing new committee chairpersons and for transacting such other business as may be deemed appropriate. Section 6. Regular Meeting. The Board of Directors shall have regular meetings every quarter, the schedule of which shall be established at the annual meeting, to accomplish the business of the association. No notice of such meetings shall be required. Section 7. Special Meeting. Special meetings may be requested by the President, VicePresident, Secretary, or any two Directors by providing five days' written notice by ordinary United States mail, effective when mailed. Minutes of the meeting shall be sent to the Board of Directors within two weeks after the meeting. Section 8. Procedures. The vote of a majority of the Directors present at a properly called meeting at which a quorum is present shall be the act of the Board of Directors, unless the vote of a greater

number is required by law or by these bylaws for a particular resolution. A Director of the association who is present at a meeting of the Board of Directors at which action on any corporate matter is taken shall be presumed to have assented to the action taken unless their dissent shall be entered in the minutes of the meeting. The Board shall keep written minutes of its proceedings in its permanent records. Section 9. Emergency Action. Should action be required when it is not possible to assemble the Board of Directors in a properly called meeting or when the Technical Committee explicitly cannot assume the powers of the full Board, written or oral approval of the proposed action by a Board majority may be obtained in a poll of the entire Board of Directors authorized by the President or majority of the Technical Committee. Any action so taken shall be recorded in the minutes of the next properly called Board meeting. Section 10. Informal Action. Any action required to be taken at a meeting of Directors, or any action which may be taken at a meeting of Directors or of a committee of Directors, may be taken without a meeting if a consent in writing setting forth the action so taken, is signed by all of the Directors or all of the members of the committee of Directors, as the case may be. Section 11. Removal / Vacancies. A Director shall be subject to removal, with or without cause, at a meeting called for that purpose. Any vacancy that occurs on the Board of Directors, whether by death, resignation, removal or any other cause, may be filled by the remaining Directors. A Director elected to fill a vacancy shall serve the remaining term of his or her predecessor, or until a successor has been elected and qualified. Section 12. Standing Committees. There shall be four (4) standing committees of the association: Technical, Nominating, Communications and Fund-raising/Finance. The President shall appoint the chairpersons of all committees from the membership of the Board of Directors of the association with the approval of the Board of Directors. All committee appointments shall terminate upon the election of a new President, unless specifically determined otherwise at the Annual meeting. All committees shall function within the guidelines and budgets established by the Board of Directors. Section 13. Technical Committee. WOOSEKWAN Technical Committee shall be comprised of 4 individuals ranking 4th Dan and above with official qualifications as Instructor, Examiner and Judge. The purpose of the WOOSEKWAN Technical Committee is to keep the proliferation of the Woosekwan Taekwondo System at the forefront of all WOOSEKWAN developments. The Technical Committee shall be responsible for all technical matters such as the development of the Woosekwan Taekwondo Curriculum, standardization of Gup and Dan exams, Competition format/development and rulebook. The Technical Committee shall also review WOOSEKWAN official rules and regulations along with WOOSEKWAN forms and procedures, and amends them or develops new policies when necessary. Section 14. Nominating Committee. The Nominating Committee shall make nominations for the annual election of Officers and Directors of the Board as otherwise noted in these Bylaws. The Committee shall also make nominations to fill any vacancies that may occur among the Directors and Officers. Additionally, the Nominating Committee shall work to identify and recruit new Board members, provide oversight to the training of Board members, development and implement

methods for evaluating the performance of the Board and its members, and develop plans to keep all Board members actively engaged in the work of the organization. Section 15. Communications Committee. The Communications Committee shall to develop and implement a year-round marketing/communications plan that helps inform and educate the community about the mission, activities, goals and accomplishments of the organization and its funded agencies and all related matters. The Chair of the Communications Committee is appointed by the President of the Board. Section 16. Fund Raising/Finance Committee. The Fund Raising/ Finance Committee shall be
responsible for creating an organizational Financial Plan to recommend to the Board of Directors that would include but not be limited to the amount of funds budgeted for income from the annual campaign and other sources, allocations and other community investments, administrative and fundraising expenses, collection loss and all other organizational expenses. a) The Committee will work with staff to create an annual administrative budget for approval by the Board and will monitor income and expenses on an on-going basis during the year. b) Members of the Committee will review the monthly financial reports bringing any concerns to the attention of the Treasurer for reporting to the Executive Committee and the Board. c) The Committee has oversight to assure that the organization adheres to the Financial Policies, Procedures, and Practices in place at the time. d) The Chair of the Finance Committee shall be the Treasurer and is a member of the Executive Committee.

Section 17. Ad Hoc Committees. The President may establish ad hoc committees at any time. All ad hoc committees are subject to the same rules and operating procedures as standing committees. Section 18. Budgets. The Board of Directors shall approve the annual budget of the association during the first quarter of each calendar year upon recommendation of the Technical Committee. Section 19. Personnel Responsibilities. The Board of Directors may employ and discharge employees of the association and may prescribe their duties and compensation. The Board shall discharge its duties with respect to personnel associational matters without regard to age, sex, race, color, creed, sexual orientation, or the national origin of any person. Section 20. Records. Every Director shall have the absolute right at any reasonable time to inspect and copy all books, records and documents of every kind and to inspect the physical properties of the association. Section 21. Compensation. No Board member or Officer of or any member of a committee shall receive at any time any of the net earnings or profit from the operations of the association. However, this shall not prevent the payment to any such person of reasonable compensation for services rendered to or for the association. Such compensation shall be fixed by the Board of Directors from time to time.

ARTICLE II. Officers


Section 1. Number of Officers. The Officers of the corporation shall be a President, one or more Vice-Presidents (as determined by the Board of Directors), a Secretary, and a Treasurer. Any two offices may be held by the same person except President and Vice-president. Section 2. Responsibilities of the Officers. a. President. The President shall be the Chief Executive Officer (CEO) and shall preside at all meetings of the Board of Directors and its Technical Committee. The President shall have the general and active management of the affairs of WOOSEKWAN. The President shall see that all orders and resolutions of the Board of Directors are affected. The President shall sign all Official Certifications issued by WOOSEKWAN. The President shall oversee the teaching, preservation, dissemination, practice and development of the Woosekwan Taekwondo System. b. Senior Vice President. The Senior Vice President shall, in the absence or disability of the President, perform the duties and exercise the powers of the President and shall perform such other duties as shall from time to time be imposed upon the Executive vice President by the Board of Directors. c. Vice President. The Vice President shall, in the absence or disability of the Senior vice President, perform the duties and exercise the powers of the Executive Vice President and shall perform such other duties as shall from time to time be imposed upon the Senior Vice President by the Board of Directors. d. Secretary. The Secretary may be empowered by the Board of Directors, upon resolution of the Board of Directors, to carry out the secretarial affairs of WOOSEKWAN generally under the supervision of the Officers thereof and shall attend all meeting of WOOSEKWAN and act as clerk thereof and record all votes and minutes of all proceeding in the books kept for that purpose. The Secretary shall give, or cause to be given notice of all meetings of WOOSEKWAN members and the Board of Directors, and shall perform such other duties as may be prescribed by the Board of Directors, or President, under whose supervision, the Secretary shall be. The Secretary shall be the custodian of the seal of WOOSEKWAN and shall deliver the seal only when authorized by a resolution of the Board of Directors to do so and to such person or persons as may be named in the resolution. e. Treasurer. The Treasurer shall have custody of the funds and securities of WOOSEKWAN and shall keep full and accurate accounts of all assets, liabilities, receipts and disbursements of WOOSEKWAN in the books belonging to WOOSEKWAN and shall deposit all securities, monies and other valuable effects in the name and to the credit of WOOSEKWAN in such chartered bank or trust company, or in the case of securities, in such registered dealer in securities as may be designated by the Board of Directors from time to time. The Treasurer shall disburse the funds of WOOSEKWAN as may be directed by proper authority taking proper vouchers for such disbursements, and shall render to the President and Directors at the regular meeting of the Board of Directors, or whenever they may require it, an accounting of all

transactions and a statement of the financial position of WOOSEKWAN. The Treasurer shall also perform such other duties as may from time to time be directed by the Board of Directors. Section 3. Term of Office. The Officers shall be elected annually by the Board of Directors at the first meeting of the Board of Directors. Each Officer shall serve a one year term or until a successor has been elected and qualified. Section 4. Elections. The nominating committee, a standing committee of the association, shall nominate, at least thirty (30) days prior to the annual meeting, a slate of qualified candidates for the Director position whose terms are to expire or are vacant, and its slate of candidates shall be included with the notice of the annual meeting. Following the report of the nominating committee at the meeting, any Director of the association may nominate other candidates for the available Director positions, provided that the nominees agree to serve if elected. At the conclusion of nominations, the Board of Directors shall vote for each position by secret written ballot. Section 5. Removal or Vacancy. The Board of Directors shall have the power to remove an Officer or agent of the corporation. Any vacancy that occurs for any reason may be filled by the Board of Directors.

ARTICLE III. Meetings


Section 1. Annual Meeting. An annual meeting shall be held once each calendar year for the purpose of electing Directors and for the transaction of such other business as may properly come before the meeting. The annual meeting shall be held at the time and place designated by the Board of Directors from time to time. Section 2. Special Meetings. Special meetings may be requested by the President or the Board of Directors and may be held at any time and place to be determined by the Directors provided that 48 hours written notice of such meeting shall be given, other than by regular mail, to each Director. Section 3. Notice. Written notice of all meetings shall be provided under this section or as otherwise required by law. The Notice shall state the place, date, and hour of meeting, and if for a special meeting, the purpose of the meeting. Such notice shall be mailed to all Directors of record at the address shown on the corporate books, at least 10 days prior to the meeting. Such notice shall be deemed effective when deposited in ordinary U.S. mail, properly addressed, with postage prepaid. No error or omission in giving notice of any meeting, or of any adjourned meeting of the board of Directors of WOOSEKWAN shall invalidate such meeting or void any proceedings taken thereat and any Director may at any time waive notice of any such meeting and may ratify, approve and confirm any or all proceedings taken or had thereat. Each Director is authorized to exercise one (1) vote. Section 4. Place of Meeting. Meetings shall be held at the corporation's principal place of business unless otherwise stated in the notice. Section 5. Quorum. A majority of the Directors shall constitute at quorum at a meeting. In the absence of a quorum, a majority of the Directors may adjourn the meeting to another time without further notice. If a quorum is represented at an adjourned meeting, any business may be transacted

that might have been transacted at the meeting as originally scheduled. The Directors present at a meeting represented by a quorum may continue to transact business until adjournment, even if the withdrawal of some Directors results in representation of less than a quorum. Section 6. Informal Action. Any action required to be taken, or which may be taken, at a meeting, may be taken without a meeting and without prior notice if a consent in writing, setting forth the action so taken, is signed by the Directors with respect to the subject matter of the vote.

ARTICLE IV. Official Seal and Execution of Instruments


The corporation shall have a corporate seal, which shall be affixed to all deeds, mortgages, and other instruments affecting or relating to real estate. All instruments that are executed on behalf of the corporation which are acknowledged and which affect an interest in real estate shall be executed by the President or any Vice-President and the Secretary or Treasurer. All other instruments executed by the corporation, including a release of mortgage or lien, may be executed by the President or any Vice-President. Notwithstanding the preceding provisions of this section, any written instrument may be executed by any Officer(s) or agent(s) that are specifically designated by resolution of the Board of Directors.

ARTICLE V. Amendments to Bylaws


The bylaws may be amended, altered, or repealed by the Board of Directors by a majority of a quorum vote at any regular or special meeting. The text of the proposed amendment shall be distributed to all Board members at least ten (10) days before the meeting. Section 1. Definitions for this section. a) Amendments: refers to any amendments, proposed, delivered or otherwise to the rules and association structure as outlined in the bylaws. b) Documentation: refers only to official documentation (i.e. documentation approved by the Board of Directors) containing information regarding the rules, association structure or official workings of WOOSEKWAN including, but not restricted to bylaws, rank requirements, web-based documents and others; this term does not refer to information contained on websites that does not refer to official WOOSEKWAN material (e.g., opinion articles, history articles, etc.) c) Official notice: refers to any notice given by the President of WOOSEKWAN in any form, regarding any aspect of these bylaws, including but not restricted to written notice, verbal notice or other forms of communication from the President of WOOSEKWAN or the presidents designated representative (e.g. Association Vice-President). d) President: refers to the President of WOOSEKWAN

Section 2. Amendment Procedures. Any amendments to the rules and association structure of WOOSEKWAN, including any amendments to documentation, the articles contained in this document, or other documents that are under the jurisdiction of WOOSEKWAN, as stipulated in this document, must be approved in writing by the president. Section 3. Proposed Amendments. Any member of WOOSEKWAN may propose amendments to the rules and association structure. Proposed amendments to documentation must be submitted in writing and will include the following: Name, Rank and School of the person submitting the proposed amendment; the reason/rationale why they are proposing the amendment; and the proposed change, referring to the specific sections of this document or any other document as described in Article V Section 1. Section 4. Approval of Proposed Amendments. Proposed amendments as described in Article V Section 3. shall be decided by a majority vote of the Board of Directors. Section 5. Implementation of Approved Amendments. All approved amendments shall be implemented by means of official notice delivered by the president, or their representative, forwarded by each Branch Chief to all members and affiliates of WOOSEKWAN for which each Branch Chief is responsible. Amendments to all documentation shall be made by the person responsible for maintaining and/or storing those documents (e.g. amendments to web-based documents shall be made by the individual responsible for maintaining the web-site etc.) only upon direction from the President. All amendments are official, upon issuing of official notice of approval by the president or their designated representative. 1. Any amendments made to documentation without receiving official notice by the president shall be handled in a manner deemed appropriate by the president. 2. Any amendments made to documentation without receiving official notice from the president are not binding on any member of WOOSEKWAN or its affiliates until such time as official notice has been forwarded by the president to the Branch Chief. 3. Once official amendments have been implemented, all members and affiliates of WOOSEKWAN are required to comply with those amendments. Section 5. Enforcement of Approved Amendments. Enforcement of approved amendments shall be the responsibility of: Senior Ranks, Dan ranks, Authorized Instructors and Branch Chiefs.

ARTICLE VI. Indemnification


Any Director or Officer who is involved in litigation by reason of his or her position as a Director or Officer of this corporation shall be indemnified and held harmless by the corporation to the fullest extent authorized by law as it now exists or may subsequently be amended (but, in the case of any such amendment, only to the extent that such amendment permits the corporation to provide broader indemnification rights).

ARTICLE VII. Dissolution


In the event of the dissolution of the association, the assets shall be applied and distributed as follows: All liabilities and obligations shall be paid, satisfied and discharged, or adequate provision shall be made there for. Assets not held upon a condition requiring return, transfer, or conveyance to any other association or individual shall be distributed, transferred, or conveyed, in trust or otherwise, to charitable and educational association, organized under Section 501(c)(3) of the Internal Revenue Code of 1986, as amended, of a similar or like nature to this association, as determined by the Board of Directors.

ARTICLE VIII. Membership (Individual)


Section 1. Types of Membership. a) Student Membership : A Student member is one who studies the Woosekwan Taekwondo System at WOOSEKWAN Headquarters or WOOSEKWAN School but, does not choose to take on an active role in the association. b) Full Membership : A Full member is one who studies the Woosekwan Taekwondo System at WOOSEKWAN Headquarters or WOOSEKWAN School and DOES take on an active role in the association. Section 2. Conditions of Membership
1. Membership of the association shall consist of all direct students of WOOSEKWAN currently in good standing. 2. A member is in good standing with the association when he/she has paid all appropriate fees to the association and is not under censure for being in violation of the rules of the association. 3. Membership fees and dues shall be set by Board of Directors. 4. Any member may withdraw from WOOSEKWAN by delivering to the Secretary, a written resignation. A copy of such resignation will be held by the Secretary. 5. Membership shall be non-transferable.

Section 3. Membership Privileges and Benefits. Only current members may receive membership benefits at official WOOSEKWAN functions such as the annual training conference, seminars, and WOOSEKWAN sponsored tournaments, etc. Current membership is also required at Black Belt testings. Membership is also required for all other benefits such as membership cards, certificates, rank certificates, member communications, discounts, web-based member community access, etc. a) Student members may receive Gup and Dan Rank Certification however may not receive an Authorized Instructor Certification or hold Office. b) A Full member is entitled to all the rights and privileges of membership in WOOSEKWAN including the right to carry a WOOSEKWAN Membership ID Card, become an Authorized Instructor and hold Office.

Section 4. Membership Fees. Quarterly individual membership fees are utilized to pay the operational costs of the organization (office staff, operations, and supplies; membership services; Black Belt test certification; corporate taxes and fees; mailings; etc.), services (publications, website, curriculum development, events, etc.), and for other purposes deemed appropriate by the Board of Directors. In all its financial activities, WOOSEKWAN shall exercise proper and acceptable accounting practices. Section 5. Re-admittance after Membership Lapse. A member who has become inactive by allowing his/her WOOSEKWAN membership to lapse without renewal may require the approval of the Director of Membership to reactivate his/her membership in WOOSEKWAN or to participate in other WOOSEKWAN activities for which membership is prerequisite. Section 6. Conduct. Members shall make every effort to conduct themselves in accordance with WOOSEKWANs Code of Conduct and Code of Ethics. Derogatory, inflammatory, or otherwise destructively negative remarks or gossip directed toward ones school, Instructor, fellow members or WOOSEKWAN itself - public or private - are not consistent with WOOSEKWANs standards, and may result in excommunication. Constructive suggestions for improvement, on the other hand, are always welcomed. Section 7. Right of Refusal. WOOSEKWAN reserves the right to refuse acceptance to any applicant for membership into the association.

ARTICLE IX. Official Certifications


All Official WOOSEKWAN Certifications shall be generated and issued directly from WOOSEKWAN Headquarters. Official Certifications MUST bear the signatures of the all required Officers and be imprinted with the Official Seal to be valid. Rank Certificates shall be delivered to the responsible Branch School Chief who will then sign and present it to the recipient. Any violation of this regulation is regarded as a resignation from WOOSEKWAN. Official Certifications are as follows: a) Gup Certification. The Official Certification acknowledging the successful completion of the requirements set by WOOSEKWAN as well as to indicate the achieved rank of Under Black Belt (White Brown) members. b) Dan Certification. The Official Certification acknowledging the successful completion of the requirements set by WOOSEKWAN as well as to indicate the achieved rank of Black Belt members. c) Authorized Instructor Certification. The Official Certification granting authorization to provide instruction in the Woosekwan Taekwondo System. Issued only to Black Belt members who have successfully completed the WOOSEKWAN Instructors Training Program.

ARTICLE X. Woosekwan Taekwondo Belt System


There are numerous Taekwondo associations, each with a different system of belt ranks, colors, and color symbolism that may or may not conform to the traditional Taekwondo belt structure. Some associations have less or more Gup and Dan ranks than the traditional nine. The Woosekwan Taekwondo belt/rank system does not conform to the traditional Taekwondo belt structure. In fact it is more similar to that of traditional Japanese systems such as in Judo and Jiu-Jitsu. Usually in traditional Korean Taekwondo, the Red belt is the second Gup or second grade, which would come two belts before gaining a first degree black belt, or first Dan as it is also known. However in WOOSEKWAN belt system, the Red Belt is considered the highest possible rank. Each student begins training as a white belt, progresses through the color belts, earns a 1st Dan black belt, and may conceivably eventually progress to the highest rank, 6th Dan Red belt. Students under the age of 15 years old will receive what is called a Poom Certificate when they achieve 1st Degree Black Belt. Students above the age of 15 years old will receive a Dan Certificate when they achieve 1st Degree Black Belt. Under 15 years old: A student can achieve 1st Poom, then 2nd Poom, then 3rd Poom under the age of 15. Then, when the student turns 15 years old, they can convert the Poom to the equal rank Dan Certificate. So for example, a 12 year old, 2nd Poom, Black Belt shall be a 2nd Dan when he or she turns 15 years old. If a child achieves 4th Poom Black Belt, then that student will need to wait till they turn 18 years old to convert that 4th Poom to a 4th Dan Certificate.

ARTICLE XI. Rank Promotion


Section 1. Minimum Time-in-Grade and Testing Eligibility. a) Under-Black Belt students from 10th Gup White 2nd Gup Brown are required to log a minimum of 36 hours of actual class time AND be current members to be eligible to test for the next rank. b) 1st Gup Brown: required to log a minimum of 108 hours of actual class time AND be current members to be eligible to test for 1st Dan Black Belt. c) 2nd Dan: required to log a minimum of 144 hours of actual class time or One year (to the nearest test cycle) AND be current members to be eligible to test. d) 3rd Dan: required to log a minimum of 288 hours of actual class time or Two years (to the nearest test cycle) AND be current members to be eligible to test. e) 4th Dan: required to log a minimum of 576 hours of actual class time or Three years (to the nearest test cycle) AND be current members to be eligible to test. f) 5th Dan: Four years active membership minimum, Two WOOSEKWAN Master Development Series (MDS) certifications, Master Rank Induction Ceremony participation and Board recommendation. g) 6th Dan: Ten years active membership minimum, Two additional WOOSEKWAN Master Development Series (MDS) certifications and Board recommendation. h) Crossover Black Belts are required to log a minimum of one complete year of membership time AND be current members before becoming eligible to test for Black Belt rank in Woosekwan Taekwondo. Black Belts are required to log membership time equivalent to, or greater than, the minimum required time in grade for each rank AND be current members before becoming eligible to test for, or be promoted to, their next Black Belt rank. Membership may not be back-paid in order to add to a members eligibility for Black Belt testing and/or promotion. Section 2. Subjective Requirements. 1st through 4th Dan Black Belt ranks are achieved by meeting the minimum time requirements (listed above) and by passing a regional or organization-wide Black Belt test in accordance with the policies and procedures specified herein (see Bylaws ARTICLE XII - Black Belt Testing). The time requirements listed herein for promotion to 5th and 6th Dan Black Belt are guidelines only, with final determinations to be made by the Grand Master, the Technical Committee, and/or the Board of Directors. These minimum time requirements DO NOT constitute promotion guarantees, promotion limits, or automatic promotions. Promotions to the master-level ranks are based on organizational needs for leadership and/or a Black Belts outstanding performance in Woosekwan Taekwondo including, but not limited to, ones students, school(s), service, competitive success and influence, teaching certifications and ability, martial educational accomplishments through WOOSEKWAN and elsewhere, Woosekwan Taekwondo knowledge and martial knowledge in general, etc., rather than strictly on physical ability or time in grade.

ARTICLE XII. Testing Procedures


Section 1. Timing of Test Cycles. Brown & Black Belt tests shall be held in each region twice each year in the months of ????????? & ?????????. Additional Black Belt tests - special case may be called by the Technical Committee or the collective Board of Directors. Under Black Belt tests are scheduled approximately every 12 weeks. Students may test if they are BOTH eligible (meets attendance requirements) and ready (meets curriculum requirements). If a student is eligible but not ready they must wait to test until they are prepared to demonstrate all curriculum requirements satisfactorily. Section 2. Standards. All promotion tests adhere to the technical requirements and standards set forth by the Technical Committee. Flexibility is granted in the case of special needs candidates who may not be able to perform all aspects of the testing requirements in the same way as other candidates. Section 3. Candidate Essays and Quizzes. Typed essays on assigned topics are required of each testing candidate. Essays shall be submitted to the Regional Chair prior to the test. Regional testing board members shall review each essay prior to the test. Assigned topics are as follows: a) 1st Dan candidates: How My Woosekwan Taekwondo Training Has Benefitted Me (250 words) b) 2nd Dan candidates: How My Woosekwan Taekwondo Training Has Benefitted Those Around Me (250 words) c) 3rd Dan candidates: How I Have Developed Physically, Mentally, Emotionally, and Spiritually Along the Path to 3rd Dan Black Belt (500 words) d) 4th Dan candidates: How I Have and Will Serve Woosekwan Taekwondo Association and the Woosekwan Taekwondo System (500 words) Section 4. Testing Fees. Each person testing for any WOOSEKWAN rank shall pay a testing fee prior to testing. Test forms and fees are due 10 days prior to testing. This testing fee will be determined annually by the Board of Directors. The testing fee is not refundable. If the testing fee has been paid and the student withdraws from testing there is no refund; the student will receive a credit to be used for the next testing. If a student does not pass the test, his/her test fee will be credited to the re-test at the next testing date. If a student does not pass the test on the second attempt, the student will NOT receive another credit and will be required to pay the full fee to be re-tested. Section 5. Testing Packet Delivery. If the registration form is not received by the deadline, the student may be tested however will not receive a belt and certificate following the test even if he/she passes the test (the student will receive his/her belt the next time belts are ordered). Following each testing, Branch School Chief sends the following to the WOOSEKWAN Headquarters within ten days of the testing (failure to do so may result in the test being voided at the discretion of the Technical Committee). a) Promotion recommendation forms (Dan candidates) signed by all members of the testing board. b) Test score sheets from each board member for each candidate. c) All testing fees d) Copies of outstanding or noteworthy essays. e) A written summary of the test results.

WOOSEKWAN Headquarters will make these materials available to the Director of Training and Certification for review, and to the Technical Committee upon request and/or to other members of the WOOSEKWAN Board as appropriate (fees excepted, which will be processed by Headquarters).

ARTICLE XIII. Black Belt Ranking and Protocol


WOOSEKWAN is an organization where leadership and seniority is valued, respected, and treasured. Section 1. Black Belt Number Assignment. Individual Black Belt numbers are assigned upon a members promotion to 1st Dan Black Belt. Numbers are assigned to new 1st Dan Black Belts each test cycle per region, based on (in order): a) Submission date of regional test packet b) Membership enrollment date of individuals Ties are broken by (in order): a) Age (older is priority) b) Alphabetical by name (last, first, middle) Section 2. Rules of Rank Order. Rank order for classes, lineups, and other situations where rank order is important is determined by: a) Actual rank Ties are broken by (in order): a) Date of promotion (time in grade at current rank) b) Seniority - Black Belt number (for Black Belts) or membership number (for students) c) This applies to all ranks, white through 6th Dan. Section 3. Rank Protocol. Instructors of all ranks should be addressed or referred to as Mr., Mrs., Miss, or Ms. When addressing or referring to a 5th Dan Black Belt the term Master may be used in situations and circumstances where it is important to indicate this extra level of deference to an Instructors station. . When addressing or referring to a 6th Dan Black Belt the term Grand Master may be used. When Instructors line up facing a class, the ranking Instructor stands in the center. The next highest rank stands at his/her right, the next highest at his/her left, and so on, alternating sides until all Instructors are in position. When the members of a class line up in rows, each row has the same number of students, with rows and columns lined up neatly in line with the front row. The highest ranking member stands in the front row right (left to the facing Instructors), with rank descending toward the left along the front row, and continuing row by row from front to back and from right to left (left to right to the Instructors).

Classes begin and end with a collective bow of Instructor(s) and student(s) to each other. When a class is in session, and a higher ranking Black Belt enters the training area, all members show respect by bowing together. The Instructor on the mat will call the class to attention for this purpose. In larger gatherings, the highest ranking member who is aware of the entrance of the higher ranking Black Belt will bring it to the attention of the Instructor on the mat, or call the class to attention him/herself, as conditions warrant.

ARTICLE XIV. Non-WOOSEKWAN Black Belts Requesting Membership (Crossover Black Belts)
Section 1. Instructor Assignment. Crossover candidates may contact and train with any established WOOSEKWAN Chief Instructor. Section 2. Crossover Process. Any person who wishes to become a WOOSEKWAN Black Belt, and who has previously been awarded black belt rank by a person or body other than an official WOOSEKWAN board of examiners (see Bylaws ARTICLE XII. Testing Procedures), will: a) Be sponsored by, and train with, a WOOSEKWAN Authorized Instructor. (See Bylaws ARTICLE IX) b) Submit a Martial Arts resume, a copy of all Black Belt certificates, and a letter of intent to the Technical Committee. The Supervising Instructor who trains the candidate must also submit a letter of recommendation to the Technical Committee requesting that the candidate be allowed to meet an official WOOSEKWAN board of examiners at a future time. The Technical Committee in consultation with the sponsoring Instructor and the WOOSEKWAN Board will decide the validity of an incoming candidates previous experience and rank. c) Upon the Technical Committees approval, become a member of WOOSEKWAN as a crossover member. d) Train for a minimum of one year (to the month) from the date of initial membership enrollment. e) Be allowed to participate in the annual training conference, and other official WOOSEKWAN events, during the training period described in d) above. f) Be allowed to test for 1st Dan or Woosekwan Taekwondo rank not higher than two ranks lower than the candidates highest Black Belt rank in another, similar style (includes legitimate stand-up, percussive styles of any origin. The Technical Committee in consultation with the sponsoring Supervising Instructor and, if necessary, the WOOSEKWAN Board will decide the validity of an incoming candidates previous experience and rank) but not higher than 3rd Dan. In any case, 1st through 3rd Dan, the crossover candidate is required to pass the very same test that any internally trained candidate is required to pass.

ARTICLE XV. Official Uniforms


The uniform in which we practice Taekwondo is called the Dobak or the Uniform of the Way. It is a symbol of the art that we practice, and should therefore be treated with respect - not for itself, but for what it represents. The Dobak serves a few purposes. One, everyone is wearing the same clothing. It doesn't matter who you are or where you come from. Everyone is equal. The only thing that distinguishes one from another is the color of the belt. Belts are used not only for closing the top, but are also a ranking system. The color of your belt depends on your skill level. As you progress, you will get a new belt signifying your skill as a practitioner. The complete uniform consists of three parts: the Jacket, Pants and Belt. All parts must be worn during training unless otherwise specified. Section 1. Black Belt Uniform. Black Belts wear a white heavy weight crossover uniform with the Official Woosekwan Taekwondo System patch on the left sleeve, Official Association patch on the left breast and the USA flag on the right sleeve. Merit patches and other indicated patches from WOOSEKWAN are optional and acceptable and may be worn on the right sleeve. Sleeves may be worn full length, rolled or hemmed to just below the elbow. The base uniform (including embroidery) is provided by WOOSEKWAN exclusively. No other uniform is acceptable. The patches may also be purchased from WOOSEKWAN and applied by the member. Section 2. Student Uniform. This uniform is available from WOOSEKWAN. White crossover uniform with the official Woosekwan Taekwondo System logo on the back, Official Woosekwan Taekwondo System patch on the left sleeve, Official Association patch on the left breast and the USA flag on the right sleeve. Merit patches and other indicated patches from WOOSEKWAN are optional and acceptable and may be worn on the right sleeve. Sleeves may be worn full length, rolled or hemmed to just below the elbow. Plain white uniforms NOT bearing the Woosekwan Taekwondo System logo on the back are also acceptable however; all required patches MUST be applied as indicated above.

ARTICLE XIV. Disciplinary Procedures


Section 1. Handling of Disciplinary Issues. Disciplinary issues are to be handled at the branch level by the Branch Chief and according to the principles, policies, and procedures laid out in this Constitution and Bylaws. Problems that cannot be handled at branch level may be referred to WOOSEKWAN Headquarters. Similarly, individuals who do not concur with decisions made at the branch level may appeal to WOOSEKWAN Headquarters. Disciplinary actions may result in the following Official sanctions: a) Demotion in Rank b) Suspension of membership privileges c) Termination of membership (based on grounds for excommunication). See Section 2 Below. Section 2. Grounds for excommunication. Grounds for excommunication include but are not limited to the following:

Defaming or misusing WOOSEKWAN Name and or Symbol. Misrepresenting ones rank. Misusing rank for personal gain or profit rather than merit of the student.

A majority vote by the Board of Directors shall be required for excommunication. Section 3. Excommunication Process. Prior to a formal excommunication written warning shall be issued from WOOSEKWAN Headquarters. The written warning will include an explanation of the offending behavior and a suggestion on how to remedy the issue, as well as a date by which things need to be resolved. If the situation results in an excommunication, then a written letter of excommunication shall be issued by WOOSEKWAN Headquarters to the parties involved, with copies made available to all Branch Chiefs and then released to the general public.
