Bylaws of the Dickinson City Band

ARTICLE I. NAME The organization shall be known as the Dickinson City Band. ARTICLE II. PURPOSE Section 1. Mission Statement The Dickinson City Band exists in order to encourage the study of music among its members, to give public and private performances for mutual benefit, and to promote a good fellowship among its members and the community. Section 2. Type of Organization The Dickinson City Band is organized as a non-profit civic organization, and all funds collected shall be used for the purpose of promoting fine arts in the community. In no event shall any profit accrue to the individual members of the Association. ARTICLE III. MEMBERSHIP Any area amateur or professional musician who regularly attends rehearsals and performances, and pays the annual dues as determined by the Board of Directors, is eligible for membership. An annual meeting of the members shall be held each September. ARTICLE IV. BOARD OF DIRECTORS Section 1. Board of Directors The Board of Directors shall consist of the musical director and six persons to be elected by the Band membership. Section 2. Term Directors shall hold office for a term of three years, excepting that of the directors to be elected at the first annual meeting of the DCB, one-third thereof shall serve for one year, one-third thereof for two years, and one-third thereof for three years. Thereafter all shall serve for a three year term. Section 3. Quorum A quorum of any meeting of the Board of Directors shall consist of three directors. All actions of the Board of Directors shall be by a majority vote of the Directors present and voting at any meeting. Section 4. Meetings A regular meeting of the Board of Directors shall occur at least annually. Meetings may be called at any time and held at any place as shall be determined by the President or 3 of the Directors. Notice of time and place shall be given no less than three days before the date of the meeting. Section 5. Duties The Board of Directors shall manage the affairs of the Dickinson City Band, including, but not limited to, appointing the musical director, determining the annual membership dues and working with the Musical Director to maintain and determine the artistic direction of the Band. Section 6. Removal Any director may be removed for cause by a vote of the majority of all directors at a meeting called for that purpose. Habitual lack of attendance at board meetings may constitute a cause for removal.

Section 7. Vacancies In the event that a vacancy occurs during the term of an elected director, the Board will appoint a member of the Dickinson City Band to complete the term of the vacancy.

ARTICLE V. OFFICERS Section 1. Officers The elected officers of this organization shall consist of President, Vice President, Secretary, and Treasurer. Section 2. Election of Officers Officers shall be elected by a majority vote of the members from among the Board of Directors at an annual membership meeting in September. They should hold office for a one year term, until their successors are elected and take office. There shall be no limit upon the number of consecutive terms for which an officer may hold a single office. Section 3. Duties President It shall be the duty of the President to preside at all business meetings of the organization, appoint, with approval from the board, any special committees and persons as needed to carry out the functions of the band, and call special business meetings whenever it shall be deemed necessary. Vice President It shall be the duty of the Vice-President, in the absence or disability of the President, to perform the duties of the President. Secretary It shall be the duty of the Secretary to keep a faithful record of the proceedings at all meetings, attend to all correspondence for the organization and assist the President and Musical Director in business matters whenever called upon. It shall also be the duty of the Secretary to keep a record of band membership and attendance. Treasurer It shall be the duty of the Treasurer to keep an accurate record of the band account and to pay all accounts as necessary. At the end of each fiscal year, the Treasurer shall make and present a yearly report to the Band. ARTICLE VI. MUSICAL DIRECTOR Section 1. Duties It shall be the duty of the Musical Director to conduct all rehearsal and performances of the band, to determine and maintain the artistic direction of the Band in conjunction with the Board and to perform other duties as authorized by the Board. ARTICLE VII. FINANCES Section 1. Fiscal Year The Bands fiscal year shall begin on September first and end on August thirty-first of each year. Section 2. Budget A budget shall be determined and approved by the Board at the first meeting of the Board in the fiscal year.

Article VIII. AMENDMENT OF THE BYLAWS The bylaws may be amended, or replaced with new bylaws, by a majority vote of the Band. Article VIIII. DISSOLUTION Subject only to any approvals required by law, upon the dissolution or other termination of Dickinson City Band, all of the property of the Band and all of the net proceeds of sale thereof shall be distributed, as the Board shall select, to and among one or more corporations, community chests, funds, foundations, activities, agencies, or institutions organized and operated exclusively for charitable, scientific, religious, literary or educational purposes. No part of the net earnings shall inure to the benefit of any member or to any organization of which a substantial part of its activities include carrying on propaganda, or otherwise attempting to influence legislation, or participating in, or intervening in, any political campaign on behalf of any candidate for public office. The foregoing bylaws of the Dickinson City Band were adopted by the members of the Dickinson City Band on _____________________________, 2011.
