    Columbia,MOTheBoardofDirectorsandleadershipofMissouriEmployersMutualhavefully cooperatedwiththeU.S.AttorneysOfficethroughouttheinvestigationintotheallegationsagainst RogerWilson. TheMEMBoarddidnotknowaboutorapprovetheallocationofMEMfundsdescribedinthefiling. Uponlearningthisinformation,theBoardcontactedtheappropriateauthorities,placedMr.Wilsonon leaveandafterafullinvestigationterminatedhisemployment. MEMinitiatedandhascompletedthoroughinternalandexternal,independentinvestigationsthat confirmedtherehavebeennoothersimilarincidentsatMEM.MEMcooperatedfullywiththeMissouri StateAuditorandMissouriDepartmentofInsuranceexaminersinthesameregard. Thecompanyhasnotsufferedfinancialdamagefromanyoftheseunfortunatecircumstances.MEM understandsthecompanywillbereimbursedthe$5,000paidtothelawfirm. MEMhassoundgovernanceproceduresinplaceandsignificantmanagementoversighttosafeguard againstmaterialdamagebyanyboardmember,executiveoremployee.Thecompanyhasbeenand remainssuccessful,anditsfutureshouldnotbetarnishedbychargesagainstindividualsthatare unrelatedtothecompanysoperationoritsfinerecordasthechampionofworkerscompensation insuranceinMissouri. 30
