Agreement

THIS AGREEMENT made on the ____ day of 2011. Between VERGNET SA, Mekele, Ethiopia (hereinafter called the Employer) on the one part and Gondwana Engineering PLC, Addis Ababa, Ethiopia (hereinafter called the Contractor) on the other part: WHEREAS the Employer is desirous that the works [Geotechnical Investigation] should be executed and completed by the Contractor in the sum of ETB 4,453,119.00[Four Million Four Hundred Fifty Three Thousand One Hundred Nineteen Birr] without VAT hereinafter called the Contract Price NOW THIS AGREEMENT WITNESSES AS FOLLOWS: 1. In this Agreement words and expressions shall have the same meanings as are respectively assigned to them in the Conditions of Contract referred to. 2. The following documents shall be deemed to form and be read and construed as part of this Agreement, viz.: (a) The form of Agreement, (b) The Letter of Acceptance, (c) Bill Of Quantity, (d) Special Conditions of Contract, (e) The General Conditions of Contract, (f) Drawings, (g) Technical specifications, (h) The Contractor Offer, (i) The Tender Document. (j) Minutes of Meeting 3. In consideration of the payments to be made by the Employer to the Contractor as hereinafter mentioned, the Contractor hereby covenants with the Employer to execute & complete the Works in conformity in all respects with the provisions of the Contract. 4. The Employer hereby covenants to pay the Contractor in consideration of execution and completion of the Works the Contract Price at the terms and in the manner prescribed by the Contract Document. 5. The Contract Price or such sum as may be payable shall be paid in Ethiopian Birr.
