VEHICLE SALES AGREEMENT VEHICLE SALES AGREEMENT (the Agreement), is entered into on the 2nd day of February, 2012,

between Indira Balram (the "Seller") and Tom Rogers (the "Buyer").

Background 1. The Seller desires to sell the vehicle described below (the "Acquired Vehicle"). 2. The Buyer desires to purchase the Acquired Vehicle offered for sale by Seller. Accordingly, the parties agree as follows:

I. Purchase of Acquired Vehicle Subject to the provisions of this Agreement, Buyer agrees to purchase, and Seller agrees to sell, free and clear of all liens, encumbrances and liabilities, the Acquired Vehicle as defined in this section. The Purchase Price for the Acquired Vehicle shall be $11,000 (the "Purchase Price"). a. Description of Acquired Vehicle 1. Make: Acura 2. Model: Accord 3. Body Type: Sedan 4. Body Color: Red 5. Year: 2009 6. Miles: 26,000 II. Payment of Purchase Price Buyer shall make payment to Seller by certified check in the amount of $11,000. III. Sellers Representations and Warranties a. The seller is the owner of and possesses marketable title to the Acquired Vehicle, free from all encumbrances. b. Seller represents that the odometer in the Acquired Vehicle now reads 26,000 miles and to the best of the Seller's knowledge, it reflects the actual mileage of the Acquired Vehicle. c. Seller represents that the Acquired Vehicle has been maintained in accordance with the owners manual and is in good operating condition. d. This vehicle is sold "AS IS", and Seller does not in any way, expressly or impliedly, give any warranties to Buyer. Seller expressly disclaims any implied warranties of merchantability or of fitness for a particular purpose.

IV. Sellers Covenants Seller hereby covenants and agrees to Buyer that: a. Beginning from the date the parties sign the Agreement and until the closing, the Seller shall not paint or drive the Acquired Vehicle more than 500 miles.

b. Beginning from the date the parties sign the Agreement and until the closing, the Seller shall garage and continue to maintain the Acquired Vehicle in accordance with the owners manual.

V. Closing Following the signing of the Agreement by both parties, the actions taken by the parties to close the transaction will take place on the last day of the month that follows the month in which the Agreement was signed (the Closing Date). Upon the Closing Date the Buyer will represent and warrant, through inspection of the Acquired Vehicle, that the Seller has performed his covenants and that the Sellers representations and warranties are true. If the Buyer does not make such representation and warranties than the Buyer is not obligated to purchase the Acquired Vehicle and this Agreement will be void.

VI. Delivery of Acquired Vehicle and Conveyance of Title Immediately upon completion of the Closing the Seller shall: a. Deliver the Acquired Vehicle, and Buyer shall take possession of same, at an agreed upon location; b. Be deemed to have fully and completely transferred to Buyer all his rights, title and interest, if any, in, as well as possession, custody and control of, the Acquired Vehicle. Seller shall not be liable or responsible for any liabilities or obligations of any kind or nature whatsoever arising out of, under, or related to the Acquired Vehicle from and after the Closing; and c. Convey title to Buyer upon delivery of the vehicle to Buyer. Seller agrees and covenants to execute all documents presented by Buyer which are necessary to finalize transfer of title and registration upon the Acquired Vehicle to Buyer.
