Stage 1 APPLICATION TO REGIONAL DIRECTOR FOR GRANT OF LICENCE

The application is to be made by the Promoter(s) in form 24A and contains the following: 1. Background of Promoters, 2. Brief description of work proposed to be carried out after Incorporation, 3. Grounds on which the application is made. 4. Three copies of Memorandum & Articles of Association duly executed by the Promoters. 5. Three copies of list of names, description, addresses of Promoters / Directors with the name of Organization(s) in which they arc holding responsible positions. 6. Three copies of statement showing estimates of future Income & Expenditure and Balance Sheet 7. A statement showing in detail the assets and liabilities of the company as on the date of application or within seven days of that date are also to be attached. 8. Declaration, on a non-judicial stamp paper of appropriate value duly notarised. by all the directors of the company that he is not of unsound mind, not an undischarged insolvent, has not applied for adjudication as insolvent, and has not been convicted by any court and is not disqualified to act as a director. 9. Declaration, on a non-judicial stamp paper of appropriate value duly notarized by a Chartered Accountant or an Advocate of a Supreme Court or of a High Court, an attorney or a pleader entitled to appear before a High Court or a Company Secretary that Memorandum & Articles of Association have been drawn up in accordance with the provisions of the Act and that all the requirements of the Act and the rules made there under have been duly complied with in respect of registration or matters incidental or supplementary thereto. 10. Stage 2 PUBLICATION IN NEWS PAPER

Within seven days of making the application, a notice is to be published once in English language in English Newspaper and once in vernacular language in local newspaper circulating in the district in which the registered office is proposed to be situated or is situated inviting objections to the application for grant of license. Such a notice has to provide minimum 30 days for receipt of objections and the Regional Director shall consider all objections received by him before grant of licence.

Stage 3 LIAISIONING WITH REGISTRAR OF COMPANIES IAISIONING

A copy of the application for grant of licence is also required to be submitted to the concerned Registrar of Companies with all enclosures.

A report is to be obtained from Registrar of Companies suggesting modifications in the documents

Stage 4 LIA LIASIONING WITH REGIONAL DIRECTOR OFFICE

Representing the Promoters before Regional Director for obtaining the licence and make the necessary corrections in MOA & AOA as suggested by the Honble Regional Director..

REGISTRATION OF COMPANY

After obtaining the licence the following documents are required to be executed (signed) before they are submitted to the ROC for registration

MOA and AOA - These are required to be executed by the promoters in their own hand in the presence of a witness in duplicate stating their full name, father's name, residential address, occupation, number of shares subscribed for, etc.

Form No. 1 - This is a declaration to be executed on a non-judicial stamp paper by one of the directors of the proposed company or other specified persons such as Chartered Accountants, Company Secretaries , Advocates, etc. stating that all the requirements of the incorporation have been complied with.

Form No. 18 - This is a form to be filed by one of the directors of the company informing the ROC the registered office of the proposed company.

Complete Address of the Registered office of the proposed Company along with the address of the Jurisdictional Police Station .

Form No.: 32 - This is a form stating the fact of appointment of the proposed No.: directors on the board of directors from the date of incorporation of the proposed company and is signed by one of the proposed directors.

Details required in addition to information stated in Form No. 1A 1. Name and address of Proprietorship and partnership firms in which the proposed Directors are proprietor and partner. 2. Nationality of the Directors.

Power of Attorney signed by all the subscribers of MOA authorizing one of the subscribers or any other person to act on their behalf for the purpose of incorporation and accepting the certificate of incorporation.

Filing fees as may be applicable.

Registrar of Companies thereafter shall process the documents. And if all the documents are in order then it will issue a Certificate of Incorporation.
