This Agreement has been made on this _____day of ________________2012, between Willbros Group, Inc. USA under the laws of the U.S (herein after called Willbros Group, Inc. expression shall where the context so admits include its successors-in-title and assigns) ___________________________________ herein after called the ________________________________________.

ARTICLE 1. The Willbros Group, Inc. USA desires to secure the services of a competent contractor to provide expertise services and others as specified in the appointment letter. 1.1 CONTRACTOR AND CONSULTANT represents Willbros Group, Inc. that it has the technical competence necessary for carrying out all the services, duties and obligations specified in this contract on the part of CONTRACTOR to be assumed and performed has agreed to carry out the same in accordance with the terms and conditions herein after set forth.

ARTICLE 2. : CONTRACT PERIOD 2.1 The contract period shall be for contract duration; the contract agreement shall last for the duration of 24 consecutive months (2yrs) and could be renewed only if the employer is satisfied with employees services. ARTICLE 3. : FEES FOR SERVICES AND MODE OF PAYMENT 3.1 The Willbros Group, Inc. shall pay CONTRACTOR/EMPLOYEE on satisfactory performances of the services stated in ARTICLE 1, through first party contractor the sum of USD.72,000 (Seventy Two Thousand Dollars) per annum which is USD.6,000 (Six Thousand Dollars) monthly. 3.2 The Willbros Group, Inc. shall pay for services rendered in ARTICLE 1. By cheque presented on a monthly basis at the rate stated in ARTICLE 3.1 3.3 Payments of undisputed invoices will be made by Willbros Group, Inc. to the Contractor/Employee monthly. 3.4 Willbros Group, Inc. shall pay all of the fees in ARTICLE 3.1 in US Dollars or Euros with a flexible account equivalent depending on employees home country and shall be paid 80% to an offshore account provided by him/her and 20% locally. The employee will be reimbursed by the company for reasonable moving expense incurred only as a result of relocation or early termination of leases, storage Page 1

charges; procurement of travel documents, flight ticket & immunization etc. Reimbursements shall be made before employee embark on journey not later than five(5) working days after submission of employees expense report and receipts, this is after the acquisition of relevant travelling papers through their local representatives assistance from the immigrations/internal affairs ministry in the US.

Willbros Group, Inc. shall pay USD.5, 000(Five Thousand Dollars) for travel allowances to employee. Travel shall be by Business class ticket, however for the purpose of commencement; the cost of travel ticket shall be paid in addition to travel allowances. Cost shall be substantiated and shall be the rate charged at the period/time of purchase. Employer shall also take care of employees family ticket for visiting on application granted by the company.

3.5 Confirmed employees are those that have successfully acquired and forwarded his/her necessary working permits documents duly certified by the US High Commission/Ministry of Foreign Affairs. Then they shall be entitled to ARTICLE 3.0-3.4. ARTICLE 4. ARTICLE 5. GENERAL ADMINISTRATION & MANAGEMENT 5.1 Unless otherwise stated in a superseding document, the contract administrator of Willbros Group, Inc. shall maintain general administration and management of the project and all progress reports should be addressed to Willbros Group, Inc. 5.2 Working shift hours is from 8.00A.M 4.00P.M

ARTICLE 6. ASSIGNEMENT 6.1 The CONTRACTOR shall not assign r transfer any or all of its rights, responsibilities or obligation under this Agreement without prior notice or written consent of Willbros Group, Inc. which consent shall not be unreasonably withheld. However, Willbros Group, Inc. shall be entitled without such consent to assign the transfer of any or all of its rights, responsibilities, obligations and liabilities under this agreement to any affiliate of Willbros Group, Inc. USA or its co-venture subject to prior written notification.

ARTICLE 7. INDEMNITY 7.1 The CONTRACTOR agrees to indemnify and hereby indemnifies Willbros Group, Inc. in respect of all third-party claims arising from the performance of this congtract. ARTICLE 8. FORCE MAJEURE 8.1 Notwithstanding anything herein stated, neither party should be considered a defaulter in the performance of its obligations under this agreement as a result of Force Majeure. The term Force Majeure shall include but not limited to Act of God, War, Natural disaster, Nationwide strike, Lockout, Riot and civil commotion. A strike or lockout embarked upon by only the CONTRACTORS/EMPLOYEE personnel shall not be deemed to be included in this term.

8.2 If an interruption of work occurs as result of Force Majeure for up to seven (7) days, 70% of the basic daily fees shall be paid as standby. However, if such suspension results in CONTRACTOR/EMPLOYEE not being able to perform its duties for more than seven (7) days, then Willbros Group, Inc. may at its option elect to continue the implementation of this agreement at adjusted standby rates to be negotiated by Willbros Group, Inc. and CONTRACTOR/EMPLOYEE or to terminate the contract.

ARTICLE 9. TERMINATION 9.1 This Agreement may be terminated :(i) If the services stated in ARTICLE 1 and are not rendered satisfactorily. (ii) If the duration of the Agreement stated in ARTICLE 2 expires and no extension has been given. (iii) Under Force majeure as states in ARTICLE 8

ARTICLE 10. DEFAULT OF CONTRACTOR/EMPLOYEE 10.1 In the event of default or non-compliance by CONTRACTOR/EMPLOYEE with the terms and conditions of this agreement of Willbros Group, Inc. shall give notice specifying areas of default and he/she shall have ten (10) calendar days to rectify to Willbros Group, Inc. satisfaction, the said defaults; if CONTRACTOR/EMPLOYEE does not rectify to Willbros Group, Inc. satisfaction the said defaults within ten (10) days of receipt of the notice Willbros Group, Inc. may proceed with termination of this agreement subject only to settlement of all payments due to outstanding at the time of termination.

ARTICLE 11. ADDRESSES FOR NOTICE 11.1 All notices and other communication required to be given hereunder by one party to the other shall be in writing and will not be sufficiently given if sent by post, faxed or delivered by hand. Notice shall be deemed to have been properly given if delivered by hand or registered post fourteen (14) days after dispatch r postage.

ARTICLE 12. ENTIRE AGREEMENT 12.1 This agreement embodies the entire understanding of the parties hereto and any prior representation or arrangements are hereby superseded. ARTICLE 13. EMPLOYEE VISA/WORK PERMIT All foreign employees must obtain visa/work permit from the United States High Commission/Immigration department, which contact will only be provided by Willbros Group, Inc affiliated agency to enable a better counseling/registration of every International worker that will be working with our company. You are not required obtain a Employee visa/work permit from the embassy directly from your own country since we have we have the soulful right to confront the High commission for the same as per the policy signed with both Willbros Group, Inc. and US High Commission.

NOTE:Every foreign employee(expertise) coming to work with the Willbros Group, Inc. USA must be responsible for obtaining both Visa & Work permit from the Embassy of the US. But after the employee resumes office with us; the charges paid for obtaining the visa/work permit will be reimbursed back to his personal account or provided with a cheque as this is the new policy of Willbros Group, Inc.

ARTICLE 14. ATTESTATION As WITNESS, the hands of the duly authorized representatives of the parties, the day and year first above written; SIGNED & DELIVERED ON BEHALF OF WILLBROS, GROUP Inc. USA
