THE AUDL MISSION


To provide fans with an affordable, exciting and entertaining sporting experience. To build and maintain interest in the sport within our communities through superior service, outstanding entertainment, and personal integrity. To serve and support each team within the league by providing a framework of organization and conduct.

THE AUDL PURPOSE


The American Ultimate Disc Leagues purpose is to provide oversight and direction in operating a professional organization: grow awareness of the sport and League; facilitate each teams profitability; grow the value of the League; promote overall League marketing and communications; and giving its fans affordable, unique sporting entertainment. American Ultimate Disc League offers affordable, fun and entertaining services within our communities. Our games are well run and professional. Our teams work with mutual respect and integrity with cooperation both on and off the field. By providing a successful framework, our owners have the ability to achieve their dreams.

THE AUDL VISION

INDIVDUAL TEAM ORGANIZATION/OPERATION


TEAM ORGANIZATION
Each individual team shall exist as either a sole proprietorship, Limited Liability Company, Corporation, or other entity as recognized with the State in which the individual team is located. The name of the individual team need not necessarily coincide with its corporate identification, however, if an individual team chooses to incorporate itself by a name different from the name it does business as, said team owner must provide the AUDL offices with a copy of the teams Certificate of Incorporation at the earliest opportunity. There shall be one person, hereinafter referred to as Team Owner or Owner who shall be responsible for communication, payment of individual team obligation both to creditors as well as the AUDL, and all other liability circumstances. This individual shall be denoted on the Territory License Agreement.

OBLIGATIONS OF TEAM OWNER


Each team shall provide the following items necessary for the playing in the AUDL: Home and Away uniforms as described in Section II L. below. A stadium with appropriate dimensions and contents as outlined below in the AUDL rulebook. Locker rooms with appropriate blackboards and other facilities to facilitate team meetings, changing, and showering after games. Each team shall also make available up to eight sideline panels to accommodate AUDL league sponsorship/partnership obligations. Each team shall contribute an equal share of insurance costs if a group contract is in place. Each team shall use AUDL approved vendors when available. Each team shall honor AUDL league partnership/sponsorship agreements. Revenues and Expenses Team owners are to share financial information with the League so that the League can share league statistical information with team owners. This includes average attendance, sources of revenue, and travel expenditures.

All business decisions relating to revenues and expenses are the responsibility of each team, so long as it does not violate the provisions of this operations manual. Communication Team owners must provide the scores and statistics from each game to the League office no later than 12 hours after completion of the game. Team owners must effectively communicate with other team owners regarding travel plans and game times prior to and during the day of the game. Any issues that would prevent a game from being played or being delayed must be brought to the attention of the League immediately. Team owners must work with other team owners to develop a schedule as well as coordinate all home and away game functions. See Section III for schedule details. Team owners must provide alternative contact information (such as a coach or captain) to the League and all other team owners. Players Each team is responsible for finding players to fill its active roster, up to a maximum of 20 players. A team can have up to five additional players on its reserve list. These players are not part of the active roster and may not be on the sideline of the games. A minimum of 12 players must be on the sideline for each game. Players must be a minimum age of 19 before January 1st of the season of play and must be male. The League must have an active roster for each team. If a change to the roster occurs, a player added from the reserve list may participate immediately. If a player is added that was not part of the active or reserve roster, they must go to the reserve list first and must sit out one week from the date that the change was notified to the League office before joining the active roster. After a teams sixth game, no new players may be added to the active or reserve rosters. Each team owner is responsible to make sure all players understand and adhere to the rules as prescribed by this operations manual. Team owners may compensate players at their own discretion. Officials Officials are to be identified and compensated by each team. 3

At least one (1) month prior to the start of the AUDL season, each team owner shall supply the AUDL offices with the following documentation:

All Officials are subject to approval by the League. Each team must coordinate with the Officials as to each game time and when they must be present. Grievances regarding Officials must be filed to the League office within 72 hours of the game in question. Officials may be suspended/terminated from officiating games by the League. Game Day Each team is responsible to set up the field at venue as determined in the AUDL rulebook. Equipment for play must be provided by the home team. Home team owners must coordinate to opposing team as to where to park and where to go once they arrive. Team owners must disclose to the League as well as each team owner within the League regarding any accommodations needed to play at their field. (This includes the ability to wear cleats or access to drinking water, etc) The home team must provide at least one medical EMT for the game. The home team must have emergency procedures in place for injuries to players and fans, as well as inclement weather. If the road team is late to the game, a fine will be paid to the home team in the amount of $100 for every minute late (from 30 minutes prior to the scheduled game time) up to $10,000. Failure to show up to the game will result in a forfeit. Owners may mutually agree to move the game time and avoid fines if prior notice is given to the League.

A valid policy of Workers Compensation Insurance which may be used to cover the Owners team for that season (if players are paid). A valid general policy of commonly known as an umbrella policy in the amount of One Million Dollars ($1,000,000.00) which names the American Ultimate Disc League, LLC as an additional insured party. This must be in place for all events including tryouts, combines, etc. A roster shall be provided prior to the start of the season including the following from said roster: The name of each individual participant along with a copy of his Drivers License or State ID. 4

Each team owner shall be responsible for any expenses incurred by their own individual team. This includes, but shall not be limited to the following expenses:
Player Salaries Coaches, and Front Office Staff Salaries Taxes of any type incurred by the individual team Stadium/Facility Rent Uniforms Equipment Advertisements, merchandise, and any other general operations expenses including, but not limited to office equipment, league dues, mascot, and other expenses necessary for the operation of a team. Payment of Game Day Officials for each home game.

A copy of the liability waiver form from each participant. A copy of the individual player contract from each participant. A copy of the medical history questionnaire of each participant. A copy of the above from coaches and trainers as well. A copy of the lease for any stadium and/or practice facility in which the individual team plays and/or practices.

Each individual team shall purchase discs as described in Section IV below. These discs must be purchased from the AUDL office who will order them in bulk from the supplier. Each team shall purchase discs from the AUDL offices before December 31 for each season. These orders must be paid in full prior to the ordering of said discs. Teams must have five new discs available for each home game. Each individual team shall maintain an internet website which shall be explained below. The team website shall be updated on at least a weekly basis during the season with fresh content and updated statistics and other updated information. Each team website format shall be determined by the League. This will ensure a level of quality and consistency necessary. All maintenance, design, and support shall be the responsibility of each owner. Each individual team shall select a team logo, secondary logo, and other team designed marketing materials. All logos, secondary logos, and other team designed

marketing materials are subject to the approval of the AUDL office. Team owner shall be present at ALL league meetings which shall be set by the AUDL. Failure of individual team owners to attend or to send a League approved designated representative to said meeting(s) shall result in a loss of team voting rights for future meetings as decided by the AUDL. Should a team owner choose to send a representative to said meeting(s), team owner shall seek league approval of said representative prior to attending the meeting. Said representative shall be empowered to make decisions on behalf of the team owner without hesitation. Teams are recommended to purchase Sound Director program to operate in-game music and sound effects. Special AUDL pricing is available. Each individual team shall purchase any and all of AUDL selected equipment which in accordance of the AUDL standards is necessary to operate on a consistent and professional level. This shall include any and all equipment which the AUDL has entered into a partnership agreement with sponsors or suppliers in a league-wide deal. Team owners shall endeavor to carry a positive attitude forward with regard to their team, and the AUDL. Should a problem arise within the individual owners team, or as between an individual team and the league, team owner shall notify the League President promptly, prior to the publication of said problem or situation in any press or media outlet. The AUDL will endeavor to remedy these problems or situations as they develop on an individual basis. Each individual team shall purchase game uniforms as described in the AUDL rulebook. These uniforms must be purchased from the AUDL exclusive uniform provider (if one is chosen). These orders must be paid in full prior to the ordering of said uniforms.
Home Jerseys

Team ownership cannot be transferred without League approval. For approval the potential ownership group must submit a League application. Approval or Denial will be made within 10 business days from receiving the application. Team Owners who fail to adhere to the above rules and regulation may, from time to time as decided by the AUDL be fined in amounts commensurate with the infraction committed pursuant to the following guidelines:
Reason for failure to follow rule. Cooperation in the investigation of the matter. Attitude of the violator. Number of prior infractions. The actual violation itself and its affect on others. Any cost associated with the violation to the League be it pecuniary, monetary, or otherwise.

Player numbers on back of jersey must be size as determined by the league. Team Owners who violate league rules may be punished in the following manner, commensurate with the above guidelines:
Fines Teams may be fined in amounts to be determined by the AUDL. Loss of Players Teams may be penalized by restricting their ability to draft and/or sign free agents during the AUDL season. Loss or Forfeit of games Teams may be forced to forfeit wins and or cancel games all together. Suspension Teams may be suspended from play during the regular season, playoffs, AUDL Championship Game, AUDL AllStar Game, or the ability to host a tryout or other off-season workout. Expulsion Teams may be expelled from the AUDL all together. 7

LEAGUE OPERATION/LEAGUE DUTIES TO TEAMS

The American Ultimate Disc League, LLC is a Limited Liability Company formed in the State of Nebraska doing business as the American Ultimate Disc League, or the AUDL. The AUDL shall be organized in the following manner:
Executive Committee will be comprised of AUDL Founder Josh Moore, who shall deal with the following issues: Fine, punish and/or sanction teams/owners for noncompliance per the above stated guidelines. Approve schedule of games of competition set by team owners. Approve league-wide sponsorship/partnership agreements. Secure and approve league-wide media contracts. Approve team based sponsorship/partnerships in the event of any possible conflicts with league sponsors/partners. Provide basic/general management support to teams/owners. Formulate and determine standard player contracts, and standard coaches contracts with help of attorney, medical waiver/disclosure. Provide trophy to winning team, and awards to players and coaches. Maintain league website. Compile statistics and other league information. Duties of the American Ultimate Disc League to Team Owners League Operations Facilitate interaction between teams to develop their own schedules by working with the other team owners. Final schedule will require League approval. Each team shall play a minimum of 9 home games in the stadium contracted for the upcoming season of play. League will provide training materials for the officials. Coordination of game discs and other equipment as provided to the AUDL via sponsorship, trade-out, or via other means. Provide website hosting for team websites.

Pass on discounts and other benefits accrued from various vendors, or sponsors. Seek out new territories and cultivate and acquire additional teams for membership in the AUDL. Set and enforce standards for play, membership, conduct of players, coaches, office staff and owners of the AUDL member teams. Create standardized forms, contracts, and other legal documents to assist member teams in the administration of their teams. Assist member teams in the day to day operation of their team via league resources when necessary and available. AUDL shall assist member teams in contract negotiations for stadium sites, media outlets, personnel, or other team related negotiations when necessary and available. The League shall pay for the printing of the banners for its eight league-wide sponsors. All revenue from the League sponsors is 100% to the League. Call annual meetings for owners, committees, and for the executive committee to transact league business. Market the AUDL and assist individual member teams in the marketing and selling of their product when necessary and available. Negotiate a television deal, with consent of team owners. 10% of television profits are allocated to the League, with the remaining 90% allocated equally to all other team owners, regardless of television appearances. House statistics and compile them on a common website for the benefit of the individual teams and players and fans of the AUDL. Resolve and mediate disputes between member teams. Enforce the rules and regulations as propounded by this Operations Manual. Voting rights All owners must consent to the rules described in this Operations Manual based on the voting rules in this section. All items within the Operations Manual are subject to change. The AUDL president or any team owner may propose a vote to modify any portion herein.

When a vote is proposed, all parties will be given an opportunity to discuss the changes. Each team receives one vote and a greater than 50% majority must be obtained for the change to occur. Team owners or an assigned representative must be present (either in person or over the phone) in order to vote. In the event of a tie vote, the AUDL president shall cast a vote to break the tie. The AUDL president does not vote otherwise. The AUDL president will have veto power over any vote that receives over 50% majority. The AUDL president may not force a change to the rules without majority vote consent. After each season of play and prior to the following season, owners must be allowed an opportunity to propose changes to the rules and subsequently vote on the proposals. Scheduling Each team shall play teams home and away as prescribed by the league format determined by the league and approved by the owners. Scheduling is the responsibility of each team owner, subject to the Leagues approval. All regular season games for the inaugural season must be completed between April 1st and July 22nd, , 2012. Playoffs The #1 seed of the Eastern division and the #1 seed of the Western division will each host the divisional playoffs at their home stadium over the weekend of July 28 and 29, 2012. The top four teams from each division will make the playoffs. The #1 seed will play the #4 seed and the #2 seed will play the #3 seed for each division in the first round. The second round will be played between the first round winners to determine division champions on July 29, 2012. The final game will be the championship game between division champions on August 11, 2012 in Pontiac, Michigan. Seeds will be determined by best records. In the event of a tie, the first tie-breaker will be head to head records. The second tie-breaker will be point differential for the season. In the event that there is still a tie, a coin toss will be used to determine playoff seeding. 10

Each team that is not playing in the championship game will select one member of the team to play in the All-Star game that will be played the same day as the championship game.

AGREEMENT SIGNATURE PAGE I have read the entire AUDL Operations Manual. As an owner within the AUDL I agree to adhere to the items listed therein. I understand these responsibilities, and I agree to comply with all policies and procedures, and any additional policies and procedures as voted by the league and its owners. I understand that the AUDL reserves the right to revoke my ownership if I violate one or more of these policies.
