SPECIAL COMPETENCE OF TKP LAW FIRM 1. BANKING, FINANCE AND MAJOR PROJECTS PRACTICE GROUP TKP acts for domestic and foreign financial institutions in all aspects of banking and finance, including advice on documentation for commercial domestic and foreign loans, syndicated loans, construction loans, project finance, asset based instruments, structured finance arrangements, leasing, letters of credit and security arrangements, corporate finance including convertible and exchangeable bonds and convertible performance debentures, and the issuing of floating rate notes (FRN) and medium term notes (MTN). TKP also represents borrowers, project sponsors and developers in securing financing for their operations and major projects and the privatization of infrastructure projects in Indonesia. COMMERCIAL LITIGATION / ARBITRATION PRACTICE GROUP TKP provides advocacy services involving commercial disputes before Indonesian courts and representation in bankruptcy/insolvency proceedings. LABOR AND EMPLOYMENT Advising clients on all aspects of Indonesian employment law, including Company Regulations, employment contracts, retrenchment negotiations and separation agreements and labor disputes before the dispute resolution tribunals. We also assist clients in securing expatriate visas, working permits and in dealing with the immigration authorities. 9. HOTEL & REAL ESTATE DEVELOPMENT, CONSTRUCTION, ENVIRONMENTAL COMPLIANCE Advises on legal aspects of hotel and real estate development and on all aspects of construction law, including the preparation and negotiation of consultancy and construction project agreements. We also assist clients on compliance with environmental laws and hazardous waste regulations. 10. INSURANCE Advises on the establishment of joint venture insurance companies and acquisitions of shares or assets of existing insurance companies. We also advise on the regulatory aspects of the insurance sector and Pension Funds, and conduct legal audits/due diligence. TKP also advises foreign insurance companies on marketing restrictions and related legal issues in promoting insurance products in Indonesia.

INTELLECTUAL PROPERTY PRACTICE GROUP Assists foreign and Indonesian companies in pursuing intellectual property protection for copyrights, patents, trademarks, geographical indications, trade secrets, industrial designs and layout of integrated circuits. TKP also provides related IP litigation services. We advise on intellectual property licensing, including software, technology inventions, know-how and manufacturing processes.
