Re: {Associate} Dear {Sir or Madam}: This letter describes my understanding of the service agreement between Cognizant Technology Solutions US Corporation (Cognizant) and {Client}, specifically, in reference to {Associate}, and to detail {his / her} job duties. Presently, I hold the position of {JOB TITLE} of {CLIENT}. Cognizant and {CLIENT} have entered into a Master Service Agreement (MSA) that is valid until it is terminated by either {CLIENT} or Cognizant. {CLIENT} and Cognizant specify additional projects, extensions, and/ or modifications of existing projects via different contractual vehicles, including, but not limited to, Statements-ofWork (SOWs). Under this MSA, there are several active projects, so at any given time there may be simultaneously active projects under various SOWs and/ or other instruments. In this instance, {CLIENT} and Cognizant have agreed to extend one of these projects, {PROJECT}, to {Month/Day/Year}. Although a given SOW may be based on project milestones, we forecast that this engagement will be extended on an annual basis through {PROPOSED COMPLETION DATE}. We understand that Cognizant has assigned its employee, {Associate}, to this project and that {he / she} is performing {his / her} Cognizant job duties at our office located at {WORKSITE ADDRESS}. Cognizant directly employs and controls all Cognizant employees, whether onsite at its facility, at a Cognizant office, or a Cognizant employees home office. The on-going performance communication takes place between the Cognizant employee and that employees Cognizant manager. To be clear, {Associate} will be evaluated by Cognizant managers only. The Cognizant Project Manager for the {Project} is {COGNIZANT MANAGERS NAME}, who is a direct employee of Cognizant and who functions as a {COGNIZANT MANAGERS DESIGNATION} of Cognizant. Cognizant selects which of its employees conduct work on any of {CLIENT}s projects, determines what activities its employees perform, and directly supervises and controls the work of those employees. At all times Cognizant is responsible for paying the salaries, benefits, and expenses for its employees assigned to {CLIENT}s projects. In no way does {CLIENT} employ those individuals, or function as their employer.

Cognizant has selected its employee {Mr./Ms.} {Associate}, as noted above {Mr./Ms.} {Associate} does not perform his Cognizant job duties at {CLIENT} office. {Associate}s job title is {DESIGNATION} of Cognizant. As Cognizant managers directly direct and control {ASSOCIATE}s work activities, {CLIENT} has limited visibility of the day-to-day work activities of any given Cognizant employee. Accordingly, the most accurate and detailed description of a Cognizant employees work activities may be obtained from Cognizant. My understanding is that generally {Associate}s duties, include the following: {BRIEF JOB DESCRIPTION}. {Associate} will apply advanced IT theories and methods to prove the validity of Cognizants customized software concepts, and to convey the technical framework to the Cognizant project team for development as well as midcourse strategic corrections.
