GATI Limited CODE OF BUSINESS CONDUCT AND ETHICS 1. Authority and Applicability : The Board of Directors (the Board) of GATI Limited (the Company) have adopted the following Code of Business Conduct and Ethics (the Code) for Directors of the Company (Directors) and all Chiefs of Functions (Covered Employees). The Board of Directors reserve their right to alter / amend / modify / enlarge the scope, extent and applicability of this Code to the employees of the Company. 2.Objectivity : The main object of the Code is to set a benchmark for the Companys commitment to values and ethical business conduct and practices. Its purpose is to conduct the business of the Company in accordance with its value systems, fair and ethical practices, applicable laws, rules & regulations. Further, the Code provides for the highest standard of professional integrity while discharging the duties and to promote and demonstrate professionalism in the Company.

The Company is committed towards ethical and lawful business conduct and acknowledges it as critical to its success. The Company undertakes to uphold the ethical practices and legal standards while pursuing its objectives. Consistent with these principles, the Code has been adopted both in letter and spirit by all the Directors and Covered Employees of the company. While it is not possible to anticipate every situation or circumstance that may arise, the Code is intended to serve as a board guideline. 3. Non-Compliance : While performing their respective functions, all the Directors and Covered Employees shall always ensure non-violation of the Code herein and to : * act with integrity, probity, honesty, transparency and with utmost good faith; * assist in achieving the Company's Objectives by adopting fair and ethical practices and create an organization that is responsive, positive, driven by business and social needs. All Directors / Covered Employees who violates / deviate from the requirements of the Code herein shall attract prosecution including but not limited to disciplinary action, which may also include termination of office / employment. 4.Compliance with Laws, Rules and Regulations : All Directors and Covered Employees shall understand that the compliance with the laws of the land, ethical practices, fair conduct and integrity are the essence of the Code and they shall comply with all the applicable laws of the land, in which the Company operates, apply ethical practices, conduct themselves in a fair manner and ensure their integrity towards the Company. Any violation of any provision of laws, rules or regulations may render such Director / Covered Employee liable for criminal and / or civil liability, in addition to disciplinary action by the Company. 5.Conflicts of Interest : a. When any Director / Covered Employee has a personal interest of whatsoever nature, in any transaction of the Company, in whatsoever manner, then Conflict of Interest arises. As a general rule, all Directors and Covered Employees shall avoid actual and / or apparent Conflict of Interest and shall always uphold the interests of the Company as a professional in letter and spirit. b. Also, a situation of Conflict of Interest arises when a Director and / or a Covered Employee has interest in any transaction of the Company that may render / make it difficult for such Director and / or Covered Employee to perform / discharge his or her duties to the Company objectively and / or effectively. An example of a situation of Conflict of Interest is when a Director and / or a Covered Employee or member of his or her family, receives personal benefits in any form, in whatever manner / nature as a result of his or her position in the Company. c. It is deemed to be a Conflict of Interest and / or compromising the integrity of a Director and /or a Covered Employee, if they work simultaneously for a competitor, customer, supplier or a third party

in violation of the terms of their appointment. No Director and / or a Covered Employee is entitled to work for a competitor, customer, supplier or a third party involved in similar or identical business that is being carried on by the Company in any capacity viz., as a consultant or as board member, etc unless approved by the Board. Conflict of Interest is strictly prohibited as a matter of Companys policy, except under certain circumstances with the prior written approval of the Board and subject to limitations imposed under law. As it is not possible to describe all situations of Conflicts of Interest that may arise. Conflicts of Interest may not always be clear-cut or specific and hence, if a Director and / or a Covered Employee is not clear, he / she should seek guidance of his / her immediate superior and / or the Chairman of the Audit Committee. d. The purpose of business entertainment and gifts in a commercial setup is to create goodwill and sound working relationships, not to gain any unfair advantage with customers or suppliers or third parties. No costly / unusual gift or entertainment should be offered, given, provided or accepted by any Director / Covered Employee or his / her relatives. e.Directors / Covered Employees shall not use the Company's assets, labour or information for personal use except as outlined in Section 10, Protection and Proper Use of Company Assets and Proprietary Information, or unless approved by the Chairman of the Audit Committee or as part of a compensation or expense reimbursement program available to all Directors / Covered Employees. f. A Director's disclosure of interest under Section 299 of the Companies Act, 1956 shall be treated as sufficient compliance under this clause regarding situations of potential Conflict of Interest. 6. Insider Trading : In order to assist in compliance with the applicable laws / regulations against insider trading, the Company has adopted the Code of Conduct for Prevention of Insider Trading governing trading in securities of the Company and Group Companies by each Director and / or designated employee. Hence, strict adherence of the Company's Code of Conduct for Prevention of Insider Trading shall be mandatory and form part of this Code. 7. Competition and Fair Dealing : The Company strives to outperform its competition by adopting fair and ethical practices. Each Director / Covered Employee shall deal diligently and fairly with the Company's customers, suppliers, competitors and employees and should not take any unfair or undue advantage of anyone through any intentional or unfairdealings, unethical practices. Pilfering proprietary information, possessing trade secrets and confidential information obtained without the owner's consent, or

inducing such disclosures by / through past or present employees of competitor is prohibited. 8. Discrimination and Harassment : The Company is firmly committed to providing equal opportunity to all in all aspects of employment without any discrimination and harassment of any type . 9. Health and Safety : The Company strives to provide each employee with a safe and healthy work environment. Every Director / Covered Employee has a responsibility towards maintaining a safe and healthy workplace by following all safety and health rules and practices and reporting accidents, injuries and unsafe equipment, practices or conditions. Being under the influence of illegal drugs and/or alcohol on the job is absolutely prohibited. 10. Confidentiality : Directors / Covered Employees shall maintain confidentiality of information entrusted to them by the Company and any other confidential information about the Company that comes to their knowledge, from whatever source, in their capacity as Directors / Covered Employees, except when disclosure is duly authorized by the Chief Executive Officer or Chief Financial Officer or the Audit Committee or the Board of Directors or is required by laws or regulations. Confidentiality extends to information that suppliers and customers have entrusted to the Company. Use of confidential information for personal gain is strictly prohibited 11.Protection and Proper Use of Company Assets and Proprietary Information : All Directors / Covered Employees must endeavor to protect the Company's assets and ensure their efficient use. Any suspected incident of fraud or theft should be immediately reported to the Head of Human Resource Department and in appropriate cases, the Chairman of the Audit Committee for investigation. Company assets should not be used for personal use or for personal gain, though incidental personal use may be permitted when properly authorized. The obligation of Directors / Covered Employees to protect the Company's assets includes protecting its proprietary information. Proprietary information includes intellectual property such as trade secrets, patents, trademarks, designs and copyrights, as well as business, marketing and service plans, engineering and manufacturing ideas, designs, databases, records and unpublished financial data. Unauthorized use or distribution of such information shall not only be a violation of this Code and the terms of employment with the Company, but could also be illegal and result in civil and/or criminal prosecution. 12. Reporting any Illegal or Unethical Behavior : If any Director / Covered Employee believes that a violation of or significant deviation from the Code has occurred or has become unavoidable, he/she must inform in writing to the head of the Human Resources Department and in appropriate cases, the Chairman of the Audit Committee. Use of the above reporting procedures in bad faith or in a false or frivolous manner shall be treated as gross violation of the Code. 13. Waiver of the Codes :

Any waiver of the applicability of the Code or waiver of application of any provision of the Code to any Director / Covered Employee shall be approved by the Board of Directors and disclosed as required by law or SEBI / Stock Exchange regulations. 14. Compliance Procedures: Each Director and Covered Employee shall report on or before of April 15 of each year, compliance of the Code in the prescribed form as per the Annexure to the Code.

Environment

Relief Intiative to the Assam Flood victims

Assam, the north-eastern state in India experienced the worst floods in several years, in June 2012, 27 of its 28 districts were inundated. The state which is surrounded by the mighty Brahmaputra river and many of its tributaries breached their banks because of the heavy downpours, washing away thousands of homes, leaving lakhs of people displaced, and also killed hundreds of animals at Kaziranga National Park. The Indian Prime minister said that It was one of the worst floods being faced by the people of Assam in the recent times. Hundreds of soldiers and rescue workers from the National Disaster Response Force had been deployed for rescue and relief efforts, while military helicopters airlifted people and dropped food. GATI-KWE stepped in to make it small contribution to the relief operations being carried out, the GATI-KWE Team at Calcutta had a dedicated GATI_KWE vehicle to carry relief materials to the flood affected areas. In addition to this, a dedicated warehouse space was also provided for storage of relief materials that needed to be transported to the affected areas.

Harith Andhra Pradesh' Initiative, Andhra Pradesh 16th July 2010, Gati partnered with the AP Government towards turning the state into Harith Andhra Pradesh. This first of its kind initiative to plant a million trees on a single day had been taken up by the state government to fulfil the cherished dream of late Chief Minister, Dr. Y.S. Rajasekhara Reddy in turning the state into Harith Andhra Pradesh, and in turn towards the larger cause of Global Warming.

This drive, envisaged planting a whopping One Million Saplings in just one day across Andhra Pradesh. As part of this historic tree plantation program, Gati provided the complete logistic support needed for organising transportation of the saplings from nurseries to various plantation sites.

Blood Donation Camp

17th September, 2012 - Corporate Social Responsibility has always been at the heart of affairs at GATI. Every year on 17th September ,the death anniversary of our founder Late Shri P.D. Agarwal, GATI organizes blood donation camps. This year, a large camp was organized at the Gati Head Office, Hyderabad in association with the Red Cross Society of India. The camp witnessed a large number of employees coming forward to donate blood for this noble cause. The blood collected at this camp would be used mainly for thalassemia children.

Construction of Work Sheds for the flood affected weavers in Rajouli

Rajouli village, known for its famous Gadwal sarees was among one of the worst affected villages in Mahabubnagar district, Andhra Pradesh that was hit by the floods in the first week of October 2009. While the Government provided assistance in building houses for the villagers there, Gati acquired 2 acres of land in the village just opposite to where these houses were being constructed and built two worksheds for the weavers there in line with their requirements. The first workshed was inaugurated on September 21, 2010 and the second on December 23, 2011. Both the worksheds together accommodate 78 weavers. Gati also tied up with Enadu to provide looms to these weavers . In addition to construction of worksheds, a yarn spinning machine was also provided to them to make them self sufficient. Proper facilities in terms of washrooms, drinking water, plantation of trees, etc has also been provided.

Gati Government School, Hyderabad, Andhra Pradesh

As a contribution to the Andhra Pradesh Janmabhoomi program, Gati partnered with the Govt of AP and built a school building with all necessary facilities -- spacious classrooms, toilets and staff rooms.The building has a total of 27 rooms and a large playground. Apart from this, Gati also provided all the necessary furniture needed for students and staff. Even today, the housekeeping, security and maintenance of the school are still under our purview. Gati also organizes and sponsors all yearly events conducted at the school. Today the school provides education for over 1000 plus students.

An Introduction Over 2 decades of experience and many firsts


Gati pioneered express distribution service in India in 1989.Gati was one of the first companies to print its delivery date on the docket and offer money back guarantee, by accepting payment after producing proof of delivery a POD. Gati started the practice which is now perceived as a standard norm in the industry. Gati first started operations between Madras and Madurai. After in-depth planning, Gati launched its operations in four stations: Hyderabad, Bangalore, Madras and Hosur in 1989.in the generic cargo segment. Gati's business model was different , it choose to focus on the customers needs right from day one and time bound, point to point delivery, premium priced cargo management service was its key value proposition. Gati never operated the transport vehicles on it's own from the beginning itself, instead developed the Business Partner concept of Gati Associates, thus giving rise to a team of entrepreneurs who were independent business partners of Gati. The name Gati was coined after short listing several Sanskrit-based names . Gati reflects speed with direction, true to the way of its operations.

Gati started it's operations as a door-to-door cargo company, a division of Transport Corporation of India (TCI) in 1989. Mr.Mahendra Agarwal Founder & CEO of Gati Ltd wanted to rebuild TCI based on processes, systems and manage it professionally to meet consumer implicit and explicit delivery needs. Over period of 7 years, under the leadership of Mr. Mahendra Agarwal the division flourished into a small business and in 1994, Gati was ready to separate from TCI and perform on its own. The actual legal separation took place in 1996 and the division emerged, Gati came into being an 18 Crores cargo business, splitting from its 200 crores mother company, TCI. From Initial four years of its operation, delivery commitments took priority over complete utilization of capacity and Gati was focused on to its aim to provide time bound and point to point delivery..

Innovation, Value-addition and growth (1994 2001)


Gati introduced desk-to-desk service to meet the price sensitive customer market in 1994. The placement of desk to desk cargo was between regular transportation and premium cargo. Premium cargo was next day delivery and Desk to Desk was delivered within four days. As Gati grew in terms of business volume, services and revenue, Gati made the transition from small cargo services to cargo management. This was a period for many firsts. Gati introduced toll-free numbers for the first time in the Indian logistics segment and became the first 3PL service provider in India. Gati was also the first logistics company in India to be awarded an ISO 9001 certification. Gati's legal separation took place from TCI in 1996 through a de-merger process marked a period of rapid growth as the Gati took over parts of the TCIs business, the shipping division was named as Gati Coast to Coast and the TCI Highways division was taken over by Gati. Gati took its first steps towards acquiring a corporate identity, the beginnings of Gati Ltd. Based on volume of traffic, origin and destination, Gati tied up with Indian Airlines (IA) for a fixed price long term contract. Delivery of premium cargo became easy and accurate. IA complimented the 550 locations Gati served at that point of time. Gati expanded its service network to include multi-modal services, courier services and international operations to SAARC countries. Business grew from servicing 2 regions to 10.

Gati Process, technology, automation and awards (20012006)


To sharpen marketing focus, operational efficiency and improve service quality, Gati reorganized itself right from the zonal level and affected a separation of its verticals and corporate functions. Gati became a process oriented organization implementing performance metrics and evaluations across the board services, HR and operations. In 2001, Gati launched the first millennium parcel express service, an exclusive cargo train between Mumbai and Kolkata in association with Indian Railways. Gati went on looking for a centroid to base its business operations and found Singapore, an international business hub, ideally suited for its purposes. During this time, to keep itself on its toes, Gati kept revisiting its basic value proposition service delivery. In 2003, Gati @web was launched and which in place on these words to equipped its front office with the information to tailor its response to individual customer requirements at one click shipments tracking, service quality, complaints and more. The project comprised of three different components: Gati Enterprise Management System (GEMS), Oracle Financials and Oracle CRM. GEMS was the main application which was to be custom built covering all activities of Gati. Providing vital information to keep customers focused on their core business, Gati implemented 24x7 call centres to understand and manage customer expectations, plan cargos, shipments & routes. On the automation front, Gati was thinking mechanized racking systems, automated warehouses

and more. Finally in 2005, Gati settled for the best state of the art mechantronic warehouses in all major cities across India. The year 2006 saw the introduction of Gati Student express, on-line employee information & performance system, customer convenience centres and redemption coupons to settle cashless claims.The awards kept coming. Frost & Sullivan declared Gati The Best Logistics Company. HCL called Gati its Best Logistics Partner. Champion CIOEnterprise Connect Award, Amity-HR Excellence Award (which the company has consistently won for 5 years now) and Super Brand status to name a few.

Empowering the network: Strategic alliances and customised service offerings (2007- 2009)
Gati expanded its network in India, China and Europe following strategic tie-ups with logistic service partners. Sophisticated vehicle tracking systems, technologically superior container vehicles and Service Quality Standardization were all introduced to strengthen and enhance Gatis promise of superior service delivery. In 2008, Gati did wonders by launching the Centralized Call Centre at Nagpur, the Millennium Parcel Express Train between KYN (Mumbai) and Guwahati, Centralized POD Cell and Gati Happiness, an on-line window for customers to buy a range of delicious speciality products from different parts of India. Even Gati Art Express, Gati Academy and Gati Cafe Deliver were launched to improve service spread and quality. To speed up processing and reduce lead time, electronic Proof Of Delivery (POD) and centralized POD cells were implemented, followed by DOD direct (Draft on line)and real time shipment notification.

Year of Transformation, Recognition & Growth (2010-2011)


In Jan 2010, Gati went a step forward to help its customer by providing complete integrated Supply Chain Solution hence becoming a knowledgeable company by launching 'RedSun', Gati's Supply Chain Division. In Nov 2010, Gati also ventured into E-Commerce business by launching 'makemygiftz.com', Gati's new web service to offer its customer a complete ecommerce platform linked to a physical distribution network. Also, Gati Coast to Coast was re-

branded and named as Gati Ships in 2010. Gati was given the title of Consumer Super Brand in 2009-2010, in Logistics.
