CONTRACT BETWEEN EAST HADDAM BOARD OF EDUCATION AND INTERIM SUPERINTENDENT OF SCHOOLS It is hereby agreed by and between the

BOARD OF EDUCATION OF THE TOWN OF EAST HADDAM (hereinafter called the "Board") and Mary Beth Iacobelli, hereinafter called the "Interim Superintendent") that the said Board does hereby employ the said Mary Beth Iacobelli as Interim Superintendent of Schools of East Haddam and that Mary Beth Iacobelli hereby accepts employment as Interim Superintendent of Schools of East Haddam upon the terms and conditions hereinafter set forth. l. DUTIES. The Interim Superintendent of Schools is the chief executive officer of the Board. In harmony with the policies of the Board of Education, the State laws, and the State Board of Education Regulations, the Interim Superintendent has executive authority over the school system and the responsibility for its supervision. She has the general authority to act at her discretion, subject to later approval by the Board of Education, upon all emergency matters and those as to which her powers and duties are not expressly limited or are not particularly set forth. She advises the Board on policies and plans that the Board takes under consideration, and she takes the initiative in presenting to the Board policy and planning issues for the Board's attention. The Interim Superintendent or her designee as approved by the Board of Education shall attend all meetings of the Board of Education and Town that involve Board of Education issues. The Interim Superintendent shall participate in all Board deliberations, except when matters relating to her own employment are under consideration. The Interim Superintendent shall receive notice of all Board committee meetings and she or her designee may attend such meetings. 2. TERM. The term of said employment is for one year from July 1, 2012 to June 30, 2013. Anything in this section to the contrary notwithstanding, the provisions of Section 6 shall take precedence and the Interim Superintendent's employment may be terminated under the provisions of said section. SALARY. The base salary of the Interim Superintendent shall be $150,000. Any adjustment in salary made during the life of this contract shall be in the form of an amendment and shall become part of this contract. It is provided, however, that by so doing it shall not be considered that the Board of Education has entered into a new contract with the Interim Superintendent or that the termination date of the existing contract has been extended. FRINGE BENEFITS AND WORKING CONDITIONS. A. The Interim Superintendent is entitled to personal injury benefits whenever she is absent as a result of personal injury caused by an accident arising out of and in the course of her employment during work related activities, she shall be paid her full salary less the amount of any worker's compensation award made for temporary disability due to said injury for the period of such absence.

FRINGE BENEFITS AND WORKING CONDITIONS. (Contd) B. At any time during the life of this Agreement, the Board and the Interim Superintendent may mutually agree to increase or decrease the fringe benefits.

C. (1) The Board of Education agrees to provide the Interim Superintendent with the group health insurance benefits for herself and her eligible dependent(s) with the cost of the premium shared as follows: 82.0% Board; 18.0% Interim Superintendent. The Interim Superintendent may choose either Plan 1 or Plan 2. Plan 1 (a) Anthem Blue Cross Century Preferred Provide Plan (PPO) with a $25.00 Home and Office co-payment and a $100.00 emergency room co-payment. The Prescription Benefit is the Municipal 3-Tier Managed Plan with $10.00 Generic, $25.00 Brand Name on list, $40.00 Brand Name off list with a calendar year coverage maximum that is unlimited. Mail order is two times co-pay. Inpatient deductible - $500.00; Outpatient deductible - $200.00. In-network lifetime maximum benefit is unlimited. Out-of-network services will be subject to annual deductibles of $200/$400/$500 co-insurance to $4,000/$8,000/$10,000 with $1,000/$2,000/$2,500 cost share maximum. Out-of-network lifetime maximum benefit is $1,000,000.

High Deductible Health Plan HDHP The Board and the Interim Superintendent mutually agree that the Interim Superintendent shall have the option of participating in a HDHP. Participation in such plan is voluntary and the employee retains the right to re-enroll in a primary insurance plan during the open enrollment period in June of every year. The insurance plan details are maintained at the Superintendents office. The Interim Superintendent shall be responsible for paying the HDHP premium costs in the same amount each year as she would for the PPO plan. If eligible, the Board will fund an amount equal to fifty percent (50%) of the annual deductible. The parties acknowledge that the Boards 50% contribution toward the funding of the Health Savings Account (HSA) is not an element of the underlying plan, but rather relates to the manner in which the deductible shall be funded for active employees. The Board shall have no obligation to fund any portion of the plan for retirees or other individuals upon their separation from employment.

FRINGE BENEFITS AND WORKING CONDITIONS. (Contd) The Interim Superintendent will be responsible for opening the HSA and for any bank fees associated with maintaining the HSA account. The Board will make provisions for a before tax direct deposit payroll deduction if the Interim Superintendent chooses to use this feature. If the Interim Superintendent separates from employment or otherwise ceases to participate in the plan, she will only be entitled to a pro-rated portion of the above-defined Board contribution. In accordance with the provisions of the IRS, all contributions into the HSA account are the property of the account holder. (2) If the Interim Superintendent chooses the more expensive group health insurance plan (or is ineligible for the less expensive plan), she agrees to pay the difference between the Board of Educations total cost for Plan 1 described in Sections C(1)(a) through (f) and the Boards total cost for Plan 2, the High Deductible Health Plan (HDHP) as set forth in Section C(1). Group dental insurance, individual only, premiums are split 75% Board, 25% individual. The Board of Education retains the right to choose its own dental insurance vendor so long as the coverage is comparable and/or equal to the American Dental Association standards. The Board of Education retains the right to choose its own insurance vendor(s) so long as the coverage is equal to that mutually agreed upon. The insurance contributions paid by the Interim Superintendent for health insurance shall be paid by way of a payroll deduction.

Other Insurance: Life and disability insurance is provided at no cost to the Interim Superintendent by the Board. (1) (2) Life Insurance: Life insurance shall be 3x salary to the nearest $1,000. Disability Insurance: The Interim Superintendent will receive disability insurance provided she is insurable, per calendar year insuring her salary up to $5,000 per month.

There shall be a total of fifteen (15) sick days per year. The Interim Superintendent shall have a comprehensive medical examination once each year. A statement from the examining physician certifying to the physical competency of the Interim Superintendent to perform her duties shall be filed with the clerk or Secretary of the Board and treated as confidential information by the Board. The entire cost of said medical exam and report shall be borne by the District to the extent not covered by medical insurance. The Interim Superintendent shall receive fifteen (15) vacation days. The first ten (10) shall be used at the start of July 2012. The remainder shall be available on days 3

EVALUATION. A. The Board shall evaluate and assess the performance of the Interim Superintendent during the term of this agreement in accordance with guidelines and criteria as may be mutually agreed between the Board and the Interim Superintendent. Said evaluation and assessment shall be reasonably related to the goals and objectives of the District. The Interim Superintendent shall submit to the Board a recommended format for said evaluation and assessment of her performance. The evaluation format shall be reasonably objective and shall contain at least the following criteria: educational leadership, organizational management, community and board of education relations, and personal and professional qualities and relationships. The Board shall meet and discuss the evaluation format with the Interim Superintendent and attempt in good faith to agree on the development and adoption of a mutually agreeable evaluation format. The Board shall evaluate the Interim Superintendent prior to the expiration this Agreement. The Board shall discuss the Interim Superintendents performance with her in executive session unless the Interim Superintendent requires that such discussion be held in open session. If there is a written evaluation, it shall be delivered to the Interim Superintendent within ten (10) days of its completion, and the Interim Superintendent shall have the right to submit a written response to the evaluation which shall become a permanent attachment to the Interim Superintendents personnel file.

TERMINATION. A. B. The parties may, by mutual consent, terminate the contract at any time. The Interim Superintendent shall be entitled to terminate the contract upon written notice of ninety (90) days. The Board may terminate the contract of employment during its term for one or more of the following reasons: (1) (2) (3) (4) (5) D. Inefficiency or incompetence; Insubordination against reasonable rules of Board of Education; Moral misconduct; Disability as shown by competent medical evidence; Other due and sufficient cause.

If the Interim Superintendent is terminated on account of disability, as shown by competent medical evidence, the Board shall pay the Interim Superintendent l/260 of 4

TERMINATION. (Contd) her current annual salary for each accumulated vacation day earned by the Interim Superintendent by the date the termination takes effect. Health and life insurance premiums will be continued at the Board's expense through the end of the contract year in which the termination takes effect. If the Interim Superintendent is terminated for any other reason, no insurance benefits will be paid. In the event of termination due to disability, as shown by competent medical evidence, sixty (60) days notice will be given before termination proceedings begin. In the event the Board seeks to terminate the contract for one of the above reasons, it shall serve on the Interim Superintendent written notice that termination of her contract is under consideration. Such notice shall be accompanied by a written statement of reasons. Within fifteen (15) days after receipt from the Board of written notice that contract termination is under consideration, the Interim Superintendent may file with the Board a written request for a hearing before the Board which shall be held within twenty (20) days after receipt of such request. The Board shall render its decision within fifteen (15) days of such hearing if one has been requested, and shall send a copy of its decision setting forth the reasons and evidence relied on to the Interim Superintendent. The Board's decision shall be based on the evidence presented at the hearing. The Interim Superintendent shall have the right to her own counsel, at her own expense. Any time limits established herein may be waived by mutual agreement of the parties.

GENERAL PROVISIONS. A. If any part of this Agreement is invalid, it shall not affect the remainder of said Agreement, but said remainder shall be binding and effective against all parties. This contract contains the entire agreement between the parties. It may not be amended orally but may be amended only by an agreement in writing signed by both parties. Commencing upon signing, this Agreement supersedes any and all other prior agreements between the parties.

B.
