EAST WINDSOR PUBLIC SCHOOLS 70 SOUTH MAIN STREET EAST WINDSOR, CONNECTICUT Superintendents Employment Contract from July

1, 2011 to June 30, 2014 1. It is agreed by and between THERESA M. KANE, Ed.D (hereinafter called the Superintendent) and the BOARD OF EDUCATION of the Town of East Windsor, County of Hartford, State of Connecticut (hereinafter called the Board), that the said Board, in accordance with its action as found in the minutes of the meeting held on February 3, 2011, has and does hereby employ the said Sunerintendent of Schools for a three (3) year period commencing July 1, 2011. Both parties agree that said employee shall perform the duties of the Superintendent of Schools in and for the public schools in East Windsor as prescribed by the laws of the State of Connecticut and by rules, regulations and policies made thereunder by the Board. By mutual consent of both parties this contract will be in effect from July 1, 2011, to June 30, 2014. For the 2011-2012 fiscal year, the Board agrees to pay said Superintendent for professional services rendered pursuant to this contract in the total amount of: a. b. c. d. e. $130,000 base salary for the year commencing July 1, 2011 through June 30, 2012. $3,000 in-town travel allowance; Payment for the purchase of retirement benefits in the amount of $20,000 per year to be taken as salary. Reimbursement for out-of-town expenses incurred in the performance of duty. This contract will be reopened annually to negotiate salary after Dr. Kane has been evaluated by the Board of Education, but prior to the expiration of each year during the term of this agreement.

The Board shall evaluate the Superintendent in executive session within 90 days, but not less than 60 days, prior to the expiration of each year during the term of this agreement. Said evaluation and assessment shall be reasonably related to the goals and objectives of the District for the year in question. The evaluation format shall be reasonably objective and shall contain at least the following criteria: boardsuperintendent relations; community relations; personnel relations; educational program; business matters; professional leadership; and personal qualities. The evaluation format shall provide for a rating system both as to overall performance and as to the specific criteria set for in the evaluation format. In the event that the Board determines under evaluation format that the performance of the Superintendent is deficient in any respect, it shall describe, in writing and in reasonable detail, specific instances, where appropriate. This contract will be reopened annually after the Superintendents evaluation is completed for the purpose of extending the contract. The Superintendent shall devote her entire time, skill and attention to the East Windsor School System, except that she shall be entitled to days of vacation per year, exclusive of legal holidays. Five (5) of these vacation days may be carried over for use no later than the last working day in July of the next work year.

This contract may be terminated by the Superintendent at any time for good cause by submitting at least ninety (90) days notice. In the event the Board wishes to terminate this contract prior to its expiration date, the Superintendent will be provided, in writing, reasons for the intended termination and an opportunity for a public hearing before the Board of Education before such action is taken. At the hearing, the Board shall be required to establish just cause for the termination, or the Superintendent will not be terminated. If the Board of Education terminates the contract before the end of said contract, without just cause, the Superintendent will receive full payment of all salary and fringe benefits contained in this contract. Nothing herein contained shall deprive the board of the power to suspend the superintendent from duty immediately when serious misconduct is alleged without prejudice to the rights of the Superintendent as otherwise provided in this contract. If the Superintendent is terminated on account of disability as shown by competent medical evidence, the Board shall pay the accumulated sick leave, vacation and insurance benefits provided for the length of this contract. 9. FRINGE BENEFITS The Board agrees to provide the following benefits without cost to the Superintendent: Blue Cross/Blue Shield, Major Medical and other insurance programs currently offered to the certified staff, at her election. The Board shall provide dental insurance for the Superintendent and the Superintendents spouse and children during the term of this agreement in accordance with the basic dental insurance coverage provided to certified personnel. In the event of a change in health insurance, the Board will assume the financial responsibility for any money lost by the Superintendent due to such change. Such financial responsibility will not exceed the limits of the prior coverage. The Superintendent may elect to waive Blue Cross/Blue Shield (or equivalent) coverage and Major Medical and in lieu thereof receive a yearly sum of eighteen thousand dollars ($18,000). The Superintendent shall notify the Board in writing by July 1 of any year of this agreement that she is canceling her participation and coverage and the participation and coverage of her dependent(s) in the insurance plans. Thirty-six (36) sick days for 2011-2012; for every year thereafter, eighteen (18) days of sick leave annually cumulative to two hundred fifteen (215). The Board shall provide and pay for 100% of the cost of a term life insurance of three hundred fifty thousand dollars ($350,000), subject to the approval and acceptance of the insurance company that provides the insurance. The Board shall provide and pay for the full cost of a travel accident insurance program in the amount of (one hundred thousand) $100,000. Coverage shall be limited to hours and/or times when the Superintendent is performing duties related to her employment.

Kane July 1,2011-June 30, 2014 Page 3 The Superintendent shall be eligible to participate in a tax shelter annuity plan (403B) and a 457 plan through payroll deduction and shall have the right to designate two companies that will provide such plans. If the Superintendent fails to notify the Board, the Board will be under no obligation to make any deductions for this program. If the Superintendent retires during the term of the Agreement she may participate at her own expense in a package of insurance to the extent permitted by law. 10. PERSONAL BUSINESS In the event the Superintendent has personal business which cannot be transacted other than during the school day, an annual maximum of two (3) days of leave will be granted at full pay. Such days may be taken on a half-day basis. Such leave is not cumulative from year to year. 11. EMERGENCY LEAVE In cases of emergency which must be attended to during the school day, an annual maximum of two (2) days of leave will be granted at full pay. Such leave is not cumulative from year to year. 12. BEREAVEMENT LEAVE In the case of death in the immediate family, the Superintendent will be allowed a maximum of three (3) days of absence for each occurrence at full pay. Immediate family is defined as follows: a. b. c. d. e. SICK LEAVE When the Superintendent has accumulated 215 sick days as of June and receives her additional 18 days at the beginning of the next school year, the Superintendent shall be eligible to receive fifty dollars ($50.00) per unused sick day that exceeds the 215 sick day accumulation, provided the Superintendent does not use more than two (2) sick days in any school year after accumulating 215 days.

RETIREMENT/SEVERANCE Upon the Superintendent leaving the school system for any reason other than dismissal by the Board, the Board will pay fifty dollars ($50.00) per year for each year in the system provided the Superintendent has served a minimum of ten (10) years in the system without interruption. In the event of retirement, the Superintendent who has served a minimum of fifteen (15) years in the system without interruption will receive one hundred twenty-five ($125) dollars per year for each year of service. Military, maternity, and sabbatical leave will not be considered an interruption in service. Payment will be made upon verification of eligibility of state retirement benefits in the case of the Superintendents retirement from the Connecticut State Teachers Retirement System. Payments shall be made at the time of severance.
