and the above-captioned debtors and debtors in possession (the

"Debtors") hereby stipulate as follows:

Prior to July 9, 2008, Elsa L provided the Debtors with goods in the aggregate net
(the "Ungecured_Clginq").

Within the twenty days prior to July 29,2008, Elsa L provided the Debtors with

goods in the aggregate amount of $26,308.68 (the "Prepetition Administrative Claim").

On or about January 9, 2009, Elsa L timely filed a proof of claim (Claim No.

3537) seeking, among other things, payment on account of the Unsecured Claim (the "Filed
Unsecured Claim").

On or about January 9, 2009 and March 31,2009, Elsa L timely filed proofs of

claim (Claim Nos. 5101 and 7030, respectively) seeking, among other things, payment on
account of the Prepetition Administrative Claim (the "Filed Administrative Claim").

E.

The Debtors and Elsa L HEREBY STIPULATE AND AGREE as follows:

The Recitals are true and correct and are incorporated herein by reference.

This Stipulation is subject to Bankruptcy Court approval and shall be of no force

and effect unless and

until approved by the Bankruptcy Court.

On account of the Filed Unsecured Claim, Elsa

L shall be allowed

a general

unsecured claim against Mervyn's LLC of $12,980.52 (the "Allowed Unsecured Claim").

On account of the Filed Administrative Claim, Elsa

shall be allowed an

administrative expense claim against Mervyn's LLC pursuant to 11 U.S.C. $ 503(bX9) in the
amount of $26,308.68 (the "Allowed Prepetition Administrative Claim" and together with the

Allowed Unsecured Claim, the "Allowed Claims").

Payment of the Allowed Claims shall be made in accordance with the terms of the

chapter 11 plan ultimately confirmed in these chapter 11 cases.

This Stipulation shall be binding upon (D any liquidating trustee;

administrator; distribution agent and/or any other responsible person appointed pursuant to any chapter 11 plan confirmed in these cases; (ii) any chapter
