STIPULATION FOR ALLOWAI\CE AI\D PAYMENT OF ADIVtrMSTRATIYE EXPENSE CLAIM OF CARRIE AMBER INTIMATES ENTERPRISES.INC.
Carrie Amber Intimates Enterprises, Inc. ("Carrig- Amber") and the above-captioned
debtors and debtors in possession (the "Deb!qlg") hereby stipulate as follows:

RECITALS

On or after July 29,2008, Carrie Amber provided the Debtors with goods in the

aggregate amount of $172,702.68.

Carrie Amber timely filed proofs of claim (Claim Nos. 4850, 4852 and 4860)

seeking, among other things, payment of such amount. The Debtors and Carrie AmbeTHEREBY STIPULATE AND AGREE as follows:

AGREEMENT
The Recitals are true and correct and are incorporated herein by reference.

This Stipulation is subject to Bankruptcy Court approval and shall be of no force

and effect unless and

until approved by the Bankruptcy Court.

Carie Amber shall be allowed an administrative expense claim against Mervyn's

LLC pursuant to 11 U.S.C. $$ 503(bX1) and 507(a)(2) in the amount of $172,702.68 (the
"Allowed Administrative Expense Claim").
