September 1, 2006 Collins & Aikman Corporation c/o: Mr. Tadd Crane Kroll Zolfo Cooper, LLC 900 Third Ave. 6th Floor New York, NY 10022 Re: Dear Tadd: This letter shall serve as the agreement of Gordon Brothers Industrial, LLC (Gordon) pursuant to which Gordon shall act as the exclusive sales consultant to Collins & Aikman Corporation (the Company) in connection with the sale (Sale) of all of the Companys assets available for sale located at the Companys Manchester, MI, Westland, MI, and Nashville, TN locations (as referred to herein, such sales are the Manchester Sale, the Westland Sale, and the Nashville Sale, respectively, and collectively the Sale; such assets, the Manchester Assets, the Westland Assets, and the Nashville Assets, respectively, and collectively the Assets; located at the Manchester Location, the Westland Location, and the Nashville Location, respectively, and collectively the Locations), which Assets shall include without limitation those assets specifically identified on Exhibit A. The Sale will be conducted subject to the following terms and conditions: 1. Sale Term. The Sale Term shall commence on the business day following the entry by the Court of the Order (each capitalized term as defined in Section 7 hereof) (the Sale Commencement Date) and shall terminate on the seventy-fifth (75th) day following the Sale Commencement Date (the Sale Termination Date); provided, however, that Gordon may elect to sooner terminate the Manchester Sale, and/or the Westland Sale, and/or the Nashville Sale in its sole discretion, in either case upon fifteen (15) days prior written notice to the Company. 2. Scope of Services. (A) Gordon shall conduct the sale of the Assets on an orderly liquidation and/or auction basis. Gordon shall in good faith set all operational policies and procedures for the sale/auction of the Assets, and Gordon shall have the right in good faith to determine the prices, terms and conditions to be accepted for the Assets. The Company consents that the Sale may be conducted as a sale of assets formerly owned by Collins & Aikman Corporation (or words of similar import) utilizing any logos of the Company.

(B) All purchasers of Assets shall be required to pay applicable sales and similar taxes on the Assets. As the parties acknowledge that Gordon shall be acting as the Companys agent and shall not take title to any of the Assets, all purchases of Assets hereunder shall be invoiced on Company letterhead, which shall also be used for all other administrative purposes of effecting sales hereunder, and the Company shall cooperate with Gordon in such letterhead use as may be reasonably requested by Gordon from time to time during the Sale. All purchasers of Assets shall be required to pay for the Assets by wire transfer of immediately available funds, or by certified or bank check. No Assets shall be delivered to, or picked up by, any purchaser until such payment has been received, and all purchased Assets must be picked up no later than sixty (60) business days after the completion of the applicable auction or orderly sale (as the case may be), or by the Sale Termination Date, whichever first occurs (as applicable, the Pick-Up Date). The Assets shall be sold to purchasers on an AS IS, WHERE IS basis. Gordon shall identify the Assets sold and shall have the right to abandon any unsold Assets on an AS IS, WHERE IS basis so that the Company can dispose of any unsold Assets at their respective Locations without liability or expense to Gordon (whether asserted by the Company or by a third party against the Company). 3. Fees and Expenses.

(A) In consideration of Gordons services hereunder, Gordon shall be entitled to retain as its fee (Fee) eleven percent (11%) of the gross proceeds from the Sale (including without limitation any buyers premium received, and net only of sales taxes). Gordon, at its sole discretion, shall apply a buyers premium (to the extent it deems possible given the nature of the sale, purchaser expectations, and the common interest of Gordon and the Company to maximize gross proceeds hereunder) equal to twelve percent (12%) of the purchase price from the sale of any Asset hereunder (net of sales taxes). Although Gordon shall endeavor to maximize the results of the Sale, Gordon is not guaranteeing the results of the Sale. (B) Gordon shall be responsible for its advertising, supervisors, auctioneers, staff, and legal fees (the Gordon Expenses). In addition to the Fee, the Company shall reimburse Gordon for its reasonable and documented Gordon Expenses; provided, however, that such reimbursement obligation shall not exceed one hundred twenty five thousand dollars ($125,000) per Location and three hundred seventy five thousand dollars ($375,000) in the aggregate for the three Locations hereunder. The Company (not Gordon) shall be responsible for all other expenses of the Sale. Without limiting the generality of the foregoing, the Company shall provide Gordon, at no cost or expense to Gordon whatsoever, with reasonable peaceful use and reasonable occupancy of, and reasonable access (including reasonable before and after hours access and normal utilities/phone service) to, the Locations from the Sale Commencement Date until the Sale Termination Date for the sole purposes of preparing for, conducting (including inspection), and completing the Sale as contemplated hereby. Such reasonable peaceful use, reasonable occupancy, and reasonable access shall include for each Location, without limitation: (i) appropriate security measures; (ii) the provision of a Location Facility Manager, who shall be a Company representative reasonably knowledgeable about such Location and available to provide on-site coordination of issues relating to building access, building systems and maintenance, and the location of Assets within such facility; and (iii) the provision of a Location Maintenance Engineer, who shall be a Company representative reasonably knowledgeable about the electrical, water, and other utilities at such Location (the Location Utilities), skilled in the operation, connection, and disconnection of such utilities from and to the facilities and the Assets at such Location, and who shall be available during the Sale Term and shall effect such operations, connections, and disconnections at the direction of Gordon from time to time to the extent reasonably necessary to permit the

purchasers of the Assets to prepare such Assets for removal, rigging, and shipment as is customary in such context. (D) This Agreement contains the entire understanding between the parties with respect to the Locations and supersedes, replaces and takes precedence over any prior understanding or oral or written agreement between the parties respecting the subject matter of this Agreement; and there are no representations, agreements, arrangements, or understandings, oral or written, between the parties hereto relating to the subject matter of this Agreement other than those which are fully expressed herein. This Agreement is predicated upon the assumption that the Assets are in substantially the same condition as they were in when inspected by Gordon on or about June 29 and June 30, 2006 (with respect to the Manchester and Westland Locations) and on or about August 11, 2006 (with respect to the Nashville Location), and that all of the assets identified on Exhibit A are in fact available for sale and pickup during the entire Sale Term. 4. Taxes; Accounting. All proceeds from the Sale of the Assets shall be deposited into a bank account in the name of the Company that is to be controlled by the Company. The Company shall be responsible for reporting and remitting to the appropriate taxing authorities all sales and similar taxes with respect to the sale of the Assets; provided, however, that Gordon shall collect such sales and similar taxes from buyers of Assets in the Sale and remit the same to the Company promptly after such sales occur from time to time during the Sale Term. Within five (5) business days following the end of each calendar month during the Sale Term (the Monthly Reconciliation Date), Gordon and the Company shall provisionally reconcile and settle all amounts due as of such date. In the event any amount is due to Gordon pursuant to this Agreement as of the Monthly Reconciliation Date, the Company shall pay such amount to Gordon in accordance with the Administrative Order Establishing Procedures for Monthly Compensation and Reimbursement of Expenses for Professionals and Official Committee Members, entered by the Court (as defined below) on June 9, 2005 [Docket No. 290] (the Interim Compensation Order). Within ten (10) business days following the Sale Termination Date (the Final Reconciliation Date), Gordon and the Company shall finally reconcile and settle all amounts due under this Agreement. In the event any amount is due to Gordon pursuant to this Agreement as of the Final Reconciliation Date, the Company shall pay such amount to Gordon in accordance with the Interim Compensation Order. All amounts due and/or paid to Gordon under this Agreement shall be free and clear of all liens, claims and encumbrances. 5. Representations, Warranties and Covenants. The Company further represents, warrants and covenants to Gordon as follows: (A) Except as the Order (as defined in Sec. 7) may otherwise provide, the Company has, and throughout the Sale Term will have, all consents and approvals, required by contract or otherwise, necessary to consummate and perform the transactions contemplated hereby (including without limitation any court with jurisdiction over the Debtor (as defined in Section 7 hereof), all landlords, sublandlords, tenants or other third persons having any interest in the Locations); except that the foregoing shall not apply to any auctioneering licenses applicable to the public auction for which Gordon hereby represents and warrants to the Company that it will obtain. (B) Subject to the Order and the order approving the sale of certain assets by Gordon, the Company has the full and absolute right (i) to engage Gordon hereunder with respect to the Sale, (ii) to make the representations, warranties and covenants of the Company made herein, and (iii) to sell the Assets, and convey good and marketable title to the Assets, to buyers of the Assets in sales arranged (whether at auction or through orderly liquidation sales) by Gordon, in all cases

free and clear of all liens, claims, security interests, or other charges or encumbrances of any nature. (C) To the Companys knowledge, during the Sale Term, Gordon shall be able to consummate and conduct (without delay, interruption or interference from any person, entity or action from whatever source) the Sale until the Sale Termination Date as is contemplated by this Agreement (D) All assets contained within the Locations (i) are to be included in the Sale as Assets, and (ii) are subject to the representations and warranties set forth herein (e.g., there will be no other items of a similar nature at the Locations that are not to be included in the Sale because they are owned by third parties, encumbered, or otherwise). (E) Prior to the pick-up of Assets by the purchasers thereof hereunder, the Company will permanently remove from all of the information technology any and all data relating to the Companys former customers and employees (including without limitation names, addresses (street and email), etc.), and any other data, programs, intellectual property and the like, the transference of which in connection with the Sale contemplated by this Agreement, would constitute a violation of applicable law or contract. Gordon represents, warrants and covenants to the Company that: (i) Gordon has the authority to execute this Agreement; (ii) Gordon possesses the requisite expertise to perform this Agreement and the transactions contemplated hereby; and (iii) subject only to the Order, Gordon possesses or will possess prior to the Sale Commencement Date all the necessary permits and licenses to conduct the Sale as contemplated hereby. 6. Indemnification; No Liability; Insurance. (A) Gordon shall defend, indemnify, and hold harmless the Company, its affiliates, and their respective directors, officers, employees and representatives from and against any and all losses, costs, expenses (including, but not limited to, reasonable attorneys fees and disbursements), claims, liabilities and proceedings in connection with or related to or arising out of Gordons gross negligence or unlawful conduct in connection with the Sale, or any breach by Gordon of its obligations or representations/warranties hereunder; provided in each case that such indemnification shall be limited to the extent of the Gordons compensation pursuant to Sec. 3(A) hereof. This provision shall survive the termination of this Agreement and for one (1) year following the conclusion of the Sale. (B) Notwithstanding the foregoing or any other provision of this Agreement, Gordon shall have no liability to the Company, and no indemnification obligations hereunder, to the extent relating to or arising out of (i) hazardous materials claims; (ii) product liabilities claims by purchasers, subsequent purchasers or users of any Assets sold in the Sale; or (iii) prior liabilities and proceedings relating to the Assets or Locations. (C) The Company shall defend, indemnify, and hold harmless Gordon, its affiliates, and their respective directors, officers, employees and representatives from and against any and all losses, costs, expenses (including, but not limited to, reasonable attorneys fees and disbursements), claims, liabilities and proceedings in connection with or related to or arising out of (i) the Companys gross negligence or unlawful conduct in connection with the Sale, (ii) any breach by the Company of its material obligations or material representations/warranties hereunder, (iii) any hazardous materials claims relating to the Assets, the Locations and/or the Sale; (iv) any product liabilities claims by purchasers, subsequent purchasers or users of any Assets sold in the Sale; or (v) prior liabilities and proceedings relating to the Assets or Locations; provided in each case other than clause (iii) above and/or clause (iv) above that such indemnification shall be limited to the extent of the gross proceeds received by the Company from the sale of any Assets hereunder,

net only of any Fee paid and any applicable sales taxes paid.. This provision shall survive the termination of this Agreement and for one (1) year following the conclusion of the Sale. (D) From the date hereof through the Sale Termination Date, the Company shall insure the Assets and the Locations under its policies of insurance (on terms and conditions consistent with the Companys insurance of the Assets and the Locations in the ordinary course prior to the cessation by the Company of its business operations), and Gordon shall be named an additional insured under all such policies, with the right to notice of cancellation or material modification on not less than 30 days prior written notice.

Bankruptcy Matters.

The Company as Debtor in Possession under title 11 of the Bankruptcy Code, 11 U.S.C. 1011330 (the Debtor) will, as soon as practicable after executing this Agreement, file any documents necessary to obtain an Order from the United States Bankruptcy Court for the Eastern District of Michigan (the Court) approving, in form reasonably satisfactory to counsel for Gordon and the Debtor, this Agreement (the Order). Failure of the Company to obtain such Order in a reasonably timely manner shall be grounds for Gordon to terminate this Agreement before the Order is entered with no further obligation of either party to the other. The Company further represents and warrants to Gordon that, subject to such Court approval, it has the authority to execute and deliver this Agreement.
