STIPULATION BY AND AMONG THE COLLINS & AIKMAN POST-CONSUMMATION TRUST, THE COLLINS & AIKMAN LITIGATON TRUST AND TEXTRON FINANCIAL CORPORATION AND CERTAIN OF ITS AFFILIATES This Stipulation (this Stipulation) is made as of December 16, 2008, by and among the Collins & Aikman Post-Consummation Trust (the Post-Consummation Trust), the Collins & Aikman Litigation Trust (the Litigation Trust), Textron Financial Corporation (TFC), and TFC affiliates Textron Inc., IAC Tax V LLC, Kautex Inc., Kautex of Georgia Inc., Ring Screw Textron Inc., Textron Fastening Systems Canada Limited, Wolverine Metal Specialties Inc., Elco Textron Inc., Textron Fastening Systems Inc., and Advel Cherry Textron

Inc. (TFC and such affiliates, collectively, Textron, and, collectively with the Post-Consummation Trust and the Litigation Trust, the Parties). RECITALS Chapter 11 Cases WHEREAS, on May 17, 2005 (the Petition Date), the above-captioned debtors (collectively, the Debtors) filed their voluntary petitions for relief under chapter 11 of the Bankruptcy Code, 11 U.S.C. 101-1330 (the Bankruptcy Code), in the United States Bankruptcy Court for the Eastern District of Michigan (the Bankruptcy Court). WHEREAS, on July 18, 2007, the Bankruptcy Court entered an order [Docket No. 7827] (the Confirmation Order) confirming the First Amended Joint Plan of Collins & Aikman Corporation and Its Debtor Subsidiaries [Docket No. 7731] (the Plan). The effective date of the Plan was October 12, 2007 (the Effective Date). WHEREAS, pursuant to the Plan, on the Effective Date, the Post-Consummation Trust was created pursuant to the Plan, and all of the Debtors assets that were not divested prior to the Effective Date or transferred to the Litigation Trust or the applicable residual trust were transferred to the Post-Consummation Trust. WHEREAS, pursuant to the Plan, the Post-Consummation Trust has the authority to file, settle, compromise, withdraw, or litigate to judgment objections to claims. Equipment Dispute WHEREAS, pursuant to paragraph 103 of the Confirmation Order:2 To the extent the Debtors sell or otherwise dispose of the equipment (the Textron Sales) that is the subject of the agreements (the Textron Equipment) to which Textron Financial

Corporation and/or its affiliates (collectively, Textron) and the Debtors or any of their respective affiliates are parties (the Textron Agreements), which equipment Textron has an interest in, the proceeds of such Textron Sales in an amount less than or equal to the principal amount of the Allowed Claims of Textron will be paid to Textron (collectively, the Textron Sales Proceeds); provided that (a) to the extent the total amount of the Textron Sales Proceeds exceeds the principal amount of the Allowed Claims of Textron, such excess shall be distributed in accordance with further order of the Court with all parties reserving their rights and defenses with respect to such excess and the treatment of Textrons remaining claim and (b) to the extent the total amount of the Textron Sales Proceeds is less than the principal amount of the Allowed Claims of Textron, Textron shall have an Allowed General Unsecured Claim in Class 5 of the Plan for such deficiency. To the extent the Textron Equipment is not sold or otherwise disposed of as set forth in the immediately preceding sentence, the Debtors will release their rights, claims and interest in such Textron Equipment to Textron. WHEREAS, on or about December 18, 2001, debtors Collins & Aikman Automotive Exteriors, Inc. and Collins and Aikman Automotive Interiors, Inc. (the Subject Debtors) collectively, as Lessee, and TFC (as assignee from IAC Tax V LLC), as Lessor, signed and delivered to one another an instrument named Equipment Lease (the Subject Instrument), pursuant to which, among other things, the Subject Debtors acquired possession of and control over the equipment specified on Exhibit A to the Subject Instrument (collectively, the Equipment), on the terms and conditions set forth in the Subject Instrument. WHEREAS, on or about November 21, 2005, TFC filed its Motion and Memorandum of Law of Textron Financial Corporation for an Order Requiring Debtors to Cure All Post-Petition Defaults and Timely Perform All Post-Petition Obligations Under Unexpired Personal Property Lease Pursuant to 11 U.S.C. 365(d)(10) [Docket No. 1794] (the Textron Motion). WHEREAS, TFC asserts that subsequent to the Petition Date, the Debtors lost or sold certain of the Equipment, as described below, without TFCs permission, thereby giving rise to

an administrative claim against the Debtors and their estates on account of TFCs interest in such lost or sold Equipment (the Subject Equipment Claim). Specifically, TFC asserts as follows: First, TFC asserts that the Debtors sold a Sonic Knife belonging to TFC without permission from TFC, resulting in sale proceeds of $187,000. TFC asserts that the Sonic Knife had a liquidation value of $175,000 and a fair market value of $285,000. Second, TFC asserts that the Debtors sold a Chiller belonging to TFC at auction after having been expressly instructed by a TFC representative that it was not to be sold. TFC asserts that the Chiller had a liquidation value of $7,500 and a fair market value of $15,000. Third, TFC asserts that the Debtors lost or otherwise transferred a 200 ton May Spotting Press belonging to TFC, and that the May Spotting Press had a liquidation value of $60,000 and a fair market value of $110,000. Fourth, TFC asserts that the Debtors lost or otherwise transferred an Overhead Carry, Looping Assembly Line (used for assembly of dashboard wiring and components), and that the Overhead Carry, Looping Assembly Line had a liquidation value of $75,000 and a fair market value of $200,000.
The Sonic Knife, the Chiller, the May Spotting Press, and the Overhead Carry, Looping Assembly Line are collectively referred to herein as the Subject Equipment. WHEREAS, the Parties have agreed to resolve the disputes regarding the Subject Equipment as follows: the Post-Consummation Trust has agreed to pay to TFC a total of $329,500 as an administrative claim comprised of (i) $187,000 on account of the Sonic Knife; (ii) $7,500 on account of the Chiller; (iii) $60,000 on account of the May Spotting Press; and (iv) $75,000 on account of the Overhead Carry, Looping Assembly Line. Textron Claims Filed in the Chapter 11 Cases WHEREAS, Textron has filed various proofs of claims against the Debtors in the Debtors chapter 11 cases (the Bankruptcy Cases). The proofs of claim filed by Textron in the Debtors bankruptcy cases that have not been previously expunged, disallowed, or otherwise resolved as of the date of this Stipulation are set forth on Exhibit A attached hereto (collectively, the Textron Claims). 4

WHEREAS, the Post-Consummation Trust and the Litigation Trust have filed various objections to the Textron Claims (collectively, the Claim Objections). WHEREAS, Article VII.A.2 of the Plan provides in relevant part as follows: 2. Authority to Prosecute Objections After the Effective Date, except as provided in the following paragraph, only the Debtors or the Post-Consummation Trust will have the authority to File, settle, compromise, withdraw or litigate to judgment objections to Claims. After the Effective Date, the Post-Consummation Trust may settle or compromise any Disputed Claim without approval of the Bankruptcy Court; provided that (a) the Post-Consummation Trust will promptly File with the Bankruptcy Court a written notice of any settlement or compromise of a Claim with a Face Amount in excess of $1,000,000 and (b) the Agent and the United States trustee will be authorized to contest the proposed settlement or compromise by Filing a written objection with the Bankruptcy Court and serving such objection on the Post-Consummation Trust within 20 days of the service of the settlement notice. If such objection is filed and the Post-Consummation Trust and the objecting party are unable to consensually resolve such objection, the objection will be set for hearing before the Bankruptcy Court. If no such objection is Filed, the applicable settlement or compromise will be deemed final without further action of the Bankruptcy Court; provided that the Post-Consummation Trust will be authorized, but not required, to file a certification of no objection and submit an order to the Bankruptcy Court on account of such settlements and compromises. WHEREAS, TFC contends that its claims against the Subject Debtors under the Subject Instrument were and are secured by, among other things, approximately 110.87 acres of land located in Athens, McMinn County, Tennessee (collectively with all improvements and personal property located thereon, the Athens Property), and that the Athens Property includes certain of the Equipment. WHEREAS, the Parties have agreed to fully and finally resolve, inter alia, the Textron Motion, the Subject Equipment Claim, the Textron Claims, the Claim Objections, claims related to the Athens Property and claims related to the Equipment pursuant to the terms of this Stipulation.

WHEREAS, other than as expressly set forth in this Stipulation, the Textron parties, on the one hand, and the Post-Consummation Trust and the Litigation Trust, on the other hand, each desire to obtain a complete release from any and all obligations to the other Parties. AGREEMENT IT IS HEREBY STIPULATED AND AGREED as follows: 1. Incorporation. The foregoing recitals are hereby fully incorporated into and made
an express part of this Stipulation. 2. Textron Motion. The Textron Motion is hereby resolved in its entirety pursuant
to the terms of this Stipulation. 3. Subject Equipment Claim and Claims Related to the Athens Property. In full and
final satisfaction of the Subject Equipment Claim and any Textron claim arising from, or related to, the Athens Property, TFC is hereby granted an Allowed Administrative Claim (as defined in the Plan) in the amount of $354,500.00 (the Settlement Amount). The Post-Consummation Trust shall pay the Settlement Amount to TFC in immediately available good funds within ten (10) days after the entry of an order by the Bankruptcy Court approving this Stipulation (the Settlement Effective Date), by sending to Settlement Amount to Textron by wire to the following address: Bank Name: Citibank, NA Bank Address: 111 Wall Street, New York, NY ABA: 021-000-089 Account Name: Textron Financial Corp - Asset Control Account Number: 30573483 SWIFT Code: CITIUS33 4. Textron Claims. As of the Settlement Effective Date, the Textron Claims set

full and final satisfaction of the Textron Claims set forth on Exhibit C attached hereto, subject to the terms of paragraph 7 below, as of the Settlement Effective Date, Textron shall have an Allowed Class 5 General Unsecured Claim (as defined in the Plan) in the respective amounts listed in the column entitled Ultimate Resolution on Exhibit C attached hereto, which claim shall be entitled to the same treatment under the Plan as all other Allowed Class 5 General Unsecured Claims. 5. Claim Objections. The Claim Objections are hereby resolved pursuant to the
terms of this Stipulation. 6. (a) Mutual Releases. Except for the rights expressly arising out of, provided for, or reserved in this
Stipulation, as of the Settlement Effective Date, Textron, collectively for itself and its officers, directors, representatives, agents, subsidiaries, parents, affiliates and their successors and assigns (collectively, the Textron Parties), hereby releases and forever discharges the Debtors, the Post-Consumation Trust, the Litigation Trust, and all of their current and former directors, officers, agents, attorneys, assigns, predecessors, professionals, and successors (collectively, the C&A Parties) from any and all manner of action or actions, cause or causes of action, in law or equity, suits, debts, liens, contracts, agreements, promises, liabilities, claims (including, but not limited to, claims for attorneys fees, costs and sanctions), damages, demands, losses, costs and expenses of any nature, currently existing or arising in the future, whether known or unknown, suspected or unsuspected, fixed or contingent, concealed or hidden, latent or patent, which any and all of the Textron Parties have or may have against any and all of the C&A Parties. Notwithstanding the foregoing, nothing in this Stipulation is intended or shall be construed to affect any rights, benefits, claims, defenses or actions that the Textron Parties may have against

Collins & Aikman Automotive Canada, Inc., or any successor or reorganized entity thereto, with respect to or in connection with (i) that certain Equipment Lease dated December 18, 2001 among Textron Canada Limited (now Collins and Aikman Automotive Canada, Inc.) as Lessee and Textron Financial Canada Limited as Lessor (the "Canada Lease"), regarding 41 pieces of equipment, including various injection molding machines, industrial air compressors, dry cast machines, vacuum presses and several large cranes and more particularly described as Exhibit "A" to the Canada Lease, and located at two of Collins & Aikman Automotive Canada Inc.'s operating facilities: Port Hope and Guelph (collectively, the "Canada Equipment"), and (ii) the Minutes of Settlement dated June 26, 2008 among Textron Financial Canada Limited, Collins & Aikman Automotive Canada Inc. and Chrysler LLC, pursuant to which, among other things, Textron Financial Canada Limited sold certain of the Canada Equipment to Chrysler LLC (collectively with the Canada Lease, the Canada Matters), and all such rights, benefits, claims, defenses and actions are hereby reserved. Further, notwithstanding the foregoing, nothing in this Stipulation is intended or shall be construed to affect any rights, benefits, claims, defenses or actions that the Textron Parties may have to (i) any refund of Tax (as hereinafter defined) including any interest in respect thereof, payable to Collins & Aikman Automotive Canada, Inc. or any successor or reorganized entity thereof, and/or (ii) any amounts credited against Tax that Collins & Aikman Automotive Canada, Inc., or any successor or reorganized entity thereof, becomes entitled to (including by way of any Notice of Reassessment, Assessment or NonResident Notice of Assessment or Reassessment issued by the Canadian federal and provincial taxation authorities or any settlement reached by the Canadian and U.S. Competent Authorities), that relate to any taxable period, or portion thereof, ending on or before December 19, 2001 of Textron Canada Limited (now Collins and Aikman Automotive Canada, Inc.). construed to affect any rights, claims, defenses or actions that (i) Collins & Aikman Automotive Canada, Inc., or any successor or reorganized entity thereto, may have with respect to or in connection with the Canada Matters or Tax, and (ii) any and all of the C&A Parties may have with respect to the Tax, and all such rights, claims, defenses and actions are hereby reserved. 7. Title to Equipment. The Post-Consummation Trust hereby acknowledges and
agrees that TFC holds all right, title and interest in and to the Equipment, free and clear of any claim, interest or right of the Debtors or the Post-Consummation Trust including, without limitation, the right of the Debtors and the Post-Consummation Trust pursuant to the Plan to have the amount of the proceeds of sale of the Equipment by TFC applied to reduce the amount of the unsecured claim set forth in Paragraph 4 above. Nothing in this paragraph shall be construed as an admission or acknowledgment by the Post-Consummation Trust or any other

C&A Party that TFC or any Textron entity holds any right, title or interest in and to the Canada Equipment. 8. Bankruptcy Court Approval. Within five (5) business days after full execution of
this Stipulation, the Post-Consummation Trust will promptly file this Stipulation with the Bankruptcy Court and serve this Stipulation on the Agent (as defined in the Plan) and the United States Trustee. If the Agent (as defined in the Plan) or the United States trustee file a written objection with the Bankruptcy Court and serve such objection on the Post-Consummation Trust within 20 days of service, and the Post-Consummation Trust, Textron and the objecting party are unable to consensually resolve such objection, the Post-Consummation Trust will, as soon as practicable, seek approval of the Stipulation by hearing before the Bankruptcy Court. If no such objection is filed, the Post-Consummation Trust shall promptly file a certification of no objection and submit an order to the Bankruptcy Court for approval of the Stipulation. 9. Retention of Jurisdiction. The Bankruptcy Court shall retain jurisdiction (and the
Post-Consummation Trust, the Litigation Trust and Textron consent to such retention of jurisdiction) to resolve any disputes or controversies arising from or related to this Stipulation. Any request for relief brought before the Bankruptcy Court to resolve a dispute arising from or related to this Stipulation shall be brought on proper notice and in accordance with relevant Federal Rules of Bankruptcy Procedure and Local Rules for the Bankruptcy Court of the Eastern District of Michigan. 10. Counterparts. This Stipulation may be executed in multiple counterparts, any of
which may be transmitted by facsimile, and each of which shall be deemed an original, but all of which together shall constitute one instrument.

No Admission of Liability.
Nothing contained in this Stipulation shall be
considered an admission of liability on the part of any party. 12. Modifications. This Stipulation shall not be modified, altered, amended, or
vacated without written consent of all parties hereto. 13. Enforceability. The terms and conditions of this Stipulation shall be immediately
effective and enforceable upon the entry of an order approving the Stipulation. 14. Entire Agreement. This Stipulation constitutes the entire agreement between the
Parties with respect to the subject matter hereof, and no prior or contemporaneous agreement may be used to alter the terms of the Stipulation. 15. Authority for Stipulation. The signatories to this Stipulation represent that they
have been duly authorized by their clients to execute this Stipulation. 16. Binding Effect. This Stipulation shall be binding upon the Parties and each of
