CNPJ/MF No. 27.093.558/0001-15 NIRE 33.3.0028974-7 MINUTES OF HOLDERS OF DEBENTURES OF THE SECOND SERIES OF THE SECOND PUBLIC ISSUANCE OF SIMPLE, UNSECURED AND NON CONVERTIBLE DEBENTURES HELD ON DECEMBER 10th, 2012 1. DATE, TIME AND PLACE: Held on December 10th, 2012, at 10:00 a.m., at the headquarters of Mills Estruturas e Servios de Engenharia S.A. ("Issuer"), at Avenida das Amricas 500, bloco 14, loja 108, Sala 207 e 208, Barra da Tijuca, in the City of Rio de Janeiro, State of Rio de Janeiro. 2. CALL NOTICE: The public call notice was waived due to the attendance of holders of 100% (a hundred per cent) of the outstanding debentures of the second series of the second public issuance of simple, unsecured and non convertible debentures of Mills Estruturas e Servios de Engenharia S.A. ("Debentures", "Issuance", "Issuer" and "Debenture Holders", respectively). 3. ATTENDANCE: Attendance of the Debenture Holders, pursuant to the signatures in the Debenture Holders Attendance List, of the representative of Pentgono S.A. Distribuidora de Ttulos e Valores Mobilirios, as Trustee, and of the representative of the Issuer. CHAIRMAN AND SECRETARY: Chairman: Mr. Pedro Henrique Brito e Silva Secretary: Ms. Hannah Vieira Pires de Souza.

AGENDA: Decide on (i) the correction of the calculation adopted to determine the Payment Price of the Debentures of the second series, on its Payment Date, considered the adequate index price (NIk), as set forth in the formula established in Clause 6.15.I of the Indenture, as amended; and (ii) the operating procedures to be adopted by CETIP in order to accomplish the correction above mentioned. 5. TRANSCRIPTION OF THE MINUTES: It was authorized the transcription of these minutes of Debenture Holders Meeting, in the form of summary, and its publication, without the signatures of the Debentures Holders, in accordance with article 130, Paragraph 1st and 2nd of the Law 6.404/76, respectively. 6. OPENING: The agent of the Trustee has proposed to the attending persons the election of the Chairman and the Secretary of the meeting in order to, among other provisions, draft these minutes. After the due election, the meeting was opened for discussion, and the Secretary confirmed the quorum and call notice requisites, and also the powers of attorney of the representatives of the Debenture Holders, and the Chairman declared the meeting installed, and the Agenda was read.

RESOLUTIONS:

(i) It was approved the correction of the Payment Price of the Debentures applied on September 27, 2012, which has considered, in the period as of august 15, 2012 to September 15, 2012, the IPCA of July 2012, instead of the IPCA of August 2012, causing the payment by the Debenture Holders which have subscribed the Debentures, to exceed the proper amount by R$2,03 (two reais and tree centavos) per Debenture ("Additional Amount"); (ii) The repayment of the Additional Amount, plus the Remuneration of the Second Series up until the date when such repayment occurs effectively, shall occur in 10 (ten) business days as of this meeting. The payment shall be made through CETIP and shall follow the CETIPs procedures, being treated for all means as an event of extraordinary premium. The payment above shall be due to Debenture Holders which are holder of record of Debentures as of the end of the business day prior to the payment date of the event. 8. CLOSING: Word was offered for those who may have wanted it, without manifestation. Thus, with nothing more to be discussed, the session was closed the minutes of this meeting were read and deemed to be in conformity and approved.

The terms and expressions mentioned in capital letters in this document and not expressly defined herein shall have the same meaning attributed to them in the transaction documents.
