IFCsPPPTransactionsAdvisoryDepartment(theTeam)isfocusedonassistinggovernments(Clients)todevelopandbring tomarketpublicprivatepartnershipsprimarilyininfrastructuresectors.TheTeamhaspartneredwithotherstakeholdersin undertakingPPPprojectsintheregion.InBrazilforexample,theTeamhasapartnershipwithBNDESandIDB(calledPrivate SectorPartnershipProgramPSP). IFCintendstoretainLegalConsultantstoassistIFCanditsClientsinthestructuringdifferentformsofPPPsintheregionfor publictransportutilitiesincluding,butnotlimitedto,concessions,BOTs,andprivatemanagementcontractsofairports,public transitsandthelike. TheLegalConsultantswillprovidethefollowingservices(Services),amongothers:

Reviewthelegal,regulatoryandcontractualframeworkapplicabletoprojects Undertakeduediligenceofexistingcontracts,asapplicable. Identifyapprovals,licensesandauthorizationsthatshallberequiredfortheprojectaswellasidentifyingthekeylegalcontract andregulatoryissueswhichshallemergeinthecaseofexistingPPPs PrepareincoordinationwithIFCandtheClientthepreliminarytermsheetsforthebiddingrulesanddraftsofthecorresponding transactioncontracts. Draftofthetenderdocumentsandanyotherdocumentrequiredfortheprojectimplementation ParticipatewithIFCindiscussionsregardingthetransactiondocuments Carryoutlegalworkrequiredtoreviewanyadministrativeproceedingsand/orinjunctionsthatmaybeintroducedbythird parties ParticipatewithIFCandtheClientsinthetendertoselectthewinningbidder(s),includingreviewingthedocumentation submittedbybiddersifrequiredandassistingtheClientsandIFCinthestepsrequiredfortheexecutionofthetransaction contractfortheProjectwiththewinningbidder(s).

SUBMISSIONREQUIREMENTS TheWorldBanknowinviteseligibleconsultantstoindicatetheirinterestinprovidingtheservices.Interestedconsultantsmust provideinformationindicatingthattheyarequalifiedtoperformtheservices(brochures,descriptionofsimilarassignments, experienceinsimilarconditions,availabilityofappropriateskillsamongstaff,etc.forfirmsCVandcoverletterforindividuals). Pleasenotethatthetotalsizeofallattachmentsshouldbelessthan5MB.Consultantsmayassociatetoenhancetheir qualifications. Interestedconsultantsareherebyinvitedtosubmitexpressionsofinterest. ExpressionsofInterestshouldbesubmitted,inEnglish,electronicallythroughWorldBankGroupeConsultant2 (https://wbgeconsult2.worldbank.org/wbgec/index.html) NOTES FollowingthisinvitationforExpressionofInterest,ashortlistofqualifiedfirmswillbeformallyinvitedtosubmitproposalsfor specificPPPprojects,asapplicable.Shortlistingandselectionwillbesubjecttotheavailabilityoffundingandtheofficial mandatefromtheClients.

QualificationCriteria
1.ExperienceinthelasttenyearsassistinggovernmententitiesintheregioninstructuringPPPprojects,including butnotlimitedto,concessionsandfullprivatizationsorprivateinvestorsand/orotherpublicentitiesparticipating insuchprojectsintheregion* 2.Dulylicensedorqualifiedseniorstaffwithatleast5yearsoflocallegalexperienceadvisingonthestructuring ofPPPs,includingbutnotlimitedtoconcessions(andotherformsofPPPsthatIFCdoes)andjuniorstaffwith least3yearsoflegalexperienceonPPPprojectsintheregion.* 3.Experienceinassistinggovernmententitiesorprivatesectorinvestorsparticipatinginpublicbiddingprocesses inBrazil 4.ExperienceinassistingprivateentitiesinthefinancingofinfrastructureprojectsunderPPPsorconcession structures 5.Experienceinassistingprivateentitiesincorporatelaw,includingshareholdersagreementsmatters.

Selectionandcontractingwillnormallybemadefromresponsestothisrequestforexpressionofinterest.Theconsultantwillbe selectedfromashortlist,subjecttoavailabilityoffunding.
