TERMS AND CONDITIONS OF SALE

ACCEPTANCE: Acceptance of order by PW Industries, Inc. or its affiliates (PW) is based on the express condition that Customer agrees to all of the following terms and conditions of sale. These terms and conditions will govern unless Customer notifies PW of their unacceptability by certified mail postmarked within five (5) calendar days from the receipt of these terms and conditions. Either (1) Customers failure to object to these terms and conditions by certified mail as prescribed above or (2) acceptance of delivery by Customer will constitute Customers assent to these terms and conditions. Any modification of these terms and conditions will only be effective if confirmed in writing and signed by an authorized representative of PW. Sales representatives of PW do not have authority to amend or waive any of these terms and conditions. These terms and conditions will not be deemed to have been modified by PWs shipment of goods and materials following receipt of Customers purchase order, shipping request, or similar form containing printed terms and conditions additional to or different from these terms and conditions. TERMS OF PAYMENT: Terms of payment are net thirty (30) days; however, at any time in PWs reasonable discretion, PW may require prepayment in whole or in part, C.O.D., or any other payment terms as a condition of shipping any order. Any amount not timely paid by Customer shall bear interest at 1.5% per month, or, if lower, the maximum amount permissible under applicable law. SHIPMENT: All shipments are F.O.B. PWs plant (at which point title to and risk of loss of the shipped materials shall pass to Customer) and are prepaid and charged to Customer. Shipments shall be made in standard units. Goods and materials shall be shipped via a carrier selected by PW unless otherwise instructed in writing by Customer. All premium transportation charges will be billed to Customers account. All air freight shipments made at Customers request will be shipped freight collect. Any claims by Customer for loss of or damage to the goods and materials while in transit shall be made against the carrier. Claims for shortages, failures in shipment, or delivery or rebates must be made within ten (10) days from receipt of goods and materials. WITHOUT LIMITING ANY OF THE FOREGOING, PW SHALL NOT BE LIABLE FOR ANY LOSS OR DAMAGE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR OTHERWISE, TO PRODUCTS WHILE IN TRANSIT. ORDERS: All orders received by a salesperson, representative, or jobber are subject to PWs formal acceptance and approval. Orders accepted by PW may not be canceled, except with PWs written consent and subject to Customer reimbursing PW for all loss or damage arising from such cancellation. PRICES: Prices shall be subject to change without notice. Prices are not inclusive of any sales, use, excise, or other applicable taxes imposed by any federal, state, or other governmental agencies. All such taxes shall be paid by Customer and, whenever applicable, such taxes will be added to Customers invoice. PWS SPECIFICATIONS: All design characteristics, specifications, tolerances, and designs are subject to change without notice. Without limiting the generality of the foregoing, PW reserves the right to make minor changes to the design of its products after ordering by Customer as long as the redesigned products provide Customer in all material respects with the overall solution provided to it prior to the product redesign. Although PW believes that design characteristics, specifications, tolerances, designs, and other similar information provided by PW in its catalogs and otherwise are generically accurate in all material respects, Customers application may have unique or unusual circumstances, and therefore such information cannot be guaranteed for Customers particular application. CUSTOMER'S SPECIFICATIONS: In making orders which contain special instructions or requirements, Customer represents and warrants to PW that such special instructions and requirements do not infringe the intellectual property rights of any third party. Customer shall fully indemnify PW against any loss or damage including all legal costs arising from any third party claim for infringement of patent or other intellectual property rights made in connection with any goods and materials manufactured or procured by PW pursuant to Customers special instructions or requirements. RETURN OF GOODS POLICY: GOODS AND MATERIALS MAY NOT BE RETURNED WITHOUT PWS PRIOR WRITTEN CONSENT. Only specific items that are authorized will be accepted. Request for authorization must be made within 90 days of shipment by PW. Returns are limited to no more than 5% of the dollar value of the total order. All returned goods and materials must be standard catalog items. Nonstandard, obsolete, and/or special goods and materials are not returnable. A restocking charge of 35% of the invoice price will be charged on all returns. Returns must be freight prepaid. Upon receipt at PWs factory, the cost of any reconditioning required to place the returned material in first-class resalable condition will be borne by and charged to Customer. WARRANTY, LIMITATION OF LIABILITY: Goods and materials manufactured and supplied by PW are inspected before shipment. However, should any goods and materials under normal use prove to be defective due to faults in manufacture within one (1) year from date of shipment, such defective goods and materials, upon due notice to PW given within the one (1) year period, will be replaced, or at PWs own option repaired, and replaced to Customer F.O.B. destination. The obligation to replace or repair defective goods and materials shall be the limit of PWs liability by reason of the manufacture, sale, or use of its goods and materials and shall be in lieu of any warranty, obligation, or liability implied by law or otherwise. IN NO EVENT SHALL PW BE LIABLE FOR ANY LOSS OR DAMAGE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR OTHERWISE, RESULTING FROM THE USE OR INABILITY TO USE SUCH GOODS AND MATERIALS FOR ANY PURPOSES WHATSOEVER. Without limiting the foregoing, in no event will PW be liable for installation, adjustments, or any expenses or damages which may arise in connection with such goods and materials. The foregoing shall be Customers sole and exclusive remedy with respect to the goods and materials. PW shall not be liable for any loss or damage to property or persons resulting from the improper installation of goods and materials supplied by PW or any attempt to utilize such goods and materials under conditions which exceed their designed capabilities. The foregoing warranty is in lieu of all other warranties whatsoever, and PW MAKES NO OTHER REPRESENTATION, WARRANTY, OR GUARANTEE OF ANY KIND (EXPRESS, IMPLIED, OR STATUTORY) AND SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANTABILITY AND OF FITNESS OF USE FOR A PARTICULAR PURPOSE. The total liability of PW arising in connection with the goods and materials supplied by PW, whether based upon or arising out of negligence, strict liability, other tort, contract, warranty, misrepresentation, patent infringement, or otherwise, shall not exceed the actual amount paid by Customer to PW for such goods and materials, and PW shall not be obligated or liable under this warranty or otherwise for loss of use, loss of profits, business interruption, or other consequential, indirect, special, or punitive damages, however the same may be caused. Limitations of liability expressed herein shall apply even in the event of the fault, negligence, or strict liability of PW. This warranty is not assignable or transferable by Customer. CLAIMS: Claims for defective goods or materials, shortages, failures in shipment or delivery, or for any other cause will be deemed waived and released by Customer unless made in writing within one year of the date of shipping by PW. Under no circumstances will Customers install damaged or defective goods or materials if claims are to be made. FORCE MAJEURE: PW shall not be liable for any loss or damage resulting from nonfulfillment of contract, late delivery, etc. arising from acts of terrorism, earthquakes, fire, flood, strikes, or any other cause beyond PWs reasonable control.
