AppShere Community Terms of Service and AppDynamics Lite / 14-Day Evaluation License Agreement Effective: _________, 2013 1.

Introduction; Acceptance.

1.1 These AppSphere Community Terms of Service (these AppSphere Terms) and the AppDynamics Lite / 14Day Evaluation License Agreement (the Evaluation EULA) set forth below are supplemental to the Terms of Use of AppDynamics Inc. (herein referred to as the AppDynamics, we, us or our) located at http://www.appdynamics.com/terms-of-service (the Site Terms). All capitalized terms used but not defined in these AppSphere Terms will have the meanings set forth in the Site Terms. All use of the community site located at appsphere.appdynamics.com (the AppSphere Community) is subject to the Site Terms, as supplemented by these AppSphere Terms. In the event of any conflict between the Site Terms and these AppSphere Terms with respect to the AppSphere Community, these AppSphere Terms will control. The AppSphere Community is a peer-to-peer support channel that cultivates enterprise communities on the AppDynamics platform. Enterprise communities are communities created by business organizations for their customers, partners, or other enthusiasts. Although this community is designed for AppDynamics customers and users, we welcome everyone with an interest in enterprise communities, as long as you observe the rules of conduct set forth in these AppSphere Terms. 1.2 Please read these AppSphere Terms and the Evaluation EULA carefully. By accessing, browsing or otherwise using the AppSphere Community, you acknowledge that you have read, understood, and agree to be bound by these AppSphere Terms. If you do not accept the terms and conditions of these AppSphere Terms you shall not access, browse, post to or use the AppSphere Community. In addition, by downloading or otherwise using AppDynamics Lite or AppDynamics Pro on a trial basis (the Licensed Software), you acknowledge that you have read, understood, and agree to be bound by the Evaluation EULA. If you do not accept the terms and conditions of the Evaluation EULA, you shall not download or use the Licensed Software. 1.3 You understand and agree that we may change these AppSphere Terms or the Evaluation EULA at any time without prior notice. You may read a current, effective copy of these AppSphere Terms and the Evaluation EULA at any time by visiting http://www.appdynamics.com/terms-of-service. The revised terms and conditions will become effective at the time of posting. Any use of the AppSphere Community or the Licensed Software after such date shall constitute your acceptance of such revised terms and conditions. If any change to these AppSphere Terms or the Evaluation EULA is not acceptable to you, your sole remedy is to cease accessing, browsing and otherwise using the AppSphere Community, and/or using the Licensed Software, respectively. 1.4 Your access to and use of the AppSphere Community is also subject to the AppDynamics Privacy Policy located at http://www.appdynamics.com/privacy-policy the terms and conditions of which are hereby incorporated herein by reference. 2. 2.1 Rules of Conduct. You may not use your account (or allow anyone else to use your account) to post or transmit: Content (including text, information or images) that is abusive, vulgar, obscene, hateful, fraudulent, or that discloses private or personal matters concerning any person; Content that is threatening, defamatory or abusive, whether directed towards another user, an AppSphere Community moderator, an AppDynamics employee or manager, or otherwise; "rants, harsh slams," or legal threats against AppDynamics or another company or competitor; bigoted, hateful, or racially offensive comments; political or religious statements or commentary;

off-topic comments not related to enterprise communities or the AppDynamics platform; any material that you don't have the right to transmit under law (such as copyright, trade secret, or securities) or under contractual or fiduciary relationships (such as nondisclosure agreements); language that promotes illegal activity or discusses illegal activities with the intent to commit them, including any message that solicits or promotes the use of an illegal substance; advertising, promotional materials, or other forms of solicitation including chain letters, pyramid schemes, class action suits, or charitable appeals, including advertising links in signatures; any file or link to a file that contains viruses, corrupted files, "Trojan Horses," or any other contaminating or destructive features that may damage someone else's computer; duplicate posts, spam messages, or posts repeated excessively on one or more boards; Content designed to evade profanity or other filters; personal phone numbers or addresses, personal email addresses, private information such as social security numbers, or other contact information that is not your own, including, but not limited to AppDynamics employee's email addresses, or other personal information or data; hyperlinks that lead to sites that violate any of the forum guidelines; or any Content that impersonates another person or affiliation with an entity, including, but not limited to, AppDynamics. In addition, you shall not: violate any other applicable law or regulation while accessing or using the AppSphere Community; interfere in any way with the operations of the AppSphere Community or with a fellow user's message box, including but not limited to mail or "post" bombing, news bombing, other flooding techniques, deliberate attempts to overload a system and broadcast attacks, or attempts to avoid messaging blocking; or evade bans or suspensions or otherwise disregarding directions from AppSphere Community moderators or administrators.

2.3 AppSphere moderators may at any time and without prior notice remove any posted message or thread, delete words that violate these guidelines from posted messages, or ban your account for violating the above reasonable provisions. Please remember that you are responsible for all statements made and acts that occur through the use of your user name and password. If you recognize any violation of these guidelines, please notify us by using the "report abuse to moderator" feature in the Options menu of the message, or by contacting us directly at: appsphere@appdynamics.com. In addition, when you access or use an AppDynamics product, including the Site and AppSphere Community, we may collect metrics on your activities, such as web pages visited, length of visit, and which features of our product you use. 2.4 As noted in the Site Terms, the DMCA provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you believe in good faith that materials posted in the AppSphere Community infringe your copyright, you (or your agent) may send us a notice requesting that the material be removed, or access to it blocked. Notices and counter-notices must meet the then current statutory requirements imposed by the DMCA (see http://www.loc.gov/copyright for details). Notices and counter notices with respect to the AppSphere Community should be sent to AppDynamics at: By Mail: Copyright Agent 303 Second Street, Suite 450, North Tower San Francsico, CA 94107 By Email: support@appdynamics.com 2.5 We may refuse to grant you, and you may not use, a screen name or email address that is already being used by someone else, that impersonates another person, that belongs to another person (without that person's prior consent), that violates the intellectual property or other rights of any person, that is vulgar or otherwise offensive, or that we reject for any other reason, at our sole discretion. In consideration of your use of the AppSphere Community, you agree that all information provided in your profile is accurate, true, current, and complete. AppDynamics may terminate your account if any of the information provided is found to be inaccurate, false, out of date, or incomplete. 2

2.6 The Content found in the AppSphere Community comes from a variety of sources, primarily from community members. AppDynamics makes no claims or representations as to the accuracy, completeness, or truth of any material submitted or found in the discussion areas. AppDynamics is not liable for any website links posted within the discussion areas; website links posted in the discussion areas may link to sites not administered or under the control of AppDynamics and users must open such links at their own risk. AppDynamics is not liable for any errors or delays in the content or transmission of postings on the site. Remember that you are responsible for your own decisions to act upon the information provided by community members. AppDynamics makes no guaranty of the confidentiality or privacy of any communication or information transmitted on the site, or any web-site linked to the site, or otherwise in connection with the AppSphere Community and AppDynamics will not be liable for the privacy of e-mail addresses, registration and identification information, or other personal, confidential or trade secret information made available on the AppSphere Community. 2.7 If your user identification or password(s) is compromised, or if you become aware of any unauthorized use of your account or other breach of security, you are responsible for promptly notifying us. You can notify us by sending an email to appspheremod@appdynamics.com. 3. Limitation of Liability and Disclaimer of Warranties.

3.1 APPDYNAMICS, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND LICENSORS (COLLECTIVELY, THE APPDYNAMICS PARTIES) MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE CONTENT OR THE APPSHERE COMMUNITY, INCLUDING BUT NOT LIMITED TO ITS ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS OR RELIABILITY. THE APPDYNAMICS PARTIES SHALL NOT BE SUBJECT TO LIABILITY FOR THE TRUTH, ACCURACY OR COMPLETENESS OF THE CONTENT OR ANY OTHER INFORMATION CONVEYED OR FOR ERRORS, MISTAKES OR OMISSIONS THEREIN OR FOR ANY DELAYS OR INTERRUPTIONS OF THE APPSPHERE COMMUNITY. YOU AGREE THAT YOU USE THE APPSPHERE COMMUNITY AND THE CONTENT AT YOUR OWN RISK. THE APPDYNAMICS PARTIES DO NOT WARRANT THAT THE APPSPHERE COMMUNITY WILL OPERATE ERROR-FREE OR THAT THE APPSPHERE COMMUNITY, ITS SERVER, OR THE CONTENT ARE FREE OF COMPUTER VIRUSES OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES. IF YOUR USE OF THE APPSPHERE COMMUNITY OR THE CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, NO APPDYNAMICS PARTY SHALL BE RESPONSIBLE FOR THOSE COSTS. THE APPSPHERE COMMUNITY AND CONTENT ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY WARRANTIES OF ANY KIND. THE APPDYNAMICS PARTIES DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF TITLE, MERCHANTABILITY, NON-INFRINGEMENT OF THIRD PARTIES RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE. 3.2 IN NO EVENT SHALL ANY APPDYNAMICS PARTY BE LIABLE FOR ANY SPECIAL, INDIRECT, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION RESULTING FROM OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE APPSPHERE COMMUNITY AND THE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SUCH APPDYNAMICS PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR LIABILITY, AND THE LIABILITY OF ANY OTHER APPDYNAMICS PARTIES, TO YOU OR ANY THIRD PARTIES IN ANY CIRCUMSTANCE IS LIMITED TO $100. 3.3 Some states do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. IN SUCH STATES, THE LIABILITY OF THE APPDYNAMICS PARTIES SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

4. Indemnification. You agree to defend, indemnify, and hold harmless the AppDynamics Parties from and against any claims, actions or demands, including, without limitation, reasonable legal and accounting fees, arising or resulting from your breach of these AppSphere Terms or your access to, use or misuse of the Content or AppSphere Community. AppDynamics shall provide notice to you of any such claim, suit, or proceeding. AppDynamics reserves the right to assume the exclusive defense and control of any matter which is subject to indemnification under this section. In such case, you agree to cooperate with any reasonable requests assisting AppDynamics defense of such matter. 5. Termination; Suspension. AppDynamics reserves the right, in its sole discretion, to restrict, suspend, or terminate your account and your access to all or any part of the AppSphere Community or the Content at any time and for any reason without prior notice or liability. AppDynamics reserves the right to change, suspend, or discontinue all or any part of the AppSphere Community or the Content at any time without prior notice or liability. 6. Miscellaneous. These AppSphere Terms are governed by the internal substantive laws of the State of California, without respect to its conflict of laws provisions. You expressly agree to submit to the exclusive personal jurisdiction of the state and federal courts sitting in the City of San Francisco in the State of California. If any provision of these AppSphere Terms is found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these AppSphere Terms, which shall remain in full force and effect. Failure of AppDynamics to act on or enforce any provision of these AppSphere Terms shall not be construed as a waiver of that provision or any other provision in these AppSphere Terms. No waiver shall be effective against AppDynamics unless made in writing, and no such waiver shall be construed as a waiver in any other or subsequent instance. Except as expressly agreed by AppDynamics and you, these AppSphere Terms (together with the Site Terms) constitute the entire agreement between you and AppDynamics with respect to the subject matter hereof, and supersedes all previous or contemporaneous agreements, whether written or oral, between the parties with respect to the subject matter. The section headings are provided merely for convenience and shall not be given any legal import. These AppSphere Terms will inure to the benefit of our successors and assigns. Any information submitted or provided by you to the AppSphere Community might be publicly accessible. Important and private information should be protected by you. AppDynamics is not liable for protection of privacy of electronic mail or other information transferred through the Internet or any other network that you may use.

Evaluation EULA The following is the Evaluation EULA that applies to your use of the Licensed Software: AppDynamics Lite / 14-Day Evaluation License Agreement BEFORE USING APPDYNAMICS LITE OR APPDYNAMICS PRO ON A LIMITED 14-DAY TRIAL BASIS (AS APPLICABLE, THE LICENSED SOFTWARE), PLEASE READ THIS APPDYNAMICS LITE / 14-DAY EVALUATION LICENSE AGREEMENT (THIS EVALUATION EULA), WHICH CONSTITUTES A BINDING AND EXECUTED WRITTEN AGREEMENT BETWEEN THE COMPANY OF WHICH YOU ARE A DULY AUTHORIZED EMPLOYEE OR AGENT AS THE PARTY EVALUATING THE LICENSED SOFTWARE (LICENSEE) AND APPDYNAMICS, INC., A DELAWARE CORPORATION, WITH ITS PRINCIPLE PLACE OF BUSINESS AT 274 BRANNAN STREET, SUITE 602, SAN FRANCISCO, CA 94107 (APPDYNAMICS). 1. Access to Software; Term. (a) Subject to the terms and conditions of this Evaluation EULA, AppDynamics hereby grants Licensee, during the Term (as defined below), a non-exclusive, non-transferable, non-sublicenseable, limited right to use the Licensed Software for its internal evaluation purposes only, solely in accordance with the License Key (as defined below) provided to Licensee. Licensee may use the number and type of licenses indicated in written materials or on AppDynamics website prior to Licensees downloading the Licensed Software, which will be enabled by Licensees specific license key provided by AppDynamics to Licensee for the Licensed Software (License Key). AppDynamics has the right to immediately terminate this Agreement if AppDynamics determines that the License Key has caused an error in permitting access to any component of the Licensed Software, even if such error is not due to Licensees act or omission. (b) The Term is either (a) if Licensee is using AppDynamics Lite, that period of time from Licensees download of AppDynamics Lite until the earlier of Licensee receiving written notice of termination of this Evaluation EULA from 4

AppDynamics or any breach of this Evaluation EULA by Licensee, or (b) if Licensee is using AppDynamics Pro on a limited 14day trial basis, that period of time from Licensees download of AppDynamics Pro until the earlier of 14 days after such download or any breach of this Evaluation EULA by Licensee. (c) AppDynamics may track Licensees actual use of the Licensed Software through a license manager (the License Manager). Licensee agrees to allow the License Manager to send periodic information to AppDynamics for auditing purposes, and Licensee will not in any circumstance disable or otherwise prevent the operation of the License Manager. 2. Restrictions. (a) Licensee may not: (i) sublicense, sell, resell, transfer, assign, distribute, share, lease, rent, make any commercial use of, outsource, use on a timeshare or service bureau, or use in its own application service provider or managed service provider environment, or otherwise generate income from the Licensed Software; (ii) copy the Licensed Software (other than as necessary for installation); (iii) cause or permit the decompiling, disassembly, or reverse engineering of any portion of the Licensed Software, or attempt to discover or permit the discovery of any source code or other operational mechanisms of the Licensed Software; (iv) modify, adapt, translate or create derivative works, nor allow any of those actions to occur, based on all or any part of the Licensed Software; (v) use any portion of any downloadable Software as a general SQL server, as a stand alone application or with applications other than the Licensed Software as provided; (vi) modify any proprietary rights notices which appear in the Licensed Software or components thereof; or (vii) use any Software in violation of any applicable laws and regulations (including any export laws, restrictions, national security controls and regulations) or outside of the license scope set forth in Section 1. (b) Licensee shall notify AppDynamics immediately of any unauthorized use of any password or account or any other known or suspected breach of security or misuse of the Licensed Software. Licensee is responsible for use of the Licensed Software by any and all employees, contractors, or other users that it allows to access the Licensed Software. 3. Confidentiality (a) Scope and Restrictions. "Confidential Information" means all information of a party ("Disclosing Party") disclosed to the other party ("Receiving Party") that is designated in writing or identified as confidential at the time of disclosure or should be reasonably known by the Receiving Party to be confidential due to the nature of the information disclosed and the circumstances surrounding the disclosure. These Terms, any technical or other documentation relating to the Licensed Softwares, logins, passwords and other access codes and any and all information regarding AppDynamics business, products and services are the Confidential Information of AppDynamics. The Receiving Party will: (i) not use the Disclosing Partys Confidential Information for any purpose outside of this Agreement; (ii) not disclose such Confidential Information to any person or entity, other than its (a) employees who have a need to know for the Receiving Party to exercise its rights or perform its obligations hereunder and (b) professional advisers, and actual or prospective investors, provided that such employees, investors, acquirers and professional advisers are bound by agreements or, in the case of professional advisers, ethical duties respecting such Confidential Information in accordance with the terms of this Section 3; and (iii) use reasonable measures to protect the confidentiality of such Confidential Information. If the Receiving Party is required by applicable law or court order to make any disclosure of such Confidential Information, it will first give written notice of such requirement to the Disclosing Party, and permit the Disclosing Party to intervene in any relevant proceedings to protect its interests in its Confidential Information, and provide full cooperation to the Disclosing Party in seeking to obtain such protection. Further, this Section 3 will not apply to information which the Receiving Party can document: (i) was rightfully in its possession or known to it prior to receipt; (ii) is or has become public knowledge or publicly available through no fault of the Receiving Party; (iii) is rightfully obtained by the Receiving Party from a third party without breach of any confidentiality obligation; or (iv) is independently developed by employees of the Receiving Party who had no access to such information. (b) Equitable Relief. The Receiving Party acknowledges that unauthorized disclosure of Confidential Information could cause substantial harm to the Disclosing Party for which damages alone might not be a sufficient remedy and, therefore, that upon any such disclosure by the Receiving Party the Disclosing Party will be entitled to appropriate equitable relief in addition to whatever other remedies it might have at law or equity. 4. Proprietary Rights. AppDynamics and its suppliers own and shall retain all intellectual property and other proprietary rights in and to the Licensed Software. Licensee acknowledges that the licenses granted under these Terms do not provide Licensee with title to or ownership of the Licensed Software. To the extent the Licensed Software is shipped to Licensee, certain free or open source based software (FOSS Software) is shipped with the Licensed Software but is not considered part of the Licensed Software hereunder. A list of such FOSS Software and their download locations are set forth on the webpage located at http://www.appdynamics.com/open-source. Licensees use of such FOSS Software is subject to the terms of the licenses set forth on such webpage. 5. Termination. Upon expiration or termination of the Term for any reason, (i) Licensee shall cease any further use of the Licensed Software and destroy any copies of the Licensed Software or related documentation within Licensees possession or control and (ii) each Receiving Party will return or destroy, at the Disclosing Partys option, the Disclosing Partys Confidential 5

Information in the Receiving Partys possession or control. The Term is not renewable by Licensee, and Licensee represents and warrants that is has not previously evaluated the Licensed Software, and will not attempt to, by any means, evaluate the Licensed Software again without payment. Licensee agrees that violation of this provision or these Terms may subject Licensee to monetary penalties, including payment of all applicable fees as though the Licensed Software were licensed or accessed for payment. Sections 2 through 8 of this Evaluation EULA will survive any expiration or termination hereof. 6. Disclaimer or Warranties. THE LICENSED SOFTWARE IS BEING PROVIDED TO LICENSEE WITHOUT CHARGE FOR EVALUATION PURPOSES ONLY, AND IS THEREFORE BEING PROVIDED AS IS. APPDYNAMICS EXPRESSLY DISCLAIMS ANY AND ALL OTHER REPRESENTATIONS AND WARRANTIES, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT THERETO, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR THE CONTINUOUS, UNINTERRUPTED, ERROR-FREE, VIRUS-FREE, OR SECURE ACCESS TO OR OPERATION OF THE PRODUCT, OR AS TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION OR DATA ACCESSED OR USED IN CONNECTION WITH THE LICENSED SOFTWARE. 7. Limitation of Liability. IN RELATION TO THE LICENSED SOFTWARE, IN NO EVENT SHALL APPDYNAMICS BE LIABLE FOR (I) ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING DAMAGES FOR LOSS OF REVENUES OR PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, OR LOSS OF DATA, WHETHER IN AN ACTION IN CONTRACT OR TORT, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (II) ANY OTHER DAMAGES IN EXCESS OF ONE HUNDRED DOLLARS (US$100). 8. General Provisions. This Evaluation EULA shall be governed by and construed under the laws of the State of California, U.S.A. The parties consent to the exclusive jurisdiction and venue of the courts located in and serving San Francisco, California. Failure by either Party to exercise any of its rights under, or to enforce any provision of, this Evaluation EULA will not be deemed a waiver or forfeiture of such rights or ability to enforce such provision. If any provision of this Evaluation EULA is held by a court of competent jurisdiction to be illegal, invalid or unenforceable, that provision will be amended to achieve as nearly as possible the same economic effect of the original provision and the remainder of this Evaluation EULA will remain in full force and effect. This Evaluation EULA represents the entire agreement between the parties and supersede any previous or contemporaneous oral or written agreements or communications regarding the use of the Licensed Software. Any modification to this Evaluation EULA must be in writing and signed by a duly authorized agent of both parties. The rights and remedies of the parties hereunder will be deemed cumulative and not exclusive of any other right or remedy conferred by this Evaluation EULA or by law or equity. The captions and headings appearing in this Evaluation EULA are for reference only and will not be considered in construing this Evaluation EULA. No joint venture, partnership, employment, or agency relationship exists between the parties as a result of this Evaluation EULA or use of the Licensed Software. This Evaluation EULA may not be assigned by Licensee. Licensee agrees that AppDynamics may refer to Licensee by trade name and logo, and may briefly describe Licensees business, in AppDynamicss marketing materials and web site, provided that Licensee may opt-out of such marketing by sending an email to marketing@appdynamics.com opting out of such marketing within fifteen (15) days after accepting this Evaluation EULA. AppDynamics may give notice to Licensee by electronic mail to Licensees e-mail address on record in Licensees account information, or by written communication sent by first class mail or pre-paid post to Licensees address on record in Licensees account information. Licensee may give notice to AppDynamics at any time by any letter delivered by nationally recognized overnight delivery service or first class postage prepaid mail to AppDynamics at the following address: AppDynamics, Inc., 303 Second Street, Suite 450 North Tower San Francisco, CA 94107, Attn: Director of Legal Affairs. Notice to AppDynamics shall be deemed given when received by AppDynamics. For purposes hereof, including means including without limitation.
