Modified Killer Contract 3

Revised date: CURRENT-DATE Between I (MY-COMPANY-NAME) and you (CUSTOMER-NAME)

Summary:
I will always do my best to fulfil your needs and meet your expectations, but it is important to have things written down so that you and I both know what is what, who should do what and when, and what will happen if something goes wrong. In this contract you will not find any complicated legal terms or long passages of unreadable text. I have no desire to trick you into signing something that you might later regret. What I do want is what is best for both parties, now and in the future. So in short; You (CUSTOMER-NAME), located somewhere in the universe are hiring me (MYCOMPANY-NAME) located somewhere in universe too to create the product (PRODUCT-DESCRIPTION) for the total price of PRICE USD to be finished on FINAL-DEADLINE. Of course it is a little more complicated, but you and I will get to that.

What do both parties agree to do?


You: You are my single point of contact. You have the authority to enter into this contract on behalf of yourself, your company or your organization. You will give me everything I need to complete the project as and when and in the format I need it. You will follow my process and rules as explained below which aims to

provide a structured workflow and a happy client in the end. Deadlines work two ways, so you will also be bound by dates you and I set together. You also agree to stick to the payment schedule set out at the end of this contract. I: I have the experience and ability to do everything you and I have agreed to and I will do it all in a professional and timely manner. I will be open to amicably talk out any differences you and I may encounter during the course of this project.

Getting down to the nitty gritty process


I will divide the product into goals. I will break down these goals into smaller tasks. A goal is ready for review once all the tasks are completed. You will review the goal and provide feedback. Anything that you do not provide feedback for will be automatically approved as final. I will iterate over the goal again with the feedback you provide. Every goal has at least 2 iterations. On the 2nd iteration I will only accept minor changes and I will decide what is minor and what is not. Extra iterations, features and changes made on approved features will be gladly made, but at an extra cost, and delayed deadline if need be.

Technical support
I am not a website hosting company so I do not offer support for website hosting, email or other services relating to hosting. You may already have professional hosting and you might even manage that hosting in-house; if you do, great. If you do not, I can set up an account for you at one of my preferred hosting providers. I can set up your site on a server, plus any statistics software such as Google Analytics and I can provide a separate estimate for that. Then, the updates to, and management of that server will be up to you.

Copyrights
First, you guarantee that all elements of text, images or other artwork you provide are either owned by your good selves, or that you have permission to use them.

Then, when your final payment has cleared, copyright will be automatically assigned as follows: You will own the visual elements that I create for this project. I will give you all the source files, and you should keep them somewhere safe as I am not required to keep a copy. You own all elements of text, images and data you provided, unless someone else owns them. I will own the unique combination of these elements that constitutes a complete design and I will license that you, exclusively and in perpetuity for this project only. I love to show off my work and share what I have learned with other people, so I reserve the right, with your signature on this contract, to display and show the finished product as part of my portfolio to anyone in any medium of communication.

Payments & Fees


I am sure you understand how important it is that your clients pay you. As I am also sure you will want to stay friends, you agree to stick tight to the following payment schedule. PAYMENT-SCHEDULE Fees for changes on already approved features or additional iterations or new features will be decided on a per-case basis. Each day after FINAL-DEADLINE due to changes on already approved features or additional iterations or new features will be charged as 8 hours at the rate of PRICE-PER-HOUR of work until the project is compeleted. Project progress will be halted upon the first non-payment according to the payment schedule and fees. When a project is halted it is thrown back into the queue along my other projects until the debt is paid. You can cancel this contract at any time for any reason, but it will cost you 30% of

the unpaid amount of all fees & PRICE USD. Upon cancellation, all the work done up to that point is delivered to you as a completed project.

Legal stuff
I cannot guarantee that my work will be error-free and so I cannot be liable to you or any third-party for damages, including lost profits, lost savings or other incidental, consequential or special damages, even if you have advised me of them. Finally, if any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions. Just like a parking ticket, you cannot transfer this contract to anyone else without my permission. This contract stays in place and need not be renewed. If for some reason one part of this contract becomes invalid or unenforceable, the remaining parts of it remain in place. Although the language is simple, the intentions are serious and this contract is a legal document under exclusive jurisdiction of COUNTRY-COURTS courts. If you break any or all of the agreements on this contract you will have to pay for my lawyer fees if it comes to that. Lawyers will be called as a last resort. Also, I can fire you too, but I hope I will not have to enforce this clause. Phew.
