General Conditions of Sale

1) Conclusion of the contract: the contract of sale is deemed concluded at the moment and in the place in which the principal learns of acceptance by the other party. 2) Form of the proposal and of acceptance: the form of the proposal of sale is free, while acceptance must be made in writing where possible. If the proposal of sale is made in writing, it shall be deemed to have been accepted in any case, and therefore the contract shall be deemed to have been concluded, in the following cases: a) if within 7 days of receipt of the proposal of sale, the purchaser has not given notice of non-acceptance to Fas International S.p.a. in writing, even by fax; b) if the purchaser accepts delivery of the goods indicated in the proposal of sale at its works or at the place of destination previously indicated by it to Fas International S.p.a. 3) Revocation of the proposal: the proposal of sale may be revoked provided that the contract has not been concluded. 4) Object of the contract: the parties will comply scrupulously and exclusively with the indications set out in the proposal of sale when determining the object of the contract. 5) Modification of the contract: any modification of the contract must be accepted by both parties and must be in written form ad substantiam. Any agreements, even in writing, reached by the purchaser with agents, distributors and employees of Fas International S.p.a. which are devoid of written authorization or not authorized in advance by the company shall be without effect. 6) Price: the selling prices of Fas International S.p.a. products are those resulting from the Fas International S.p.a. price list in force. The selling price of the products does not include the accessory services, such as assembly and support at the purchasers premises, transport and shipping costs, and the charges, including those of a fiscal nature, which are not expressly mentioned in the proposal of sale. 7) Payment of the price: the price, including any expenses, costs and accessory services, must be paid in cash at the head office of Fas International S.p.a. at the moment of delivery of the products, unless otherwise specified in the proposal of sale and/or invoice. The issue of any bills of exchange or other instruments shall not be considered as payment of the price, but as a promise of payment. 8) Non-fulfilment objection (solve et repete): no grounds and/or objection, even through recourse to legal proceedings, may be raised by the purchaser to suspend or delay payment of the price. 9) Revocation of discounts Interest on arrears Suspension of deliveries: in the event of failure to pay the price, even if this concerns only one instalment in the case of payment in instalments, any discounts allowed will be intended to have been revoked and the interest on arrears will mature on the entire price as determined by legislative decree no. 231 of 09.10.02. Furthermore, Fas International S.p.a. will have the power to suspend delivery of the products, even those regarding other supplies, and to claim greater damages. 10) Loss of the term benefit: as well as what is envisaged in the previous article in the case of payment in instalments, late payment even of one instalment only, whatever its amount, will give rise to the forfeiture of the term benefit with regard to the subsequent instalments and Fas International s.p.a. shall be entitled to claim immediate settlement in a single payment of the sums due and to fall due, as well as the interest on arrears as specified above, as well as any greater damages. 11) Express cancellation clause Penalty: in the event of failure to pay the price, even if this only concerns a single instalment in the case of payment in instalments, as well as what has been envisaged in the previous articles and as an alternative to the demand for the execution of the contract, Fas International S.p.a. will be entitled to consider it cancelled by making a unilateral declaration of its will in this sense in accordance with art. 1456 of the Civil Code. In this last case, the purchaser will be required to return the products which are the object of the contract to Fas International S.p.a. immediately and any instalments already paid will remain vested in Fas International S.p.a. as compensation for the enjoyment of the product and/or for the depreciation the same has been subject to because of the fact that it is no longer marketable as new and/or because of its deterioration and/or as a penalty for failure to fulfil the contract. The right of Fas International S.p.a. to claim further damages shall remain unaffected in all cases. 12) Delivery time, place and procedures: the delivery date indicated in the proposal of sale refers to goods ready and available at the Fas International S.p.a. works. If in the proposal of sale, instead of the indication of a specific day, a term for the delivery of the product is indicated, even if shipped carriage paid, this will run from the date of conclusion of the contract and will be calculated in working days. This term will be purely indicative and, therefore, not essential nor binding. In any case, any delay in partial or total delivery will not entitle the purchaser to withdraw from the contract, nor to claim compensation for direct or indirect damages, nor to delay payment of the price with respect to the envisaged deadlines. In the case of shipment, the product will in any case travel at the purchasers own risk and peril, even if sold carriage paid or for delivery to a place other than the purchasers premises. As a consequence, Fas International S.p.a. will be exonerated from all responsibility with regard to transport, the means used, the itinerary chosen and any greater costs which may be applied by the carrier, it being explicitly understood that any transport contract will be entered into by Fas International S.p.a. on behalf of and if necessary also in the name of the purchaser which shall reimburse the costs unless otherwise agreed by the parties. In any case, the product will be deemed to have been delivered when it has been delivered to the carrier, even if chosen by Fas International S.p.a. in the absence of indications from the purchaser, at Fas International S.p.a.s works. Starting from that moment, the risk of loss and/or deterioration of the products will be borne exclusively by the purchaser. Unless otherwise agreed, Fas International S.p.a. will also be able to make partial or deferred deliveries of products constituting part of a single order. 13) Refusal to receive goods Penalty: if the purchaser refuses to receive the goods, Fas International S.p.a. will be able, at its own complete discretion, to demand either the execution of the contract or the cancellation of the same. In the latter case, the purchaser shall be required to pay Fas International S.p.a. a penalty equal to one tenth of the price indicated in the proposal of sale and to reimburse the same for the accessory expenses borne by Fas International S.p.a., such as, for example, for exemplificative and not exhaustive purposes, those for packaging, transport and storage where applicable. This will be done save any further damages in all cases. 14) Technical inspection of the product Reporting defects and/or poor quality: at the moment of receipt of the product, the purchaser is required under its responsibility and at its own expense to carry out a complete technical inspection of the quality of the product itself. If the product is found to have defects or shortcomings in the promised quality, the purchaser must report the complaint to Fas International S.p.a. in writing within no more than 8 days of receipt of the goods. In the absence of an inspection and/or written complaint within this period, the purchaser may no longer attribute any blame in this regard to Fas International S.p.a. The products which are the subject of the complaint must be delivered or shipped carriage paid by the sender at its own risk to Fas International S.p.a. The products returned by the purchaser and which Fas International S.p.a. decides to replace rather than repair, will remain the property of Fas International S.p.a. Complaints regarding one or more products in a supply will have no effect with regard to the other products in the same supply or in other supplies. In any case, for the intents and purposes of article 8 above, the purchaser may not suspend or delay the payment of the price of the supply comprising the product complained of, and certainly not the price of other supplies. 15) Guarantee of good operation Forfeiture of the guarantee: Fas International S.p.a. guarantees the proper operation of its Automatic Vending Machines for 24 (twenty-four) months and its spare parts and accessories for 12 (twelve) months, starting from the date of delivery of the same, identified by means of the manufacturing code and/or factory mark. If operating problems are found, these must be reported promptly by registered letter with advice of delivery according to the law. No complaints made in forms other than this will be accepted. The parties expressly agree that the guarantee will be implemented at the Manufacturers indisputable discretion by means of free repairs executed exclusively at the Head Office or replacement free of charge, within sixty days of receipt of the report, of the defective parts or materials, with the exclusion, therefore, of cancellation of the contract or reduction of the price and associated compensation for damages. Also at the Manufacturers indisputable discretion the replaced material may be delivered in advance with retention of title at the Manufacturers expense and accompanied by the relative invoice. The faulty part must be returned with costs payable by the Purchaser according to the terms and conditions specified in the invoice for inspection by the Manufacturer to determine the applicability of the guarantee. If the guarantee is not applicable the Manufacturer shall inform the Purchaser in writing, and the latter may request the return of the faulty material with expenses payable by him. If the guarantee is not acknowledged by the Manufacturer and the faulty material is not returned by the Buyer in accordance with the foreseen terms and conditions, the Purchaser shall be required to settle the invoice. On the other hand, if the Manufacturer acknowledges the guarantee, he shall issue a regular credit note in the name of the Purchaser. Replaced materials remain the property of the Manufacturer. Guaranteed parts carry special labels indicating the serial number for automatic vending machines and the date of sale for spare parts. The guarantee will be automatically voided if this label is removed or tampered with. Purchasers will forfeit the guarantee if they default in the payment of the price, or if they suspend or delay the payment of the same whatever the reason. In any case, for the intents and purposes of article 8 above, the purchaser shall not suspend or delay the payment of the price of the supply comprising the malfunctioning product, and certainly not the price of other supplies. This article will not be operative if the direct purchaser from Fas International S.p.a. is a natural person. In this case, the rules provided for in articles 1519 bis to 1519 novies of the Civil Code will apply. Parts must be replaced by trained technicians certified by FAS International S.p.A. The Manufacturer declines all responsibility for damage to things or people, or malfunctions arising from actions carried out by unauthorised personnel or by the improper use of the parts. 16) Cases in which the guarantee of good operation is excluded: For exemplificative purposes, the guarantee of good operation will be excluded in cases in which the flaw and/or the defect is a consequence: a) of poor installation, even if carried out by qualified personnel b) of improper use of the product, due to inexperience, negligence or failure to observe the operating instructions c) of lack of maintenance or poor maintenance, even if carried out by qualified personnel d) of repairs or modifications carried out by the purchaser unilaterally on its own initiative e) of irregular conveyance of power in the electricity lines, of power supply that is not compatible with the specifications given on the machine data plate, or of insufficient and abnormal capacity of the electricity systems f) of the corrosive action of detergents g) of poor or failed operation of the software or of the hardware or of loss of data, recorded by the purchaser, as a result of thunder storms, lightning strikes, high temperatures or voltage variations in the electric current, earthquakes, fires, etc. etc. h) of tampering, intrusions, damage, contrivances and/or illegitimate actions by third parties in general i) a)in general, if the flaw and/or the operating defect is attributable to the purchaser or, in any case, is not attributable to the Manufacturer. Also excluded from the guarantee are all the components that : a) are subject to natural wear and tear such as for example, handles, lamps, keyboards, external casings, gaskets, filters b) are structural parts, such as for example glass panes, plastic or rubber parts, cables, metal parts c) due to the conditions of use have a natural life that is significantly shorter than the guarantee period. 17)Transfer of the contract: the contract cannot be transferred to third parties without the written agreement of Fas International S.p.a.. 18) Competent court: The parties expressly agree that the Court of Vicenza, detached Session in Schio, or the Justice of the Peace of Schio where competent for the value, will be territorially competent for any dispute arising out of the interpretation, execution, cancellation, rescission and validity of this contract. In the hypothesis of sale of the product in a distribution chain, the purchaser from Fas International Spa. will be obliged to elect the Court of Vicenza, detached Session in Schio, or the Justice of the Peace of Schio where competent for the value, as the territorially competent court for all and any disputes which may arise with its own purchaser. In default, if legal proceedings are taken against Fas International S.p.a. in another Court, jointly with and/or separately from said direct purchaser from it, the purchaser from Fas International S.p.a. will be required to reimburse the later for the greater legal costs it will be obliged to meet. 19) References to rules governing the matter: The regulations in force governing the matter will be applicable for all things not expressly provided for in this contract.
