1. Eligibility Criteria: 1.1 In case of manufacturer/authorized dealers of manufacturer, attested copy of the Sales Tax registration certificate as a proof of manufacture of the equipment. OR The contractor who possess experience of having satisfactory completion of Power Plant repairing or similar works in BSNL/MTNL/DOT/Any Central/State Govt. /PSU (Experience Certificate issued at least by D.E level officer.) during the last three years from the date of publication of tender and have received the payment for such work to the extent as mentioned below are eligible for participate in the tender. a. Three similar completed works costing not less than the amount equal to 40% of the estimated cost. OR b. Two similar completed works costing not less than the amount equal to 50% of the estimated cost. OR c) One similar completed work costing not less than the amount equal to 80% of the estimated cost. Work order will not be treated as experience certificate .
1.2 Tenderer, whose near relative(s) is/are employed in BSNL, is not eligible to participate in the tender. 2. Sale of Tender Form Tender document containing terms, conditions and technical specifications can be obtained from SDE (PLG), Udhampur on any working day upto 1600 Hrs of 10-03-2013 on production of cash receipt or D.D in favour of A.O. Cash BSNL, O/o TDM Udhampur for Rs.500/- (Non-refundable) towards the cost of tender document. Tender document can also be downloaded from the website: www.jandk.bsnl.co.in The downloaded document shall be treated as valid document for participation in the tender, but the cost of the tender document in the form of D.D in favour of AO (Cash) BSNL O/o TDM UDHAMPUR is to be enclosed with the bid along with the bid security & other documents, failing which the tender will be out rightly rejected. 3. Earnest Money: The EMD shall be deposited in form of D.D. issued by any National/Schedule Bank in favour of Account Officer (Cash), BSNL, O/o TDM Udhampur with tender document. 4. Submission and Opening of Tender: The sealed tender should be submitted to DE (P&A), O/o TDM Udhampur upto 1500 Hrs of 11-04-2013 and will be opened on same the day (Technical Bid only) at 1530 Hrs in the presence of the tenderers or their authorized representatives who wish to be present at their own cost. 5. The tender, which is not accompanied by the requisite Earnest Money, shall be summarily rejected. 6. During the entire evaluation process if it is observed that the downloaded document is exactly not as per the original tender document and/or tampered / changed / altered/ modified in any way, the bid will be rejected. 7. Bid for tender should be submitted in three envelopes placed inside a 4 th envelope. These envelopes should contain the following:

BID Security (Earnest Money Deposit):The bidder shall furnish as a part of his bid security for an amount of Rs.18, 750/-. The name and address of the firm and whether Bid security, Technical or Financial bid must be clearly mentioned on these individual envelopes and should be properly sealed (with sealing wax/packing PVC tape). Contents of envelope and mark over it shall be as stated above. These three envelopes are to be placed inside an outer 4 th envelope (D) and shall be properly sealed (With sealing wax/packing PVC tape). On all four envelopes the name and address of the firm should be mentioned and should be addressed to Deepak Kumar, DE (P&A) O/o TDM UDHAMPUR. The tenders, which are not submitted as per above mentioned procedure shall not be considered. OR (ii) The Affidavit of Sole Proprietorship in case of Proprietary concern. OR (iii) Attested copy of Partnership Deed in case of partnership concern. e) Original/Attested copy of Power of Attorney in case person other than the proprietorship tenderer or one partner of partnership firm has signed the tender documents. f) Affidavit for No near relative certificate as per annexure VI. ( Please ensure that No near relative certificate as per annexure VI is to be signed by all the partners of the firm/Directors of the company or company secretary on behalf of all Directors). g) In case of manufacturer, attested copy of the Sales Tax registration certificate as a proof of manufacture of the equipment. BID OPENING AND EVALUATION:
OPENING OF BIDS BY THE B.S.N.L.: 4.1 The B.S.N.L. shall open the bids in the presence of bidders or his authorized representative who choose to attend, at 1530 Hrs on due date. The bidder representatives, who are present, shall sign an attendance register. 4.2 Maximum of one (1) representative for any bidder shall be authorized and permitted to attend the bid opening. 4.3 The bids shall be opened in the following manner: 4.3.1 The bid opening committee shall count the number of bids and assign serial numbers to the bids. For example, if 10 tenders have been received the bids shall be numbered as 1 of 10, 2 of 10 etc. All the members shall initial on the outer envelopes of all the bids with date. 4.3.2 The envelopes containing the tender offer and not properly sealed, shall be recorded on the face of the envelope and all the members of bid opening committee shall initial with date. 4.3.3 First the outer envelope containing the three envelopes is opened. The bid opening committee shall initial on all three envelopes with date. 4.3.4 The Financial Bid of only qualified tenders will be opened later on and date, time and venue will be intimated to qualified bidders accordingly. 4.3.5 The Financial Bid shall be opened in the following manner: 4.4.1 The envelope marked Financial Bid will be opened only for those qualified tenders who have qualified with in Technical bid. 4.4.2 After opening the Financial Bid the bidders name, bid prices, modifications, and such other details as the B.S.N.L., at its discretion, may consider appropriate will be announced at the opening. 4.4.3 In case there is discrepancy in figures and words in the quote, the same shall be announced in the bid opening, but the quote in words shall prevail. Evaluation 1. BSNL shall evaluate the bids to determine whether they are complete, whether any computational errors have been made whether documents have been properly signed and whether bids are in order. 2. If there is a discrepancy between words and figures the amount in words shall prevail prior to detailed evaluation, BSNL will determine the substantial responsiveness of each bid to the bid document. A substantially responsive bid is one, which confirms to all the terms and conditions of bid documents without material deviation. A bid determined as substantially non-responsive will be rejected by BSNL.

3. 4. The right to accept or reject any or all the tenders or of dividing the work between two or more parties without assigning any reasons is reserved with TDM, Udhampur. The rates should be quoted both in figures as well as in words. In case of any ambiguity, the rates quoted in words will be treated as actually quoted rates. Rates should be inclusive of all taxes, levies and transportation charges. No cognizance will be taken of any paper or letter submitted with the tender having its effect on the rates mentioned on the standard Performa. The tenderer signing the tenders should, in case of firms specify clearly whether they are signing as (i) Sole Proprietor (ii) Partner (iii) Under a power of attorney (iv) Director, Manager or Secretary etc., as the case may be. Attested copies of documents authorizing the tenderer signing the tender on behalf of such companies, firms and persons should be attached with the tender. The near relatives of all BSNL employees (Executive and non-executive) working in B.S.N.L. permanent or on deputation are prohibited from participation in this tender. The near relatives for this purpose are defined as:(a) Members of a Hindu Undivided Family, (b) They are husband and wife, (c) The one is related to the other in the manner as father, mother son(s), sons wife (daughter-in-law), Daughter(s) & daughters husband (son-in-law), Brother(s) & brothers wife, sister(s) & sisters husband (brother-in-law). The accepted rates will originally be operative for a period of one year from the date of acceptance of tender. TDM, Udhampur may increase the period of contract by 6 months without the consent of the contractor, according to the requirement from time to time. If any tender is withdrawn before final acceptance of the tender or fails to deposit the security as prescribed within stipulated period, the bid security of the tender is liable to be forfeited. The power of acceptance of the tender will rest with the TDM, UDHAMPUR who does not bind himself to accept the lowest or any tender. The contractor shall furnish security deposit in the form of Demand Draft Drawn on any of the Nationalized or Scheduled Banks in favour of Account Officer (Cash) BSNL Telecom, District, UDHAMPUR as mentioned in notice inviting tender for an amount equal to 10% of the contract value within 14 days from the date of issue of this letter of communication of formal letter of acceptance of his offer by the TDM UDHAMPUR. The EMD deposited at the time of submission bid shall compulsory be converted into part of performance security and the remaining shall be deposited in the form of Demand Draft Drawn on any of the Nationalized or Scheduled Bank in favour of Account Officer (Cash), O/o TDM, BSNL, UDHAMPUR. The EMD of unsuccessful bidders shall be released/refunded after finalization of tender. Tenders received either by post or courier service or in person after the specified time will not be opened or considered.

13. Rates may be quoted clearly in words and figures. Correction if any, in the tender should be attested by signature of tenderer in the absence of which tender is liable to be rejected. Tenders will be opened at the designated time in the Conference hall, O/o Telecom District Manager, UDHAMPUR, in the presence of the tenderers or their representatives who wish to be present at the opening. Representative without any authority from the tenderer will not be allowed. If any tender is withdrawn before finalization of the contract the earnest money deposited by the tenderer will be forfeited. The earnest money of unsuccessful bidder will be refunded after execution of agreement with the successful tenderer. The court case, if any, shall be entertained at UDHAMPUR Jurisdiction only. The right to accept or reject any tender in part or full will be reserved with the Telecom District Manager, UDHAMPUR, without assigning any reasons. The contractor shall not be permitted to tender if any of his near relative is working as an officer in any capacity in J&K Circle. He should submit an affidavit that no his/her relative is employed in BSNL.

Terms and Conditions
Definition of General Terms and Conditions for the Vendor 1. Definition 1.1 Sealed means WAX or PVC sealed. 1.2 CONTRACTOR word wherever occurs means the tenderer whose rates are accepted by the purchaser. 1.3 SUPPLIER word wherever occurs means the tenderer whose rates are accepted by the purchaser. 1.4 The successful Tenderer/Tenderers means whose tender is accepted and shall thereafter termed to be as contractor. 1.5 SSA Udhampur means the jurisdiction of TDM Udhampur including Udhampur, Ramnagar, Reasi, Mahore, Ramban, Doda, Bhaderwah, Kishtwar SDCAs and power plants installed at BTS sites as and where required. 1.6 Representative of TDM Udhampur/Purchaser means any officer/officers or any staff deputed by TDM Udhampur for supervising the work. 2. The Tender document should be accompanied with Earnest money of Rs.18, 750/- in the form of Demand Draft on any scheduled Bank in favour of A.O (Cash), BSNL, TDM UDHAMPUR. The tender (Technical Bid) received without earnest money will not be considered. 3. The tender document only sealed with sealing Wax or PVC sealed & super-scribed as Tender for Repair of Faulty SMPS Power Plant & Modules in Udhampur Telecom District should be delivered in person addressed to Deepak Kumar, DE (P&A) O/o TDM, UDHAMPUR on 11-04-2013 up to 1500 Hrs. The Technical Bid will be opened on 11-04-2013 at 1530hrs. .4 There should be no corrections/overwriting/omissions in the schedule of rates and other terms and conditions of the tender, otherwise the tender is liable to be rejected. 4.1 The tenderer signing the tender documents should clearly mention whether he is signing as sole proprietor/partner/authorized dealer as the case may be. Copies of documents authorizing the tenderer for signing the tender on behalf of firm/company should be attached with the tender. 4.2 Conditional tenders are liable for rejection without assigning any reason. 4.3. The tenderer must certify that he is willing to execute the work at the rates indicated by him in the tender document. Tenders who propose any alternations in the specified items or in the time of schedule etc. are liable to be rejected. 4.4 Canvassing is strictly prohibited. Tenderers who resort to canvassing are liable to be rejected. 4.5. Any ambiguity in rates, delivery terms, specifications of work etc. will make the offer invalid. 4.6. The tender shall remain open for acceptance for a period of 180 days from the date of opening of the financial bid. If any tenderer withdraws his tender before the said period or makes any modifications in the terms and conditions of the tender, which are not

acceptable to the Deptt. Then, the Deptt Shall without prejudice to any other right or remedy is at liberty to forfeit the earnest money of the tenderer. In the event of a tender being rejected, the earnest money deposited with such unaccepted tenders shall there upon be refunded to such Tenderers in accordance with the rules of the Department in due course. The T.D.M BSNL UDHAMPUR reserves the right of negotiations with tenderers for arriving at proper rates in the interest of the Department. In case the tenderer fails to deposit the Security Deposit asked for after acceptance of the tender & fails to execute the agreement within a stipulated period, the earnest money is liable to be forfeited. No officer of any Department of Govt. of India is allowed to work as a contractor for a period of two years of his retirement from Govt. Service without prior permission of Govt. of India. The tenderer who have any near relatives in BSNL is not eligible for applying for the tender. If any information furnished by the tenderer in the Agreement submitted is found to be wrong/false/incorrect at later stage, the tender will be liable for rejection by the T.D.M, BSNL, UDHAMPUR without assigning any reason and the EMD/Security Deposit is liable to be forfeited.

GENERAL TERMS & CONDITIONS
1.
The contract means the documents forming the tender and acceptance there of and the format agreement executed between the TDM Udhampur (on behalf of the BSNL) and the contractor together worth the documents referred to therein including the conditions of contract, specifications, designs, drawings and instructions issued from time to time by the TDM Udhampur. All these documents taken together shall be deemed to form one contract and shall be complementary to one another. 2. a) The contractor shall mean the individual or firm or company undertaking the work and shall include legal personnel representatives or individuals or firm or company. b) Department means BSNL Udhampur Telecom District. 3. 3.1 3.2 SECURITY DEPOSIT: Earnest money of Rs.18, 750/- deposited at the time of submission of the tender will be converted into security deposit on the acceptance of the tender. A total sum of 10 % of the approved contract value (including EMD amount converted into security deposit) shall be deposited as security deposit by the approved tenderer to the A.O. (Cash) BSNL, O/o TDM UDHAMPUR in the form of Demand Draft from any scheduled bank. This amount will have to be deposited within 14 days from the date of intimation of the acceptance of the tender in writing. Earnest Money received with the tender will be adjusted against the security deposit. No interest will be payable on the earnest money or security deposit amount. The Department reserves the right to forfeit the Earnest Money and Security Deposit if the tenderer or the contractor, after acceptance of the tender fails to comply with any of the terms and conditions/specifications set herein or in any contract of Agreement which may be drawn up as consequence of acceptance of tender. In such case, the right to cancel the tender/contract is vested with the TDM Udhampur. REFUND OF SECURITY DEPOSIT: Security deposit shall be refundable after the successful completion of the warranty period, after observing usual departmental formalities. The contractor whose tender is accepted will have to execute an Agreement in the prescribed format with the Department as per Terms & Conditions of the tender before the award of work. The accepted tendered rates will be operative for a period of one-year period from the date of execution of agreement. No escalation will be allowed on account of any reason, whatsoever and can be extended for a further period of 6 months. The Department reserves the right to cancel the contract and forfeit the earnest money/ Security Deposit if the contractor fails to commence the work within the period specified, as per terms and conditions of the contract.

8. In the event of contractor failure to comply the order to the full satisfaction of the concerned field officer of the department, the security deposit of the contractor shall be forfeited and the contract is liable to be terminated. The contractor shall not sublet or transfer the contract to any other party without obtaining prior approval of the T.D.M, BSNL, UDHAMPUR. TERMINATION OF THE CONTRACT:The TDM BSNL UDHAMPUR may, without prejudice to any other right or remedy for breach of contract by written notice of default sent to the contractor, terminate this contract in whole or in parts. The work against the tender is for one year and the terms and conditions of this tender shall be operative for a period of one year from the date of signing of agreement between the B.S.N.L. and the contractor and can be extended for further 06 Months. B.S.N.Ls RIGHT TO VARY QUANTUM OF WORK: The B.S.N.L., at the time of award of work under the contract, reserves the right to decrease or increase the work by upto 50% of the total cost or quantum of work specified in the schedule of requirements without any change in the rates or other terms and conditions. ARBITRATION: In the event of any question, dispute or difference arising under the agreement or in connection therewith except as to matter the decision of which is specifically provided under this agreement, the same shall be referred to sole arbitration of the Chief General Manager BSNL (J&K Telecom Circle). The agreement to appoint an arbitrator will be in accordance with the Arbitration and Conciliation Act 1996. There will be no objection to any such appointment that the arbitrator is Government Servant or that he has to deal with the matter to which the agreement relates or that in the course of his duties as Government Servant he has expressed views on all or any of the matter under dispute. The award of the arbitrator shall be final and binding on the parties. The arbitrator may from time to time with the consent of parties enlarge the time for making and publishing the award. Subject to aforesaid Indian Arbitration and Conciliation Act 1996 and the Rules made there under, any modification thereof or the time being in force shall be deemed to apply to the arbitration proceeding under this clause. The venue of the arbitration proceeding shall be the office of the Chief General Manager BSNL, J&K Circle Udhampur or such other places as the arbitrator may decide. In case of any legal dispute, the jurisdiction shall be that of UDHAMPUR only.

16. FORCE MEJURE 16.1 If at any time, during the continuation of the contract, the performance in whole or in part by either party or obligations under this contract shall be prevented or delayed by reason of any war, or hostility, act of God provided notice of happenings of any such eventually

is given by the either party within 21 days from the date of occurrence thereof, neither party shall give reason of such event, be entitled to terminate this contract nor shall either party have any such claim for damages against the either in respect of such nonperformance. In such a event for a period exceeding 30 days, either party at his option terminate the contract. Provided also that if the contract is terminated under the clause, the purchaser shall be at liberty to take over from the contractor at a price to be fixed by the purchaser which shall be final, all unused, undamaged and acceptable material, and stores in the process of manufacturer in possession of the contractor at the time of such termination. In case of death of the contractor during the currency of the contract, the TDM Udhampur may at his option either immediately terminate the contract without compensation to the contractor or require the surviving partner, legal heir to complete the contract within the stipulated period. SET OFF Any sum of money due and payable to the contractor (including security deposit refundable to him) under his contract, appropriated, by the purchaser or the Govt. or any other person contracting through Govt. of India & set off the same against any claim of the purchaser or Govt. or such other person for a payment of a sum of money arising out of this contract made by the contractor with purchaser of Govt. or such other person or persons contracting through Govt. of India.

SPECIAL TERMS & CONDITIONS
SCOPE: Repairing of Power Plants and its Modules which shall include the repair of any card or components and its replacement from original make component wherever required. The contractor shall be fully responsible for fault free working of the system to the entire satisfaction of the BSNL authorities. POWER PLANT: The bidder has to attend faulty Power Plant & modules on Telephonic /fax call and shall carry out the repairs of modules within 10 days. The contractor is responsible for repair of any card or component and its replacement for proper maintenance and working of Power Plants unit without any extra charges during the contract. 1. 2. 3. All types/makes of Power Plant & Modules of 25A/50A/100A/200A capacity shall be covered under the contract for repairs. Only faulty serviceable Modules will be offered for repairs. The unserviceable Modules or broken Modules or Modules with missing of major components shall not be covered. Contractor will not declare more than 5% modules as irreparable, out of the modules taken over for repairs, otherwise Penalty @ Rs.2000/- Per Module of 25A/50A & @ Rs 4000/- per Modules of 100 A and above declared as irreparable, beyond permissible limit of 5%, will be recovered from contractors bill/ security or Contractor shall replace the Module Free of Cost. In case if the tenderer declares any module as beyond repairs and if the same has been got repaired ,by using the services of any outside agency, other than the manufacturer, the cost of such repairs shall be collected from the tenderer. This is in addition to the penalty payable as mentioned above. Normally, the contractor is not permitted to declare any module beyond repairs unless any physical, visible damage is observed in the PCBs (mother board) or the PCB (mother board) is found burnt or charred. The contractor shall attach certificate from concerned SDE regarding physically checking of RNP Modules declared by the contractor stating the reason of RNP. The Modules shall be repaired by the contractor either at BSNL premises or at its own Repair Center with proper receipt to In charge of Power Plant. Entries shall be made in the LOG BOOK maintained at Power Room. Modules will be given under proper receipt from competent field officer not below the rank of JTO/SDE. Modules will be repaired within 10 days from the date of offering of modules for repairs. Liquidated damage charges against any specific work order shall be recovered from the bills of the contractors for delay in repairs beyond the period specified in clause 6 above as detailed below:1) Rs. 400/- per day per module. 2) Maximum penalty of 5 days (Rs 2000/-). Per Module The Faulty Modules will be taken in hand by the contractor from the concerned SDO/In Charge of Power Plant.

The concerned SDEs will maintain register/history sheet showing module no., date of fault, date of repair, date of warranty etc. Necessary copy and certificate will be given while forwarding the bills to planning section. Contractor shall give minimum guarantee of six months for the repaired Modules from the date of repairs. Contractor will affix guarantee slip with Sl.No., Lot No. and date of repair on each repaired Module with his signatures . He shall carry out free repairs, if any, within the guarantee period. After repairs, the contractor shall handover the Repaired Modules to In charge of Power Plant under proper receipt. The In charge Power Plant shall further make necessary entries in the stock registers for the repaired SMPS Modules received from the contractor. The contractor will be responsible for any loss/damage caused to the modules during the period of his custody and cost of loss/damage will be recovered from the contractors bills. Decision of T.D.M UDHAMPUR shall be final and acceptable to the contractor. The rates quoted should be inclusive of all taxes, cost of spare parts, labour, transport charges etc. The contractor shall depute trained staff fully conversant with the repairs of MODULES OF 25A/50A/100A/200A OF SMPS TYPE POWER PLANTS. Frequent change of service personnel shall be avoided. No transportation or handling charges etc. shall be given to the contractor separately. Payment of Bill: 90% payment will be made within 30 days of submission of bills complete in all respect in r/o repaired MODULES OF 25A/50A/100A/200A OF SMPS TYPE POWER PLANTS duly checked and accepted by the DE/SDEs concerned. The bill should be accompanied by the proof of submission of service tax of previous month. All payments are subject to production of proper bills in duplicate (duly verified by SDE & DET concerned) by the contractor after observing usual BSNL procedure. Payment will be made by A.O (Cash), BSNL, O/o TDM Udhampur by A/c payee cheque only in the name of the contractor. Balance 10% shall be released after successful completion of the guarantee period of six months. The BSNL reserves the right to get the faulty MODULES OF 25A/50A/100A/200A Of SMPS TYPE POWER PLANTS repaired by its own maintenance staff and contractor shall have no objection to such repairs and shall not place any claim with the BSNL on this account. FORFEITURE OF PERFORMANCE SECURITY DEPOSIT: The same may be forfeited if the successful tenderer fail to 1. Comply with any of the terms and conditions of the tenderer or contract or 2. Complete the works within time period or manner 3. Rectify the defects promptly in maintenance period. If the contractor refuses to accept the work order for execution of any specified work, the department reserves the right to get the work done by other agencies even with the higher rate and difference of the cost will be deducted from the contractor pending bill/ security deposit.

18. The contractor or his labour will not claim any appointment temporary or permanent in BSNL whatsoever. The contractor will comply all the labour laws, statutory laws and provisions as applicable from time to time. The TDM Udhampur reserves the right to suspend any schedule item/items temporarily or permanently. TDM Udhampur shall have powers to make any alterations, modifications, additions to or any substitution for the original specification and instructions that may appear to him be necessary during the progress of work and the contractor shall carry out the work in accordance with any instructions which may be given to him in writing signed by the TDM Udhampur or any subordinate officer and such alternation, modifications, addition or substitution, shall not invalidate the contract. Any altered, additional or substituted work, which the contractor may be directed to do in the manner specified above as part of the work, shall be carried out by him on the same condition in all respect in which he agreed to do the main work. TDM Udhampur also reserves the right to divert any contractor anywhere throughout the SSA where found necessary at existing approved rates. The offer when accepted will constitute a binding contract upon the tenderer to supply the goods/services on demand or within the period prescribed by this office or its subordinate units in the written orders placed in this regard. No extra charges such as Octroi and Transportation etc will be paid to the contractor. The material/spare parts to be replaced should be of the specification already working in the power plant. The material of any other specification will not be accepted. The material/spare parts that are found to be of inferior quality or not being according to the specifications will be rejected at the cost of supplier. All the items/spares purchased for replacement will be shown to concerned SDEs before carrying out the work. Components damaged by the contractor or his worker due to negligence or mishandling or due to unskilled working will have to be replaced by the contractor free of cost. The accepted rates will be operative for one year from the date of agreement. The TDM Udhampur may extend or reduce the period if necessary as per administrative convenience. The jurisdiction of the civil court shall be at the Head Quarter of the TDM Udhampur. The department reserves the right to carry out the work in part or in full departmentally or through any other contractor. The department also reserves the right to appoint one or more contractors for this job. JOB DESCRIPTION: The tenderer should familiarize himself fully with the job before quoting the rates. The material used by the contractor should be of standard make as per latest specification. The components found to be of inferior quality and not being according to the specification will be rejected at the cost of contractor.

(iii) The contractor shall repair all types of Modules/at their premises/repair center/site as per mutual convenience. The modules are to be collected and delivered back after repair, at the concerned exchange at the contractor own cost. The contractor shall make available readily one trained Technician at the workshop from where he can be deputed at any time anywhere within Udhampur Telecom District to attend the fault of power plant. He will weekly report to the respective SDEs for receiving instruction for attending any fault reported and general check and will keep him informed about the progress of attending the faults. He will also ensure general cleanliness of power plant modules. All the works are to be carried out as per company specification and to entire satisfaction of DET/SDOT/SDE in-charge of the unit. The contractor shall have to arrange all tools etc. required during maintenance/service. No such material shall be supplied by BSNL Udhampur. No skilled/Unskilled Staff shall be provided to the contractor for carrying out the maintenance/servicing. The contractor shall be responsible for payment of carriage charges of modules from the exchange to their workshop and back to the exchange. The contractor would comply with all the provisions of various labour laws in force from time to time.

AGREEMENT FOR REPAIR OF POWER PLANT MODULES An Agreement made on this . Day of . (in words) between .. Hereinafter called the contractor (which expression shall unless excluded by or repugnant to the context include its successors, Heir, executors, administrative representative and assignee of the one part and the BHARAT SANCHAR NIGAM LTD. (hereinafter referred to as the BSNL) of the other part. Whereas the contractor has offered to enter into a contract with the said BSNL for attending the faults in SMPS power plant modules of different make in Udhampur SSA on the terms and conditions herein contained and whereas the contractor has deposited . as a part of Performance security Deposit in the shape of . Now these present witnesses and it is hereby agreed and declared and between the parties to these presents as follows: 1.0) The contractor shall, during the period of this contract that is to say from ..to or completion of work for approved tender cost .Rupees (in word) Whichever is earlier or until this contact shall be determined by such notice as is herein after mentioned, safely carryout, by means of labours, employed at his own expenses and by means of tolls, implements and equipment etc. to be supplied by him to his labour at his own expenses, Repair of Power plant modules and other associated works as described in tender documents (annexed to the agreement), when The TDM UDHAMPUR or any other persons authorized by The TDM UDHAMPUR in that behalf require. It is understood by the contractor that the quantity of work mentioned on the schedule is likely to change as per actual requirements as demanded by exigencies of service. 1.1) The NIT (notice inviting tender), Bid documents (Qualifying and Financial), letter of intent, approved rates, annexed hereto and such other additional particulars, instructions, work orders as may be found requisite to be given during execution of the work shall be deemed and taken to be an integral part of the contract and shall also be deemed to be included in the expression The Agreement or The Contract wherever herein used. The contract can be extended further for period of 6 months and 50 % of the contract value, if required by TDM UDR. 1.2) The contractor shall also supply the requisite number of workmen with men & materials as well as tools, appliances, machine, implements, vehicles for transportation, carriage etc required for the proper execution of work within the time prescribed in the work orders. 1.3.) The contractor shall promptly repair the modules preferred to above whenever called as on by the BSNL or by any authorized person nominated by BSNL. The time allowed for completing the work as entered in the tender shall strictly be adhered by the contractor and timely repair work should be deemed to be enhancing of the contract on the part of the contractor. If the contractor fails to complete the work as given in the tender within the time specified penalty or recovery shall be imposed as per the terms and conditions of the agreement. 2.0 A penalty will be recovered as per clause 7 of Annexure V of tender document for the work included in the work order shall be imposed for slow progress or improper work delaying the work for every week that the due quantity of work remains incomplete. 2.1 If the work remains incomplete even after the maximum penalty has been imposed action is liable to be taken including forfeiture of performance security. 2.2 If the contractor shall desire an extension of time for completion of work on the ground of his having been unavoidable hindered in its execution or any other ground he shall apply in writing to the concerned Divisional Engineer within 10 days from the day of such hindrance on account of which he desired such extension as aforesaid and the Divisional Engineer shall in his opinion where exists reasonable ground may recommend to TDM Udhampur such extension of time period. TDM Udhampur may or may not grant such extension of time, if any

as may be deemed necessary or proper by him. Decision of TDM Udhampur shall be final and binding on the contractor. The Contractor shall execute all the items of work mentioned in the order for each work in the most efficient and workman like manner both as regards materials and otherwise in every respect in strict accordance with the instructions given to him from time to time by the officers authorized or any other officer in charge supervising the works.4 All work under or in course of execution or executed in pursuance of the contract shall at all time be open to acceptance testing and supervision of any of the said officers. The work done by the contractor shall not be covered up before acceptance and approval and measurement by such officer/officers aforesaid. The contractor shall abide by the rules, terms and conditions and specifications laid down in the instruction & Guidelines to Tenders, Conditions of contract and construction specification etc. annexed to this agreement and such other rules and regulations as may be framed from time to time by the TDM Udhampur or his nominees. The contract shall not charge any extra amount for traveling or transport expenses, overtime allowance and charges for materials used by him and will not be entitled to get compensation for any damage or losses in the course of execution of work or for any extra payment i.e. charges for transport of materials and charges for labour that he will employ at his own cost nor for idle labour and transport nor or loss or deterioration of materials. The contractor will be solely responsible for any damage caused due to or during supply and installation of the article supplied by the contractor and decision of TDM Udhampur will be final and binding. The contractors heirs or legal representatives shall with the consent in writing of the Telecom District Manager Udhampur have the right to continue to perform the duties or engagements of the contractor under the contract in case of his death. In the event of the contract with such consent as aforesaid transferring his business and in the event of the contractor being a company and being wound up at any time during period of this contract for the purpose and with the object of transferring the business to any person/persons of a company, the Contractor shall make it one of the terms and stipulation for the contract for transfer of property & business to such other person or persons or company shall be bound to the Divisional Engineer In charge to perform duties of engagements of the contractors under his contract and be subject to his liabilities there under. The contractor hereby declares that nobody connected with or in employment of Bharat Sanchar Nigam Ltd shall not ever be admitted as a partner in the contract. In every case in which by virtue of the provisions of workman compensation act the BSNL is obliged to pay compensation to a workman employed by the contractor in execution of work the BSNL of India will be entitled to recover from the contractor the amount of compensation paid. The BSNL shall not be bound to content any claim against it under the act except on the written request of the contractor and upon his giving to BSNL full security for all costs for which the BSNL might become liable in consequence to contesting such claim. The contractor shall indemnify the BSNL against all other damage, costs, charges and expenses for which the BSNL may be held liable or incur or pay an amount of the negligence of the contractor or his servants of any of them and any person under his control whether in respect of injury the person or damages to the property or any member of the public or any other concerns or in executing the work of otherwise and against all claims and demands in respect thereof. The said performance security deposited by the contractor shall be retained by the BSNL as performance security for the due and faithful performance by the contractor of each and all covenants herein contained and on his part to be observed or performed with full power to the said TDM Udhampur or DE I/C for and on behalf of the BSNL in case the contractor shall fail to perform satisfactory, fulfill, keep and observe all or any of the covenants, conditions or agreements on his part herein contained them unless the same is forfeited to retain the whole or any part of the same and to appropriate the same or any part thereof to use of

BSNL, absolutely as and by way of liquidated damages or penalty and that without reference to the relative importance of the particular breach or breaches of contract which shall have given occasion for such appropriation and whether BSNL may have sustained ascertainable pecuniary damages by such breach or breaches as aforesaid or not. In case of such appropriation or retention of whole or part of said security the contractor shall forthwith deposit further security for full security for full amount or any amount sufficient to make up the deficit as the case may be. The said security or as such thereof as may not have been appropriated to the use of BSNL will be repaid or returned to the contractor after the completion of the contract and submission of NO DUES Certificate by the concerned SDE and DE In charge. The BSNL will pay to the contractor for the work the contractor is called upon by the BSNL or any of his authorized officers which is satisfactory completed by the contractor at the rates mentioned in the schedule. For this purpose the contractor should submit to the Divisional Engineer Telecom of the concerned area his bill for the work covered by that work order that have been satisfactorily completed by him. The bill will become payable usually within a month or so of the date of its submission. The bill will be submitted in triplicate, all copies being signed by the contractor. The two copies may be marked Original and Duplicate respectively. The work order will be submitted along with the bill. To rescind contract forthwith and in be such case the performance Security Deposit of the contractor shall forfeit to the BSNL. To measure up the work of the contractor and to take such part thereof as shall be unexecuted out of his hand give it to another contractor to complete and in case of defects discovered subsequently to have the defects repaired and removed by another contractor or get the work completed departmentally. In both case any expenses which may be incurred in excess of the amount which could have been paid to the contractor if the whole had been properly executed by him (of amount of such excess the certificate in writing of any of officers mentioned in clause (1) hereof shall be final and conclusive) shall be borne and paid by the contractor and may be deducted from any money due to him by the BSNL under this contractor or otherwise, or from the security deposits or sufficient part thereof or otherwise recovered from him in both cases if the expenses incurred by the Department are less than the amount payable to the contractor at his agreement rates, the difference should not be paid to the contractor. BSNL shall also be entitled to terminate this contract without assigning any reasons by giving to the contractor one calendar months notices of its intention to do so and on the expiry of the said period of notice the contract shall come to an end without prejudice to any right or remedy that may be accrued to either party by reason of any antecedent breach of any terms thereof. Such notice may be signed on behalf of BSNL. In the event of any of the courses mentioned clause (16) or (17) Annexure IV being adopted by the contractor shall have no claim for compensation for any loss sustained by him reasons of his having purchases or procured any materials or entered into any engagements or made any advance on account of or with a view to the execution of the work or the performance thereof. In the event of any of the said officers exercising the powers mentioned in clause 16 & 17 of Section V he may, if he so desires take possession of all or any of the tools, plant materials and stores in or upon the work or the site thereof belonging to the contractor or procured by him and intended to be used for execution of the work of any part thereof paying on allowing for the same any amount at contract rate or in case of this not been applicable at current market rate to be satisfied by any of the said officers who certificates thereof shall be final. Any of the said officers may in the alternative request the contractor or his agent and servants or remove such tools plants, materials or store within a time. If the contractor shall die before the expiry of this contract the BSNL or any of the officers authorized may at his option either immediately determine this contract

or require the heirs or local representative of the contractor of carry out the same for such period not exceeding three calendar month as BSNL and the said officer may require. 21.0 Any notice required to be given under these presents may be given either personally to the contractor under acknowledgement or by posting letter addressed to the contractor at the side address and shall be deemed to be served at the time of such delivery or at the time of leaving the same with the contractor or in the case of posting at the time when the letter would have reached the contractor in the ordinary course of post. 22.0 The Telecom District Manager, Udhampur shall be at liberty by notice in writing to the contractor to rescind the contract in any and every of the following cases (stated in sub para 22.1 to 22.10) and the contractor shall thereupon pay to the TDM Udhampur in addition to any sum or sums of money which the contractor may be liable to pay under the provisions herein before stated such as the TDM Udhampur may decide to be reasonable compensation for the loss or inconvenience caused. The amount of the sum for such reason on the part of the contractor will be fixed by the TDM Udhampur and shall be final and conclusive against the contractor. 22.1 If any fraud, or fraudulent motive is detected in the contractor action with the Department and/or. 22.2. If the contractor demands under charges not stipulated in the contract and/or. 22.3 If any person connected with the BSNL, or any official drawing salary from the BSNL becomes in any way interested in this contract and/or. 22.4 If the contractor himself or any of his servants be guilty or fraud or attempted fraud in connection with the contract officers any bribe or gratuity to any person connected with the BSNL or to any official drawing salary from the BSNL, and/or. 22.5 Contractor will not employ any outside agent or sublets the contract or any right to payment there under without the consent in writing from TDM Udhampur. 22.6 If in the event of any deduction being made from the contractors security deposit the contractor fails to make good the amount of such deduction within the time herein before specified and /or 22.7 If the contractor becomes insolvent or applies for relief as insolvent debtor and/or in case the contractor is a company and it is wound up or in case the contractor in a partnership firm when it is dissolved or reconstituted and/or. 22.8 If the contractor makes default in or fails to comply with any of the terms and conditions set forth in this contractor and/or, 22.9 If the contractors work is found unsatisfactory in the opinion of the Telecom District Manager. 22.10 All disputes, differences and question arising out of or incidental to this agreement or in any way touching or concerning this agreement or the subject matter thereof or the respective rights, duties or liabilities or the parties under or in aspect of this agreement (except provided for) shall be referred to the sole arbitration of Chief General Manger Telecom, or any person nominated by him or in case his designation is changed or his office who for the time being is entrusted whether or not in addition to other function with the function of Chief General Manger Telecom J&K circle by whatsoever designation such officers may be called there in after referred to as The said officer. There shall be no objection to any such appointment that the person appointed is a BSNL servant, if however he will not be one who had an opportunity to deal with the matter to which this agreement relates or that in the course of his duties as such BSNL servant he has expressed view on all or any of the matter in dispute or difference. The arbitrator, while acting as such arbitrator shall not be bound to take any oral or documentary evidence and shall be a liberty to take such evidence as he may in his absolute discretion think proper and that he will be at liberty to proceed with the matter and here parties in the absence of any of some of them or their legal and/or technical advisors without being liable for misconduct within the meaning of the provisions of section 30 of the Indian Arbitration Act in this behalf. In the event of such arbitrator to whom the matter is originally referred being transferred to vacating his office or being any reasons, the said officer shall

appoint another person to act as arbitrator in accordance with the terms of the agreement, such persons shall be entitled to proceed with the reference from stage at which it was left by his predecessors. Note: 1. Income tax at prescribed rate will be deducted from bill at source. 2. Rates are inclusive of all the taxes levied by State/Central Govt. 3. The Bidder having lowest quoted rate will be L-1 Lowest bidder will be arrived at by using weighted formula among Sl no: 1 to Sl.no: 4. Evaluation: The bidder has to quote rates separately for all capacities of modules. The L1 bidder will be decided by summing up all rates arrived at by multiplying the unit rate quoted for each item with the quantity .Eg: If the rates quoted for each item are a1, b1, c1, d1and e1 and if the quantities are A1, B1, C1, D1 and E1, then the L1 bidder will be finalized by taking the amount arrived at i.e. a1A1+b1B1+c1C1+d1D1. And the L1 bidder has to accept the lowest rate of among the participated bidders whose financial bid was opened for Sl.no: 5.
