OPEN PUBLIC MEETING STATEMENT: This meeting is being held in conformity to the Open Public Meetings Act N.J.S.A. 10:4-6 et. seq. Proper public notice of the meeting was published in the local papers on June 22 and June 23, 2013. If any Board member or member of the public in attendance believes that the meeting is in violation of the Open Public Meetings Act, the Hoboken Board of Education requests that they make a statement at this time. The Board wishes to make those in attendance aware that this meeting is being recorded on video and will be broadcast by the Board at a later date on CATV Channel 77 and Fios Channel 46. RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves a Sidebar Agreement between The Hoboken Board of Education and The Hoboken Education Association concerning the Athletic Trainer. The Athletic Trainer will work from August 15, 2013 through June 15, 2014. As a certified staff member the Athletic Trainer is entitled to representation by the Association and has been placed on the appropriate step of the salary guide set forth in the Agreement. He must work a minimum of 1,248.75 hours during the time period. If the Athletic Trainer exceeds 1,248.75 hours, he shall be entitled to compensation at the rate of $34.00 per hour.

WHEREAS, The Forum School is a non-profit approved private school for Students with disabilities; and WHEREAS, the Board of Education of the School District of Hoboken (the District) has contracted to send to The Forum School certain students with disabilities who reside in the District; and WHEREAS, The Forum School does not charge any of its students for meals;

NOW, THEREFORE, it is hereby RESOLVED, that the Board of Education of the District does not require the Forum School to charge students for reduced and/or paid meals in accordance with the income eligibility criteria established by the Child Nutrition Program as administered by the New Jersey Department of Agriculture; and it is FURTHER RESOLVED, that the Board of Education of the District understands and acknowledges that the foregoing actions do not increase the contracted tuition rate for students with disabilities sent by the District to The Forum School.
RESOLUTION NO. FI-0012-12-13 SUBJECT: APPROVAL OF FOOD SERVICES MANAGEMENT COMPANY CONTRACT RENEWAL
RESOLVED, that the Hoboken Board of Education hereby renews the school food service contract with Sodexo Management, Inc., Weatogue, Connecticut for the 2013-2014 school year; and BE IT FURTHER RESOLVED that the fees for the said contract include a flat management fee of $12,761.11 per month based on conditions and assumptions stipulated in the proposed contract on file in office of the School Business Administrator/Board Secretary remaining in effect; and BE IT FURTHER RESOLVED that Sodexo Management, Inc. guarantees a breakeven bottom line of the operational financial report for the 2013-2014 school year, with no subsidy to the bottom line by the LEA. In the event that the costs of operating the Food Service Program exceed total revenues (from all sources), Sodexo Management, Inc. will be responsible for any losses (shortfalls) incurred but in no event shall the reimbursement obligation exceed the amount of Sodexo Management, Inc.s Management Fee, ($127,611.10) with said guaranteed breakeven based on the conditions and assumptions remaining in effect for the school year in accordance with the proposed contract on file in office of the School Business Administrator/Board Secretary. The fees shall consist of general support services and management fee. General Support Services Allowance General Support Services Allowance equal to Seventy Thousand Six Hundred Forty-Two and 14/100 Dollars ($70,642.14) for the 2013-2014 contract year, payable in ten equal installments of Seven Thousand Sixty-Four and 21/100 Dollars ($7,064.21), September through June, computed at the end of each Accounting Period and prorated for any partial Accounting Period. Partial Accounting Period shall be defined as a period of time less than one (1) month. Management Fee District shall pay Sodexo a Management Fee in an amount equal to Fifty Six Thousand Nine Hundred Sixty-Nine and 04/100 Dollars ($56,969.04) per year, payable in ten equal installments of Five Thousand Six Hundred Ninety-Six and 90/100 Dollars ($5,696.90), September through June for the 2013-2014 contract year. RESOLVED, that the Hoboken Board of Education ratifies the declaration of an emergency by the Interim Business Administrator due to structural issues with the facade of the Brandt School effecting the health and safety of the Hoboken community, in accordance with the N.J.S.A. 18A:18A-7, and BE IT FURTHER RESOLVED, that the Board approves the continuation of an emergency contract with T&M Contracting Company Inc. of Hoboken, New Jersey in an additional estimated of $14,850, pending SDA project approval, from July 2013 through September 2013, to include the continued emergency installation of the protective sidewalk bridge (erecting, dismantling, lights, rental of materials) and the determination of the extent of the problem in concert with the architect to determine the specifications for repair (includes the cost of the equipment to complete the site analysis); and BE IT FURTHER RESOLVED that the Interim Board Secretary be authorized to submit the declaration of this continued emergency to the Executive County Superintendent. RESOLUTION NO. FI-0015-12-13 SUBJECT: APPROVAL TO AMEND NJSBAIG BYLAWS
WHEREAS, The New Jersey School Boards Association Insurance Group (NJSBAIG) Board of Trustees approved proposed amendments to its Bylaws at a public meeting on March 20, 2013 in accordance with Article IX(C) of the current NJSBAIG Bylaws; and WHEREAS, the current NJSBAIG Bylaws require for the proposed amendments to be approved by member school districts; and WHEREAS, seventy-five percent (3/4) of the member school districts must approve the proposed amendments within one hundred eighty (180) days of the hearing on the amendments: NOW THEREFORE, BE IT RESOLVED that at a regular meeting of the Hoboken Board of Education held on the 25th day of June 2013, the Board does hereby approve the proposed amendments to the NJSBAIG Bylaws.

AND WHEREAS, at the April 16, 2013 Public Meeting, the Board appointed Edward J. Appleton Interim Business Administrator/Board Secretary, making him a required signatory, replacing former Interim Business Administrator/Board Secretary, H. Ronald Smith, AND WHEREAS, at the June 25, 2013 Public Meeting, the Board appointed William Moffitt Business Administrator/Board Secretary, making him a required signatory, replacing former Interim Business Administrator/Board Secretary, Edward J. Appleton, NOW, The Hoboken Board of Education (the Board) resolves that: 1. TD Bank, N.A. (the Bank) is designated as a depository for the funds of the Board and to provide other financial accommodations indicated in this resolution. 2. This resolution shall continue to have effect until express written notice of its rescission or modification has been received and recorded by the Bank. Any and all prior resolutions adopted by the President and Members of the Board and certified to the Bank as governing the operation of this Boards account(s) are in full force and effect, until the Bank received and acknowledges an express written notice of its revocation, modification or replacement. Any revocation, modification or replacement of a resolution must be accompanied by documentation, satisfactory to the Bank, establishing the authority for the changes. 3. The signatures of the Board Secretary and School Business Administrator on this resolution are conclusive evidence of their authority to act on behalf of the Government Unit. The Board Secretary or School Business Administrator, so long as he/she acts in a representative capacity as agent of the Board, is authorized to make any and all other contracts, agreements, stipulations and orders which they may deem advisable for the effective exercise of the powers indicated on page one, from time to time with the Bank, subject to any restrictions on this resolution or otherwise agreed to in writing. Board approval, via a duly adopted resolution, is required for all matters so promulgated by State statute or regulations, or as designated by Board policy or regulations. 4. All transactions, if any, with respect to any deposits, withdrawals, rediscounts and borrowings by or on behalf of the Board with the Bank prior to the adoption of this resolution are hereby ratified, approved and confirmed. 5. The Board agrees to the terms and conditions of any account agreement, properly opened by the Board Secretary. The Board authorizes the Bank, at any time, to charge the Governmental Unit for all checks, drafts, or other orders, for the payment of money, that are drawn on the Bank, so long as they contain the required signature for this purpose. 6. Except as prohibited by State statute or regulation, or by Board policy or regulations, the Board acknowledges and agrees that the Bank may furnish at its discretion automated access devices to Agents of the Board to facilitate those powers authorized by this resolution or other resolutions in effect at the time of issuance. The term automated access device includes, but is not limited to, credit cards, automated teller machines (ATM), and debit cards. 7. The Board acknowledges and agrees that the Bank may rely on alternative signature and verification codes issued to or obtained from the Agents named on this resolution. The term alternative signature and verification codes includes, but is not limited to, facsimile signatures

on file with the Bank, personal identification numbers (PIN), and digital signatures. If a facsimile signature specimen has been provided on this resolution (or that are filed separately by the Board with the Bank from time to time), the Bank is authorized to treat the facsimile signature as the signature of the Agent(s) regardless of by whom or by what means the facsimile signature may have been affixed so long as it resembles the facsimile signature specimen on file. The Board authorizes each Agent to have custody of the Boards private key used to create a digital signature and to request issuance of a certificate listing the corresponding public key. The Bank shall have no responsibility or liability for unauthorized use of alternative signature and verification codes unless otherwise agreed in writing. FI-0018-12-13 SUBJECT: DESIGNATION OF QPA FOR HOBOKEN BOARD OF EDUCATION RESOLVED, that William Moffitt, Business Administrator/Board Secretary is appointed and authorized as a Qualified Purchasing Agent to award contracts under the NJ Public Bidding Thresholds under the LPCL and Public School Contracts Law at N.J.S.A.40A:11-3(a) and (c); 18A:18A-3(a) and (c), the Bid Threshold with a QPA is hereby set at $36,000 and Quote Threshold with a QPA is set at $5,400.
RESOLUTION NO. FI-0019-12-13 SUBJECT: DESIGNATION OF PUBLIC AGENCY COMPLIANCE OFFICER FOR THE HOBOKEN BOARD OF EDUCATION RESOLVED, In accordance with N.J. A.C. 17:27-3.2, William Moffitt, Business Administrator/Purchasing Agent is appointed as the Public Agency Compliance Office (PACO) for the Hoboken Board of Education. The Public Agency Compliance Officer is the liaison between the Hoboken Board of Education and the State of New Jersey Department of the Treasury, Division of Contract Compliance Equal Employment Opportunity in Public Contracts. The Public Agency

Compliance Officer in responsible for administering contracting procedures pertaining to equal employment opportunity regarding the Hoboken Board of Education and the appropriate contract vendors. The major responsibilities of the Public Agency Compliance Officer are to obtain and keep a current file of the required Affirmative Action Evidence from contracted vendors who do business with the Board; Include the mandatory Affirmative Action language in all advertisements for bids and all solicitation of proposals; and Include the appropriate mandatory Affirmative Action Language in all bid specifications and all Board contracts. William Moffitt will assume the responsibilities at no extra compensation. The effective date of this resolution is through the term of the Business Administrator.

WHEREAS the Governor of the State of New Jersey has announced the availability of $425 million for needed school construction projects in regular operating school districts across the State; and WHEREAS documentation has been submitted by the Hoboken School District identifying facility needs in the way of health and safety issues, structural concerns, and other critical areas; and WHEREAS the Hoboken Board of Education strongly believes that the utilization of a holistic approach in addressing these needs would prove to be more expeditious and cost effective; NOW, THEREFORE BE IT RESOLVED that the Hoboken Board of Education petitions the New Jersey School Development Authority to assist in the development/implementation of a comprehensive school facility plan for the Hoboken School District; and
