The price quoted is on Ex-Works Satara and is exclusive of Packing. GENERAL TERMS AND CONDITIONS

VALIDITY
The Sellers offer made through the quotation shall be valid for a period of 30 days only from the date of offer unless otherwise stated.

TAXES AND DUTIES TRANSPORTATION

Taxes, duties and other levies as applicable to any material quoted will be charged extra as per the rates applicable on the date of dispatch. The Seller shall arrange for transportation of the material ordered by Road on and freight to pay basis. Service Tax and Education Cess on such freight, if applicable, shall be extra to the Buyers account. Unless otherwise agreed, insurance on the material ordered shall be affected by the Buyer from the time they leave the Sellers works until the delivery thereof to the Buyer. The Buyer shall be entitled to inspect the material at reasonable times before dispatch with prior notification of not less than 7 days. If the Buyer is not present on the notified date, the material shall be dispatched with the inspection deemed to be carried out. Unless otherwise agreed, all deliveries of the material shall be ex-Sellers works at Pune/Satara/Thane. The time of delivery of the Equipment and/or for the execution and completion of services shall start to run from the date of receipt of your order complete in all respects and settlement of all technical and commercial details. The Seller shall be entitled to claim inventory carrying cost upto 1,5% per month commencing 15 days after the scheduled delivery date if the Buyer is unable or unwilling to accept delivery of the materials. The risk and title in the material shall pass to the Buyer upon delivery to the Buyer or to the carrier provided however that the Seller shall have a lien on the Equipment not paid for by the Buyer notwithstanding the passing of title to the Buyer. Warranty, if any, applicable on the material shall be for a period of 12 months from the date of dispatch. Defect, if any, should be notified promptly within 15 days of appearance thereof. Warranty shall be only against manufacturing defects and shall not cover any damage caused to the material by ordinary wear and tear and/or unintended use, misuse, abuse or improper storage, maintenance or operation. The warranty shall also not cover consumables such as gaskets, rubber seals etc. and electricals.

EXCHANGE RATE VARIATION Imported materials are on current rate of exchange. Any loss on this account to the Seller shall be to the Buyers account. TERMINATION The Buyer shall not be entitled to terminate this contract except under a breach of contract by the Seller and prior notification of not less than 30 days thereof has been given by the Buyer and not remedied by the Seller. In case of termination for convenience by the Buyer, the Buyer shall be liable to pay to the Seller upto 30% of the order value or as may be determined by the Seller. Neither Party can claim any compensation from the other Party on account of Force Majeure Event. Force majeure shall comprise of any circumstances caused beyond the control of either parties. Buyer shall be entitled to claim liquidated damages not exceeding 5% of the contract price in the event of delayed delivery beyond 30 days from the date of scheduled delivery of the material for reasons solely attributable to the Seller. In the event of the Seller being delayed in the performance of its obligations for reasons attributable to the Buyer, there shall be no claim for liquidated damages.

FORCE MAJEURE LIABILITY FOR DELAY

LIMITATION OF LIABILITY Other than the liquidated damages as above, the Seller shall not be liable for any indirect, special, consequential or incidental damages including but not limited to loss of production, profit, use or for any other claim for damages. The Sellers total liability shall be restricted to the liquidated damages as above. DISPUTE RESOLUTION Any dispute or difference arising under this contract between the parties and not resolved by negotiation may be referred to Arbitration under the provisions of Arbitration and Conciliation Act, 1996 or any re-enactment or statutory modification thereof for the time being in force. The award of the Arbitrator/s shall be binding on both the parties. The venue of such arbitration proceedings shall be at Pune. The Courts at Pune shall have the exclusive jurisdiction for the enforcement of the rights of one party against the other under this agreement.
