Date: 28th January 2013 To: Founder and Head of Heropreneurs Management Team

Cced: To the board of Heropreneurs. From: Nick Cowan. Business Development Manager of Heropreneurs RE: Internal Management Change.

Richard, over the last few months it has become an increasing concern to me that there are elements of my employment status within Heropreneurs which remain unclear and unresolved. These concerns cover a number of areas, primarily regarding my employment status and pay. As you are aware, I have since September, continued to work in the role of a Business Development Manager. Managing the administrative functions of the Charity such as banking, co-ordinating meetings to promote the work of the charity and connecting the charity to a number of individuals and organisations that have provided services such as web development. I was always under the impression that the organisation (Heropreneurs) would utilise the funding from The Poppy Factory charity to supplement my salary between Sept 2011 and Sept 2012, in accordance with our discussions i.e. The Poppy Factorys funding would be added to by Heropreneurs to provide a salary in the region of 25000 per annum. Beyond my period of funded employment my salary would be entirely paid for by Heropreneurs and I would remain an employee. However this has not been the case, other than my expenses being paid I have never received any salary contribution from Heropreneurs, indeed since October 2012 I have received no salary at all for the work I have done and when I have raised this issue it appears to have fallen on deaf ears and any further discussions have been deferred to a time and place never committed to. In addition despite repeated requests I have never received a contract of employment from Heropreneurs. It is with regret therefore that I consider my position within the organisation no longer tenable and submit to you my resignation with immediate effect. It saddens me that it has come to this point and feel that my services have been used with little consideration given to me or my circumstances. I am in the process of removing my details from all financial mandates with the Bank and have asked them to forward any financial information and accounting procedures to yourself at the organisations registered offices, in addition I am removing any

personnel connection to Heropreneurs from online sources such as LinkedIn and I have also removed my personal details from the website. I will be removing my printer from the office and any of my other personal belongings. I wish Heropreneurs all the best for the future and hope that the organisation can fulfil its aims and objectives.

With deep regret

Nick Cowan
