Pre IPO

Assisting companies raise pre-IPO capital, maximize valuation, investor appeal, diligence and underwriter readiness. Strong underwriting relationships with leading investment banks.
Cross Border
Cross border business and finance strategies: an area of special interest and expertise. Joint ventures, M&A, public listings, distribution, and production. Regions of Interest: US, Europe, China, Latin America. The firms decade-long Asian focus has been on Greater China, which continues to post the highest economic growth rates in modern history. WCMs China affiliates and network includes key government agencies, financial institutions, and corporate leaders. WCMs China projects and clients include, among others: Chinadotcom, China Unicom, First China Auto, PetroChina, CAOSCO, and several OTCBB listing companies. Investments
WCM manages and advises a portfolio of companies with asset of over USD $5B. WCM seeks and invests in high growth businesses that feature strong management teams, high barriers to entry, exceptional profit growth, and clear exit opportunities via U.S. listing or industry sale. Through its role as an investor, WCM participates in private equity industry events and maintains extensive relationships with both international and other domestic private equity funds. WCMs investments are typically intended to fund emerging growth companies, public listing preparation costs, and strategies focused on enhancing valuations.
Fee Services
A fee proposal is typically generated after WCM and the client company have a mutual understanding of the corporate objectives and the key needs to meet those objectives. Compensation, in the form of cash fees and equity participation, is based on the duration and difficulty of the project, as well as the size of the project team. Most of the firms revenues and profits come from the firms equity stake - thus WCM and the principals share the same interests. Most engagements can be terminated at any time - providing a satisfaction guarantee at all times.
Seller Representation
The sale of the business is a complex, dynamic process. At Global Capital Markets, we guide sellers through every step of the maze, from the start to closing the deal. We initially evaluate your business to determine which alternatives will deliver maximum value. When you elect to sell, we will work with you to manage the project from confidential marketing through final negotiations. World Capital Market implements a proven process to provide the most effective means to maximize value, a process not easily accomplished.
Equity Partnering
For those clients who do not wish to sell, World Capital Market can arrange a strategic equity partnership. It's a rare opportunity to enjoy the best of both worlds - allowing the business owner to achieve liquidity, yet still control the operation. And best of all, as the company grows and value is enhanced, the original shareholder gets a second bite at the apple. For the partner, it's an opportunity to invest side-by-side with quality management and enjoy the benefit of significant capital appreciation. With sensitivity toward both chemistry and capital issues, Global Capital Markets develops partnerships that are enduring and profitable. Identifying and concluding a transaction with the right partner is of paramount importance. The benefits derived from a synergistic relationship are apparent and serve to create that incremental value when a downstream transaction is facilitated in the future.
Financial Restructuring
Markets change, economic cycles change and financial projections are not always achieved. These are some of the many reasons why companies sometimes cannot meet financial obligations as scheduled. As a result, creditors can make demands that jeopardize a company's future. With substantial experience, World Capital Market can assist creditors, debtors and equity holders in the following areas: Renegotiate existing debt and loan agreements Raise additional debt or equity Divest corporate assets Arrange mergers Negotiate workout plans with creditors Implement incremental cash generation programs
Building Wealth
Building your wealth requires creative answers to some pretty tough questions. Mergers & Acquisitions How will I know the best time to sell my business for maximum value? In the global marketplace, how can I find the best buyer for my company? How can I sell part of my business and still maintain control while building future value? How do I identify and accurately evaluate acquisition opportunities? Financing Am I foregoing business opportunities due to a lack of capital? Does my present loan structure optimize funds availability at a satisfactory cost? Are there alternatives to my capital structure that will drive the business without increasing my personal exposure? Is there a way to profitably do business overseas without inordinate risk? Strategy Consulting What essential improvements will yield a substantial increase in market value? How do I retain key employees? When and what do I tell employees, customers and suppliers about a contemplated sale? World Capital Market has the answers to these and other important questions.
Client Success
WCMs clients have completed over $1 billion in fund raising and financial transactions and our team has done $5B transactions of financing. Support with corporate strategies that maximize valuation and investor appeal. Sponsorship and on-going consulting on a long term basis. WCMs success is directly tied to the success of its clients.
