document and a detailed job description, we will begin sourcing CV’s, short-listing candidates
or scheduling interviews for candidates.

Please return the signed terms and conditions to the consultant you have been speaking to
or by fax to +971 4 7017405. This does not commit you to any expense, until we are
successful in placing a candidate with you. Included in the terms and conditions is an
explanation of our services and our replacement guarantee.

Overview

This brief has been prepared to reflect the Company's workforce solutions, and managed HR
solutions to facilitate full HR responsibilities. These services would be in coordination with
Heston's team of HR Consultants, Heston’s global network of recruitment offices and it’s
recruitment and HR database capable of sourcing candidates and managing the recruitment
process through it’s on-line portal.

Depending on the requirements of the client, Heston can provide any combination of it’s
typical services to best compliment the clients existing infrastructure and project make-up,
ranging from entire management of the company’s HR department, through to project
recruitment and operational management on specific projects. Providing seamless synergy
between our services and the clients existing infrastructure, is we believe, the single most
important factor in a successful long term total workforce solution project.

TERMS AND CONDITIONS OF BUSINESS

APPLICATION OF PLACEMENT FEES

Heston Group Limited, hereinafter referred to as HESTON, act as introduction agents.


Placement fees are rendered on a ‘success only’ basis. No fees are applicable if
HESTON is unsuccessful in placing a candidate with the Client.
1.2 If a candidate introduced for temporary or permanent employment commences
employment in any capacity with the Client or any subsidiary, division, branch or
associate within 12 months of the initial introduction, or recommences employment
in any capacity within 12 months of finishing a temporary assignment, appropriate
fees will be payable, regardless of how contact with the candidate was made.
1.3 If the Client engages a candidate on a temporary basis and the candidate is then made a
permanent staff member, temporary fees will be payable up to, and including, the date
HESTON is informed that the candidate is permanent, when a permanent invoice will
also be payable.
1.4 HESTON’s fees are charged for placements made and payment of HESTON’s invoices is
not subject to the Client’s ability to secure a visa.
1.5 If a client requests HESTON to arrange an interview with a candidate, and that
candidate is subsequently hired, the Client shall be liable to pay the full fees as
stated herein, regardless of whether (i) the Client is already aware of the candidate
(ii) receives the candidate’s CV from any other source (iii) the Client has given HESTON
the name and/or contact details of the candidate to approach or liaise with on their
behalf.
1.6 These Terms and Conditions shall be effective from the date of signature by the
Client and remain valid for any subsequent permanent or temporary staff required,
unless notice to the contrary is given in writing.
2. RESPECTIVE RESPONSIBILITIES
2.1 HESTON endeavour to ensure the professional suitability of candidates introduced to the
client, but does not warrant the personal suitability nor validate qualifications or check medical
history of candidates. The client is recommended to verify any references and/or
qualifications provided by any candidate and/or by HESTON prior to engagement of a
candidate. HESTON accepts no liability for any misrepresentation by a candidate, or any
loss, damage or expenses suffered by the Client as a result thereof.
2.2 HESTON is not responsible for establishing visa status or eligibility for employment
of a candidate. The Client is responsible for adhering to the relevant Labour Laws in
the country of employment in relation to all formalities with regard to sponsorship,
work permits, visas, etc., for both permanent and temporary candidates, and no
liability whatsoever in this regard shall attach to HESTON.

2.3 HESTON undertake that they do not charge any fees whatsoever to candidates in
connection with introductions made. The Client undertakes not to deduct any fees
related to HESTON’s placement fee or visa costs from the candidate.
2.4 HESTON will advertise vacancies at their expense as deemed fit. The decision to
advertise a vacancy or otherwise and the content and positioning of such advertising is
entirely at the discretion of HESTON. Any additional advertising requested by the Client
will be invoiced to the Client at cost.
2.5 All communication with candidates introduced by HESTON should be routed through
HESTON, unless explicitly agreed in advance. Candidates’ details must be treated in strict
confidence by the Client and references may not be undertaken without the candidate’s
prior consent.
2.6 In the event that the Client is dissatisfied with a permanent or temporary placement
it is their responsibility to advise HESTON immediately.
2.7 The Client is responsible for notifying HESTON immediately a candidate is
confirmed, providing a copy of the contract so that HESTON’s fees can be
calculated, and paying the fee due in accordance with the fee stated herein within 21
days of invoice date.

PROFESSIONAL FEE STRUCTURE


3.1 Permanent Placements:

Client will confirm which Search Service they require Heston to perform for each
requirement. If Heston feel that the requirement will not be able to be fulfilled using the
preferred search option, they will inform the client in writing requesting approval to use
an alternative search option.

3.1.1 Database Search Service using Heston’s on-line Database to source and select
candidates, and submitting to client for selection. 15% of total gross annual salary,
(Basic Salary + Fixed Allowances) for each placement made.

3.1.2 Recruitment Service using Heston’s internal and external network to source and
select suitable candidates. Heston will assign a HR Manager to oversee requirements
on behalf of the client. 17.5% of total gross annual salary, (Basic Salary + Fixed
Allowances) for each placement made. Volume discounts will be effected based on
annual review.

3.1.2 Executive Search Service. A Heston HR Professional will provide research


based search, based on the clients requirement, to find industry based candidates
matching the clients requirements. 20% of total gross annual salary, (Basic Salary +
Fixed Allowances) for each placement made.

3.2 Temporary Placements:
Fee per calendar week or part thereof: 20% of total gross weekly salary.
HESTON will invoice the client for its fee at the end of the temporary
assignment or at the end of every four working weeks, whichever is shorter.
3.3 The Client Company pays a temporary employee’s salary direct at daily,
weekly or monthly intervals, as mutually agreed.
3.4 ALL FEES ARE PAYABLE WITHIN 21 DAYS OF INVOICE DATE
3.5 HESTON reserves the right to charge interest on invoiced amounts unpaid for more
than 21 days at the rate of 10% per annum above the base rate from the due date
until the actual date of payment.

4.GUARANTEE
4.1 A guarantee is applicable if a candidate hired through HESTON leaves the
Client’s employment within three months from the commencement of employment,
for any reason other than redundancy, non payment of salary, or the Client’s
inability to provide a visa. Provided that HESTON are informed within 48 hours of
the event, and that the invoice has been paid within 21 days of issue, HESTON
will endeavour to find a replacement, for which there will be no additional charge.
Only one such replacement will be made and refunds are not given under any
circumstances. If a replacement is not required, or cannot be found within two
weeks, HESTON will issue a credit note for the permanent fee paid, less
temporary fees (as stated in Clause 3.2) for the period the candidate was
employed.
4.2 In the event that HESTON’s invoice for the permanent introduction has not
been paid within 21 days of invoice date, HESTON will invoice the Client for
temporary fees for the period the candidate was employed.
