1989-1997

Facilitated banks financial recovery by managing the legal and regulatory functions through the Arizona real estate crisis of 1989. Implemented innovative, securitized asset pools of automobile and credit card receivables, improving the banks balance sheet. Built and retained high-performance legal department by hiring, developing and motivating skilled and focused professionals. Reduced banks total legal function budget from $10 million to $4 million annually by modifying and streamlining procedure and balancing the use of outside counsel 1

with inside counsel. After helping to stabilize the bank, assisted in selling it to a larger financial institution which later became part of JP Morgan Chase Bank. Managed and improved the legal, security, and regulatory compliance functions of the bank. Provided hands-on legal assistance in multiple areas, including: finance, securities, broker/dealer, insurance, human resources, regulatory, complex litigation management, real estate, and drafting and negotiation of sophisticated contracts. Managed, improved and strengthened board of director relationships. Established strategic alliances to effectively support key initiatives for both legal functions and key business functions. Created value as a trusted advisor to management working through a banking crisis. Corporate practice with Boise Cascade Corporation, followed by private practice in Salt Lake City and Phoenix

Prior to 1989

Began career with Boise Cascade Corporation and expanded to the position of Associate General Counsel supporting the securities and financial functions of the corporation. Transferred skills from corporate to private practice, serving many large and small clients in the securities and financial areas. Developed strong financial knowledge and skills in a sophisticated business environment. Refined ability to render solid legal advice with a variety of clients and diverse circumstances.
