This Agreement made and executed this _______ day of _________at __________ by and
between:

_____________________________________ a company/corporation duly organized

and existing under and by virtue of the laws of the Philippines with registered business address
at__________________________________________________________________________
hereinafter referred to as the BUYER/CLIENT;

AND

_____________________________________ a company/corporation duly organized

and existing under and by virtue of the laws of the Philippines with registered business address
at__________________________________________________________________________
hereinafter referred to as the SELLER/SUPPLIER.

WITHNESSETH THAT

WHEREAS, the SELLER/SUPPLIER offers to provide for free use LaserJet printer to the
BUYER/CLIENT and the latter accepts the same, subject to the terms that it will purchase 1 pc
remanufactured toner per printer as an initial order and that it will purchase remanufactured
toner exclusively from the SELLER/SUPPLIER. The BUYER/CLIENT binds to buy at least 1
(one) toner per month and use only toner from the SUPPLIER/SELLER;

NOW, therefore, for and in consideration of the foregoing premises and the covenants
hereunder provided, the parties hereby agree as follows:

TERMS AND CONDITIONS

Scope of Services
1. The Supplier will repair & service the unit free of charge. It has the exclusive
authority to repair and service the printer
2. The Supplier will provide LG Remanufactured toner as may be requested per
approved Purchase Order (PO) of the client. Once empty, the cartridge will remain
the property of the Supplier and will not be disposed, sold or retained by the
Buyer/Client without prior consent of the Supplier.
3. Collection and disposal of cartridge will be made every end of the month
Clearance/Gate pass will be prepared by the Buyer/Client in favor of the Supplier
4. The Buyer/Client agrees to take good care of the LaserJet printer delivered.

Pricing
Prices indicated is good for one year from date of this agreement, however, in case of
extraordinary increase of prices due to inflation and devaluation, Seller/Supplier may propose a
reasonable price increase subject to review and approval of the Buyer/Client. The
Seller/Supplier will inform the Buyer at least one (1) month before the affectivity of the price
increase.
Payments
1. Payment will be made in accordance with the terms specified above.
2. Client will be responsible for the prompt payment of authorized deliveries rendered
and invoiced by the Supplier.

Termination
1.This Agreement may be terminated in whole or in part upon one (1) month
advance written notice by Buyer or Supplier. In case of termination, ownership of Laser
Printer & empty LG cartridges delivered and invoiced to the Buyer will remain with the Supplier
and only its authorized representative can recover or collect the empty cartridges.

Duration of Contract: 1 Year

1. This Agreement shall be binding and effective for a term of one (1) year upon signing
of this contract, renewable for another term under the same terms and conditions or with
changes upon mutual agreement of both parties.

Scheduling and Deliveries

1. Buyer/Client binds to consume and order 1 pc. remanufactured toner cartridge per
month for LaserJet ML 2010 printer (after consuming the initial order) exclusively from the
supplier to be delivered during the duration of this agreement.
2. Supplier/Seller will promptly perform maintenance/repair services as
schedule (monthly) or as needed by the client/buyer within 24 hours from receipt of call.

Warranty
1. The Supplier warrants the quality of the LG Remanufactured and will repair or
replace at its option any defect brought to its attention at no additional cost to the Buyer/Client.
2. Supplier will take all reasonable precaution to ensure safe working procedures and
conditions while working in Buyer’s/Client’s premises and will keep Buyer’s/Client’s site neat
and free from debris.
3. In the event of the printer break down, the Supplier will repair or replace the
machine within 48 hrs if cannot be repaired on site.

Neither party will be responsible for its failure to perform any part of this agreement due to
causes beyond its reasonable control such as act of God, fire, theft, embargoes, currency
devaluation or act of civil or military authorities. If services are to be delayed by such
contingencies, Supplier will immediately notify Buyer in writing and Buyer may extend time of
performance or terminate the uncompleted portion of the order at no cost to the Parties.

Any legal action arising from breach of any or all of the terms and conditions in this Agreement
shall be brought only to the proper court of Makati City, Philippines.
