120-Day Evaluation License for Microsoft SQL Server 2000 IMPORTANT-READ CAREFULLY: This Microsoft Evaluation License Agreement

("Evaluati on License") is a legal agreement between you (either an individual or a single entity) and Microsoft Corporation for the Microsoft software product identified above, which includes computer software and may include associated media, printe d materials, and "online" or electronic documentation ("Software Product"). BY I NSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE PRODUCT, YOU AGREE TO BE BOU ND BY THE TERMS OF THIS EVALUATION LICENSE. IF YOU DO NOT AGREE TO THE TERMS OF THIS EVALUATION LICENSE, DO NOT INSTALL, COPY, OR USE THE SOFTWARE PRODUCT. The Software Product is owned by Microsoft or its suppliers and is protected by copyright laws and international copyright treaties, as well as other intellectu al property laws and treaties. THE SOFTWARE PRODUCT IS LICENSED, NOT SOLD. 1. GRANT OF LICENSE. The Software Product includes software that is installed and provides services on a computer acting as a server ("Server Software", and t he computer running the Server Software shall be referred to as the "Server"); s oftware that allows an electronic device ("Device") to access or utilize the ser vices or functionality provided by the Server Software ("Client Software"); and "Tools." The "Tools" consist of the following components of the Software Produc t: Management Tools, Books-Online and Development Tools. Provided that you comply with all terms and conditions of this Evaluation Lice nse, Microsoft grants to you the following rights under this Evaluation License solely for purposes of demonstration, testing, examination and evaluation of the Software Product for the limited period specified below: (a) You may install only once and use the Server Software on each computer use d by you or (for entities) each computer within your organization. The Software Product may contain several copies of the Server Software, each of which is com patible with a different microprocessor architecture. You are only authorized t o use the copy of the Server Software that is appropriate for your Server. (b) You may install only once and use each of the Client Software and the Tool s on each Device used by you or (for entities) each Device within your organiza tion. (c) You may not install the Software Product (or any component thereof) more t han one time on the same computer or same Device. (d) Solely for purposes of your use of the Software Product as authorized unde r this Evaluation License, you may permit an unlimited number of authorized Devi ces to access or otherwise utilize the services or functionality of the Server S oftware. (e) YOUR RIGHT TO USE THE SOFTWARE PRODUCT SHALL BE EFFECTIVE FROM THE DATE YO U FIRST INSTALL ANY PORTION OF THE SOFTWARE PRODUCT ON ANY DEVICE FOR A PERIOD O F ONE HUNDRED TWENTY (120) DAYS. THE SERVER SOFTWARE IS TIME SENSITIVE AND WILL NOT FUNCTION UPON EXPIRATION OF THE 120-DAY PERIOD. NOTICE OF EXPIRATION WILL N OT ACTIVELY BE GIVEN, SO YOU NEED TO PLAN FOR THE EXPIRATION DATE AND MAKE A COP Y OF AND REMOVE YOUR IMPORTANT DATA BEFORE EXPIRATION. If you desire to use the Software Product after your evaluation is completed, you will need to acquire a validly licensed copy of the non-evaluation version of the Software Product (and Client Access Licenses for Microsoft SQL Server 2000, if appropriate). (f) The SOFTWARE PRODUCT is "NOT FOR PRODUCTION USE". You may not demonstrate , test, examine, evaluate or otherwise use the Software Product in a live operat ing environment or with data that has not been sufficiently backed up.

(g) All rights not expressly granted are reserved by Microsoft. 2. DEMAND FOR EXAMINATION. Microsoft hereby requests that you fully examine th e Software Product during the term of this Evaluation License so that you will b e fully familiar with it before obtaining a copy of the non-evaluation version o f the Software Product. Only your full examination now will determine whether o r not the non-evaluation version will be merchantable or fit for your particular purposes. 3. ADDITIONAL LIMITATIONS. You may not reverse engineer, decompile, or disasse mble the Software Product, except to the extent such foregoing restriction is ex pressly prohibited by applicable law notwithstanding this limitation. You may no t rent, lease, lend, or transfer the Software Product. You may not disclose the results of any benchmark test of either the Server Software or Client Software t o any third party without Microsoft's prior written approval. 4. INTELLECTUAL PROPERTY RIGHTS. All ownership, title and intellectual property rights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text and "applets" incorporated into the SOFTWARE PRODUCT), and any copies you are permitted to make herein are owned by Microsoft or its suppliers. All ownership, title and intellectual prop erty rights in and to the content which may be accessed through use of the SOFTW ARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This Evaluation License grants you no rights to use such content. For each copy of the Software Product you are authorized to use above, you may also reproduce one additional copy of the Software Product solely for archival or restoration purp oses. 5. U.S. GOVERNMENT RESTRICTED RIGHTS. All SOFTWARE PRODUCT provided to the U.S . Government pursuant to solicitations issued on or after December 1, 1995 is pr ovided with the commercial rights and restrictions described elsewhere herein. All SOFTWARE PRODUCT provided to the U.S. Government pursuant to solicitations i ssued prior to December 1, 1995 is provided with RESTRICTED RIGHTS as provided f or in FAR, 48 CFR 52.227-14 (JUNE 1987) or FAR, 48 CFR 252.227-7013 (OCT 1988), as applicable. 6. EXPORT RESTRICTIONS. You acknowledge that Product is of U.S. origin. You ag ree to comply with all applicable international and national laws that apply to the Product, including the U.S. Export Administration Regulations, as well as en d-user, end-use and destination restrictions issued by U.S. and other government s. For additional information, see <http://www.microsoft.com/exporting/>. 7. APPLICABLE LAW. If you acquired this Software Product in the United States, this Evaluation License is governed by the laws of the State of Washington. If y ou acquired this Software Product in Canada, unless expressly prohibited by loca l law, this Evaluation License is governed by the laws in force in the Province of Ontario, Canada; and, in respect of any dispute which may arise hereunder, yo u consent to the jurisdiction of the federal and provincial courts sitting in To ronto, Ontario. If this Software Product was acquired outside the United States, then local law may apply. 8. QUESTIONS. port services related to the Software Product ("Support Services") AS IS AND WIT H ALL FAULTS, and hereby disclaim all warranties and conditions, either express, implied or statutory, including, but not limited to, any (if any) implied warra nties or conditions of merchantability, of fitness for a particular purpose, of lack of viruses, of accuracy or completeness of responses, of results, and of la ck of negligence or lack of workmanlike effort, all with regard to the Software Product, and the provision of or failure to provide Support Services. ALSO, THE RE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORR ESPONDENCE TO DESCRIPTION OR NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODU CT. THE ENTIRE RISK AS TO THE QUALITY OF OR ARISING OUT OF USE OR PERFORMANCE O F THE SOFTWARE PRODUCT AND SUPPORT SERVICES, IF ANY, REMAINS WITH YOU. 10. EXCLUSION OF INCIDENTAL, CONSEQUENTIAL AND CERTAIN OTHER DAMAGES. LIMITATION OF LIABILITY AND REMEDIES. Notwithstanding any damages that you might incur for any reason whatsoever (including, without limitation, all damage s referenced above and all direct or general damages), the entire liability of M icrosoft and any of its suppliers under any provision of this Evaluation License and your exclusive remedy for all of the foregoing shall be limited to the grea ter of the amount actually paid by you for the Software Product or U.S.$5.00. T he foregoing limitations, exclusions and disclaimers shall apply to the maximum extent permitted by applicable law, even if any remedy fails its essential purpo se. 12. NOTE ON JAVA SUPPORT. THE SOFTWARE PRODUCT MAY CONTAIN SUPPORT FOR PROGRAMS WRITTEN IN JAVA. JAVA TECHNOLOGY IS NOT FAULT TOLERANT AND IS NOT DESIGNED, MAN UFACTURED, OR INTENDED FOR USE OR RESALE AS ONLINE CONTROL EQUIPMENT IN HAZARDOU S ENVIRONMENTS REQUIRING FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION OF NUCL EAR FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR TRAFFIC CONTRO L, DIRECT LIFE SUPPORT MACHINES, OR WEAPONS SYSTEMS, IN WHICH THE FAILURE OF JAV A TECHNOLOGY COULD LEAD DIRECTLY TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL O R ENVIRONMENTAL DAMAGE.
